Corporate Transactions Group (\CTG\) CTG, a subsidiary of A&M, brings a structured and disciplined approach to create and capture value throughout the M&A deal cycle. We provide corporate clients with deep leadership and expertise to bring an end-to-end solution for corporate clients as they enter into potential buys-side acquisitions, sell-side divestitures and carve-outs, and strategic partnerships. We provide a range of services to our clients, including commercial due diligence, market entry assessment, financial and operational due diligence, tax diligence and structuring assistance, business modeling and synergy assessment, integration & separation planning, and support executing the plan and delivering enterprise value for our client's shareholders. We are currently seeking dynamic and experienced professionals to join our team, focusing on the operational and execution aspects of the M&A life cycle (from early-stage diligence through to post-close implementation). As a Manager, you will have the opportunity to work with our highly motivated and effective team of professionals on a variety of interesting projects across different industries including but not limited to manufacturing, distribution, consumer, retail, restaurants, business and industrial services, healthcare, software & technology, aerospace and defense, and energy. You will provide our corporate and private equity clients with an integrated due diligence approach that goes beyond traditional quality of earning analyses and focus on key value drivers related to buy-side and sell-side transactions. Our integrated due diligence approach combines our deep operational, functional and industry expertise with Big Four quality financial accounting and tax services to drive value throughout the investment lifecycle. Responsibilities will include: People: * Counsel and mentor CTG associates and senior associates. * Engage in training initiatives (developing and teaching appropriate courses) to develop CTG employees. * Risk management: * Understand and abide by risk management guidelines and engagement review memo procedures. * Appropriately manage engagement risk and potential client or engagement issues (including conflicts, etc.). * Develop and propose creative solutions to engagement and transaction risks and effectively manage problem resolution. * Gather applicable conflict check information and coordinates with Directors, Senior Directors and / or Managing Directors to set up engagement codes and other engagement requirements. Project management (including financial due diligence): * Manage and prioritize engagements and responsibilities appropriately. * Help engagement executives in maximizing the value the client is receiving from A&M (i.e., monitors engagement leverage, efficiency of staff, and appropriateness of T&Es billed by all team members). * Lead various aspects of the financial due diligence work on all projects, which will include the quality of earnings, working capital analyses, debt and debt-like items analyses, general financial statement analysis and other operational and financial analytics. * Compile discussion agendas and effectively hold conversations with clients, management teams and other stakeholders (e.g., boards, lenders, etc.) as appropriate with regards to the financial due diligence work. * Identify potential transaction risks and implement strategies to address such risks. * Research technical accounting subjects relevant to CTG that are necessary to deliver exceptional client services (relative to financial due diligence). * Oversee the development of a financial databook (based in Excel) that includes specific financial due diligence analyses, schedules and findings. * Coordinate with all other A&M service groups and functional areas during an engagement as appropriate. * Delegate work to associates and senior associates throughout engagement. Review and develop associates and senior associates based on work performed. * Generate financial due diligence reports or sections of such reports based on the work performed. Integrate findings from other practice areas (e.g., corporate performance improvement, etc.) as necessary into final due diligence reports to be shared with clients. Clients, markets and services: * Assist Directors, Senior Directors and Managing Directors in sales and business development efforts. * Display a core understanding of all CTG services and strive to introduce such services (where relevant) to specific projects based on client needs or areas we believe could be valuable to our clients. * Pursue / strengthen a specific industry or sector expertise (in conjunction with CTG discussions). Qualifications: * A minimum of 5 years of financial accounting due diligence experience or equivalent at a top accounting firm. * Bachelor's or master's degree in accounting and/or related major. * Certified Public Accountant (CPA) or the equivalent of a CPA. * Working knowledge of US GAAP, SEC reporting, and purchase accounting. * High proficiency in Excel, Word, PowerPoint and database skills. * Excellent interpersonal and communication skills (written and verbal) including the ability to articulate to senior members of target management, client representatives and colleagues. * Strong project management skills. * Flexibility to work as both a team member in a collaborative setting and as an individual contributor. * Ability to travel for project needs and A&M specific needs and opportunities (e.g., training, internal meetings, etc.). * Ability to thrive and be effective in fast-paced settings. The base salary is $160,000 annually, dependent on several variables including but not limited to education, experience, skills, and geography. Involved in short- to medium-term planning of actions and resources for own area.Full management responsibility of a team or multiple teams, including management of people, budget and planning, to include performance evaluation, compensation, hiring, disciplinary actions and terminations and budget approval. **Responsibilities:** + This role will play a pivotal role in the daily operations of Citi by interacting with multiple businesses across the enterprise + This role will leverage subject matter expertise, whether that is physical security and safety, crisis management, security technology, event security/logistics or vendor management + Responsible for complying with all policies required to meet organizational goals in order to eliminate or reduce threats and vulnerabilities + Manage day-to-day operational activities within span of control, to include emergency response, crisis management and recovery functions, across multiple locations + Establish and maintain high-level relationships with law enforcement authorities, first responder agencies and key business support entities + Synchronize security activities to generate Key Performance Metrics (KPI) + Integrate concept of "Continuous Improvement" into management activities + Manage budgets, display fiscal and budgetary discipline to meet expected spend patterns, achieve goals and remain within defined budget parameters + Manage contingent and contract staff at various Citi facilities, sites and branches + Clearly and concisely brief management on ongoing major security matters and does so in a professional manner + Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards. **Qualifications:** + 10+ years of experience + Managed team of Security managers, security professionals and contingent staff + Established effective relationships with senior business leaders and internal partners + Managed complex security projects that have global consequences as well as criminal or regulatory implications + Executed efficiently under tight time constraints + Demonstrated in-depth understanding of the elements of a security & safety risk and control environment. + Demonstrated a broad understanding of security vulnerabilities with proven skills to identify and resolve security vulnerabilities through partnership + Demonstrated in-depth understanding of security technology (e.g., DVR, CCTV, Cameras, Surveillance, Access Control, Biometrics, Alarm Systems, Fire detection & Suppression) + Conducted independent research and identifies new technology to enhance security controls + Has experience in understanding potential security or safety threats (e.g., fire, executive protection), local threats based on geographic location and other factors + Demonstrated in-depth understanding of risk management and innovatively develops solutions and makes suggestions to senior management to mitigate risks + Performed/participated in critical resource evaluations of staff to raise operational effectiveness and efficiency + Relevant experience in a private/public sector security environment + Experience working in a corporate or financial services security team + Domestic and International Travel + Flexibility to work on call off hours/weekends **Education:** + Bachelors degree, potentially Masters degree This job description provides a high-level review of the types of work performed.
