Job Description:
The Deputy General Counsel provides strategic leadership for the Office of General Counsel (OGC), overseeing a team of senior attorneys and ensuring the effective management of daily operations. The role serves as a key advisor to business leaders, guiding risk mitigation and legal strategy across products, initiatives, and organizational priorities. It also provides expert counsel to the ABA, its subsidiaries, and related entities on a broad range of legal matters, including technology, payment systems, antitrust, business, standards development, trade association, and banking law.
Key Responsibilities:
* Serves as the back-up to the General Counsel with management oversight for senior people managers in the OGC.
* Supports ABA, its subsidiaries, and members by providing solid legal advice, research, direction, and analysis on association, banking, and business issues. Identifies potential legal issues related to business practices and policies and advises Executive Management and/or General Counsel.
* Participation in the contract review process and subsidiary/affiliate corporate governance. Plans training sessions and content for attorneys and staff; Strategizes and works with business units on technology and contract requests. Consult on business and risk issues that arise in the course of working with external vendors or third parties.
* Advises and works closely with internal and external clients on a broad range of legal topics, including contracts, licensing, business initiatives and organization, banking, association law, payments, and technology.
* Negotiates and drafts complex contracts that require extended negotiation, diplomacy, and tenacity with little or no supervision.
* Coordinates and supervises outside counsel representation in several areas, including CUSIP, routing numbers and fTLD Registry Services, LLC. Also, work with outside counsel on corporate, tax, and intellectual property items.
* Corporate Secretary for ABA Card Solutions, fTLD, and OGC representative on multiple internal committees and task forces.
* Cultivates strategic relationships with leaders to drive business results and manage risk. Collaborates across ABA staff and OGC attorneys with minimal supervision, ensuring timely, accurate updates to the General Counsel.
* Work with General Counsel to expand overall knowledge of internal policy.
* Assists the General Counsel and OGC in carrying out his/her duties with any additional work-related duties as appropriate and/or assigned.
* Assist in the development of ABA policies and obtain consensus across the organization.
Requirements:
* Juris Doctor (J.D.) and active membership in good standing with at least one U.S. bar.
* Minimum of 15 years of progressive legal experience, combining deep legal expertise with strong business acumen. Demonstrated experience with contracts, negotiation, legal writing, and research, combined with a solid understanding of business operations and the practical application of law to business transactions and implementation.
* Experience serving as in-house counsel for a for-profit enterprise; counsel to a non-profit organization with for-profit subsidiaries; or experience with a law firm representing business clients strongly preferred.
* Demonstrated ability to navigate the intersection of non-profit and for-profit structures, with expertise in compliance, governance, and regulatory matters.
* Experience within banking or financial services preferred; familiarity with payments, risk management, or corporate law highly valued.

Job Description:
The Director maintains and strengthens ABA's alliance with state bankers associations by supporting leadership in managing relationships with 52 state partners. This position ensures each association is actively engaged across key areas, including political advocacy, policy, volunteer leadership, education, training, and member services.
Key Responsibilities:
Relationship Management
* Process, understand, and analyze information on banking policy, membership, advocacy, products/services, technology, governance, and other vital association functions to make decisions to effectively grow engagement between ABA and the state associations.
* Work with other key stakeholders across the organization, track state-by-state engagement, and develop strategies to build and grow relationships in specific areas.
* Conduct outreach to state associations to build relationships with leadership and determine opportunities to grow and tailor engagement.
* Serve as a liaison to state association peer groups, including Communication Directors and Education Directors.

Meeting Planning/Execution
* Plan and execute the annual Alliance Advocacy Workshop and, in collaboration with Advocacy & Innovation team colleagues, the annual State Issues Summit.
* Work with SVP and Alliance Leadership to plan and coordinate additional Alliance engagements, including State Executives Workshop and Alliance meetings in conjunction with the Conference for Community Bankers, Washington Summit, Summer Leadership Meeting, and Annual Convention.
Communications/Other Support
* Manage all Alliance communications, including weekly Zoom meetings and newsletters, event marketing, and the Higher Logic group for state executives and state association communications professionals.
* Manage and support key Alliance initiatives, including surveys and ad hoc working groups, etc.
* Represent the alliance team in interdepartmental meetings to promote the value and impact of ABA's strong relationships with state associations.

Qualifications:

Overview

Stay updated on trade laws, regulations, designations, and other related regulatory announcements, assess and calibrate program response, and communicate business impacts;

Working closely with the Executive Director and Director of Development, he/she will develop and manage a multi-year plan related to foundation and corporate grant funding including cultivation, stewardship and retention strategies. The role of BizOps is to be the production readiness steward for Mastercard products. As a BizOps SRE, we are responsible for ensuring that our platform is stable and healthy. A biz ops focus is also on streamlining and standardizing traditional application specific support activities and centralizing points of interaction for both internal and external partners by communicating effectively with all key stakeholders. Operational Readiness Architect:
• Serve as the primary contact responsible for the overall application health, performance, and capacity
• Support services before they go live through activities such as system design consulting, capacity planning and launch reviews.
• Partner with the development and product team of a new application to establish the right monitoring and alerting strategy and create the framework to achieve zero downtime during deployment. Site Reliability Engineering:
• Serve as the primary contact responsible for ensuring application scalability, performance, and resilience.
• Practice sustainable incident response and blameless post-mortems while taking a holistic approach to problem solving and optimizing time to recover.
• Automate data-driven alerts to proactively escalate issues. Work with development teams to establish SLOs and improve reliability. DevOps/Automation:
• Tackle complex development, automation, and business process problems. Engage in and improve the whole lifecycle of services-from inception and design, through deployment, operation, and refinement.
• Support the application CI/CD pipeline for promoting software into higher environments through validation and operational gating, and lead Mastercard in DevOps automation and best practices.
• Increase automation and tooling to reduce toil and manual intervention ITSM Practices:
• Analyses ITSM activities of the platform and provide feedback loop to development teams on operational gaps or resiliency concerns Role Qualifications
The ideal candidate will have experience in many of these areas:
• BS degree in Computer Science or related technical field involving coding (e.g., physics or mathematics), or equivalent practical experience.
• Coding and/or scripting exposure.
• Appetite for change and pushing the boundaries of what can be done with automation. Be curious about new technology, infrastructure, and practices to scale our architecture and prepare for future growth.
• Experience with algorithms, data structures, scripting, pipeline management, and software design
• Systematic problem-solving approach, coupled with strong communication skills and a sense of ownership and drive.
• Interest in designing, analysing, and troubleshooting large-scale distributed systems.
• Willingness and ability to learn and take on challenging opportunities and to work as a member of matrix based diverse and geographically distributed project team.
• Ability to balance doing things right with fixing things quickly. Flexible and pragmatic, while working towards improving the long-term health of the system.
• Comfortable collaborating with cross-functional teams to ensure that expected system behaviour is understood and monitoring exists to detect anomalies.
• Experience building and maintaining Kafka cluster's
• Kafka Connect experience is a bonus
• Experience building observability tools including but not limited to alerts and dashboards
• Familiarity with Linux and supported scripting (python and bash)
