Consistently elevated into positions with increasing responsibility for investment management programs, investment advisory practices, broker/dealer management and supervision, and overall organization of regulated financial services businesses. Demonstrated success with several start-up ventures in the investment management industry creating and implementing processes in addition to revitalizing struggling business models. Experience includes:Corporate & Securities Law: Represent companies (including REITs) in fund formation, public securities offerings & private placements. Extensive experience in public & private offerings of debt & equity securities as both issuer’s & underwriter’s counsel. Provide ongoing regulatory advice to clients regarding general corporate governance matters, including disclosure issues.Regulatory Compliance: Consistent record of achievement as CCO & in house counsel building effective core compliance programs. Established & led enterprise-wide risk management, compliance & ethics efforts to ensure that legal, regulatory & operational exposures were managed, measured & documented.Alternative Investment Funds: Advise on alternative investment programs, including public business development companies ("BDCs") and REIT offerings, including the first ever non-traded BDC at FS Investments. Command of U.S. federal securities, banking, investment management, investment advisory, State Blue Sky and corporate laws (including '33 Act, '34 Act, the Advisers Act, and '40 Act), capital markets, product distribution, capital formation, wholesaling, investment banking, equities, securities regulations, corporate governance and mergers & acquisitions.
