Job Purpose:
To (a) provide business advice and legal counsel to the Company concerning the Company's product liability claims and litigation, and manage and administer relationships with outside counsel, databases and processes related thereto; (b) serve as a product safety and compliance advisor and provide practical, business-oriented legal advice and counsel, including appropriate risk assessment, to select functions throughout the Graco businesses with respect to the Company's products; (c) provide input to certain aspects of legal services budgets and manage activities against those budgets; and (d) directly or indirectly manage certain other compliance, litigation or regulatory professionals employed by the Company.

Essential Duties:
Claims and Litigation (60%) Provide legal advice with a practical, business orientation to assigned divisions, regions and corporate functions (including other Company attorneys) on matters related to product liability claims and litigation Understand the product technologies, designs and marketing strategies of the Company's division(s) Manage all product warranty and liability claims and litigation, including the activities and performance of outside counsel, and resolve them consistent with the Company's philosophy Develop strategies for and support management of other claims and litigation as matters arise from time to time; assist with IP-related claims and litigation at the direction of the Director of IPParticipate in accident site visits, accident investigations, witness preparation, depositions, trials, settlement conferences and other litigation-related activities Supervise the Company's Senior Litigation ParalegalProduct Safety and Compliance Duties (30%) Establish and maintain frameworks and policies, and identify and manage legal aspects of projects, for our product safety and compliance functions Provide product safety and compliance/regulatory legal advice with a practical, business orientation to various business units Provide product warranty advice to the various business units Review product brochures, manuals, catalogs, videos and other marketing and training materials to address product safety, trademarks, and truth in advertising Selectively participate in division, region and manufacturing operations reviews, annual sales meetings, and other division/region product-oriented activities as appropriate Support legal oversight of the Company's product safety and compliance function Other (10%) Work on special projects as assigned by the Executive Vice President and General Counsel from time to time Participate in M&A project diligence meetings, and assist in assigned legal diligence efforts related to the Company's M&A transactions Prepare and manage budgets for areas of responsibility Effectively utilize internal and external resources and cost drivers, and continuously improve administrative processes

Requirements:

Position Overview
Reporting to the General Counsel this key member of the legal team will assist in protecting the organization's legal interests and provide hands-on support to our HR team, senior attorneys and consulting staff.

Responsibilities
Purchasing
Review and negotiate all firm purchasing contracts, including technology, supplies, marketing, subscription and other vendor agreements Work closely with internal purchasing sponsors and compliance groups in the development of a robust purchasing program
Privacy
Review, advise on and negotiate privacy contract terms in client and vendor/supplier contracts Participate in A&M's global privacy program and counsel around privacy contract matters, including DPA's and other counterparty contract terms

Qualification
Significant experience negotiating technology contracts Understanding of and experience advising on prevailing privacy and information security laws and principals (including data and cyber security)6-10 years of experience as an attorney, in-house experience helpful but not required Member of the NY State BarRequires a Juris Doctorate degree from an accredited law school In-depth experience drafting and negotiating commercial agreements.Strong interpersonal skills to be utilized to effectively communicate client and A&M executives Takes ownership of issues, is highly responsive and driven to take action quickly

About the team

Shopify's Privacy Team works on cutting-edge technology issues alongside product and engineering teams to help them build and protect the innovative products that Shopify offers. The team is responsible for advising the business on privacy and data protection law, and continuing to mature our privacy program.

Success on the Shopify Legal Team requires intellect, humility and a sense of humor. You need to take the work seriously, but not take yourself too seriously. About you

You are excited about privacy and to join a nimble team that focuses on product and commercial counseling from a privacy perspective, tackling technically complicated personal data issues while working collaboratively with product and engineering teams. This role reports to the Director, Associate General Counsel, Privacy.

Responsibilities:

Perform privacy product counseling, and data and privacy-related provisions of commercial agreements in the realms of ecommerce, financial services, AI and machine learning, advertising technology, crypto, and more.

Handle complex product counseling and commercial negotiations with strategic partners.

Build cross-functional processes to ensure scalable privacy and data protection tools are part of product development.

Identify and manage cross-functional strategic initiatives that will substantially push Shopify's privacy and data protection practices forward.

Serve as subject matter expert assisting in commercial negotiations with merchants, vendors, and partners.

Work with leadership to develop Shopify's strategy on privacy and data protection, and ensure that it evolves appropriately in an ever-changing world.

Collaborate with senior leaders on the Legal Team and around the company to appropriately train Shopifolk to identify, respond to, and properly escalate privacy and data protection issues.
