The opportunity As an Assistant General Counsel for Technology and Managed Services you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client-facing complex, multi-year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software-as-a-service agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing legal advice and support to various other EY technology and product teams (“Technology & Managed Services Agreements”). The role requires a strong background in managed services, outsourcing, and software-as-a-service, current market knowledge related to current and new technologies, and a superior ability to manage multiple competing priorities in a compressed timeframe and to elevate and interact on a regular basis with senior members of the organization. Key Responsibilities Drafting/updating and negotiating client-facing Technology & Managed Services Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments. Advising on key legal risks associated with the technology underpinning Managed Services Agreements. Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms. Coordinating legal resources on managed services projects. Supporting coordination with cross-functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Technology & Managed Services Agreements. Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests. Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products. Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other GCO members. Building relationships and teaming seamlessly with other GCO members, within the Legal Practice Groups, as appropriate, to deliver exceptional service to clients of GCO. Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business, where requested or appropriate. Qualifications 8+ years of relevant complex services and technology-related transactional experience in a client-facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements. Experience negotiating across from client's internal counsel, outside law firms, and procurement. Experience developing contracting templates, playbooks and standards. Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements. Experience with cross-border contracting (including employee matters such as auto-transfer laws, local country agreements, and cross-border data transfer). Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner. They will partner with the global HR Business Partner for C&F, the Americas C&F Leadership team, and the Americas Attorney Talent team to implement and manage C&F programs in the Americas. These programs include, but are not limited to, staffing initiatives, retention initiatives, feedback and review systems, mentoring, counseling and transitions, and on-boarding and off-boarding of attorneys. The Manager will also work closely with the C&F Practice Operations team. They will report to the Director of Attorney Talent and Strategic HR. In addition, they will work closely and interact regularly with other members of the People team. This position will be located in our Washington, D.C. office. In Washington, D.C., the annualized salary range for this position is $140,000 to $172,000 depending on the candidate's overall experience and other job-related factors permitted by law. In addition, full time employees as well as some part time employees, will be eligible for the firm's fringe benefits as they currently exist.
