The Opportunity

What you bring:
JD from an accredited law school and active Bar membership in at least one U.S. jurisdiction or eligibility for Registered In-House Counsel.

The Vice President & Assistant General Counsel reports directly to the RILA's General Counsel and is key to RILA's success supporting our member's in-house legal teams. POSITION DESCRIPTION
SAP NS2 is seeking a Corporate Counsel to support its growing portfolio of offerings to government and regulated commercial customers. This position will provide legal advice and analysis to the business in connection with government and commercial contracts and subcontracts, including compliance with FAR and DFARs requirements; national security/FOCI/export controls, cybersecurity, and other legal matters as they arise; conduct internal investigations; drive the implementation of enhancements to policies and procedures; and support the Deputy General Counsel and Corporate Secretary in preparation for executive and Board-level briefings.
This role requires a candidate that can proactively manage assignments from start to finish, independently identify and prioritize critical tasks,and drive business-oriented solutions while mitigating legal risk.
The candidate will report to our Deputy General Counsel headquartered in Herndon, Virginia.
Major Duties and Job Responsibilities:
Provide legal advice and guidance to the business in connection with a broad range of agreements with the primary focus on Cloud and Software-as-a-Service (SaaS) contracts with commercial, federal, state and/or local government customers, as well as commercial software license and support agreements and professional consulting services.
Review, analyze, and provide solution-oriented guidance on complex issues including FAR and DFARs requirements, national security/FOCI/export controls, cybersecurity and data privacy, and employment matters.
Identify risks and areas of concern with respect to contract terms and conditions based on interpretation of company policies and applicable laws and regulations.
Work with relevant stakeholders to develop alternative terms and conditions as part of the contract negotiation process.
Track, monitor, and evaluate impact of White House, Congressional, and Defense Department actions and regulatory changes, particularly with respect to the FAR/DFARS.
Prepare management and Board-level briefing materials related to compliance matters, legal and policy changes, and major project-related updates.
Proactively identify areas for enhancements to corporate policies and procedures and work with relevant business units to implement identified changes.
Education and Qualifications:
5 to 8+ years' corporate law firm experience; expertise in government and commercial contracting, export controls and sanctions, national security/FOCI, and/or cybersecurity and data privacy preferred.
JD from an ABA accredited law school and admission in Virginia or Pennsylvania (or another state bar, with ability to obtain a corporate counsel certificate to practice in Virginia).
Knowledge of applicable regulations, including the FAR, DFARS and its supplements.
CPCM, CFCM, CCCM, IAPP or similar certifications a plus.
Strong collaboration skills to provide timely support to internal business partners.
Proactive and solutions-oriented approach to providing legal advice.
Flexible and willing to support the business on any critical tasks.
Work independently while managing competing priorities and keeping management fully informed.
Excellent verbal and written communication skills.

What you'll do
In this role, you will provide general support to the Legal department by drafting and negotiating contracts, conflicts analyses and litigation‑related work involving experts, document management and collections. You will:
Prepare and negotiate client engagement letters.
Review and negotiate firm contracts with vendors/third parties.
Perform conflicts analyses under supervision of Associate General Counsel, Deputy General Counsel and General Counsel.
Provide advice on litigation‑related matters involving experts.
Manage documents relating to contracts, conflicts, and other Legal Department files.
Assist General Counsel and Finance Partner with financial management of client relationships.
Serve as legal liaison to Research Department regarding resources and data management.
Work closely with AR and leadership to identify outstanding receivables that may require Legal follow up.
What you'll bring to the table
Juris Doctor degree and active license in good standing to practice law in at least one U.S. state or the District of Columbia required.
Minimum 3 years of law firm or in‑house legal experience.
Excellent oral and written communication skills; ability to effectively communicate with clients and employees at all levels.
Strong interpersonal skills, ability to work in a highly collaborative environment.
Exceptional judgment and discretion.
Proficiency with Microsoft Word and Excel.
Ability to perform essential functions with or without a reasonable accommodation.
May require more than 40.0 hours per week to perform the essential duties of the position.
