The opportunity
As an Assistant General Counsel for Technology and Managed Services you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client-facing complex, multi-year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software-as-a-service agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing legal advice and support to various other EY technology and product teams (“Technology & Managed Services Agreements”). Key Responsibilities
Drafting/updating and negotiating client-facing Technology & Managed Services Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments.
Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms.
Coordinating legal resources on managed services projects.
Supporting coordination with cross-functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Technology & Managed Services Agreements.
Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests.
Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products.
Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other GCO members.

Qualifications
8+ years of relevant complex services and technology-related transactional experience in a client-facing capacity, including drafting and leading the negotiation of Technology & Managed Services Agreements.
Experience negotiating across from client's internal counsel, outside law firms, and procurement.
Experience developing contracting templates, playbooks and standards.
Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements.
Experience with cross-border contracting (including employee matters such as auto-transfer laws, local country agreements, and cross-border data transfer).
Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner.
Excellent communication skills, both oral and written.
Excellent negotiation and interpersonal skills.

We're looking for an experienced and collaborative legal leader to join our growing TechReg Legal team. This is a unique opportunity to act as the lead legal partner for the Business Core tower of our Customer Identity and Core team (CIC). The CIC team is responsible for managing the enterprise system of record for over millions of customers, both consumers and businesses, enabling access to the company's digital experiences and protecting critical customer account information at the highest level of security. We are always evolving the way we serve our small business and commercial customers, and this role is at the forefront of that work. You'll partner closely with our Product, Engineering, and Design teams, providing clear, practical legal advice that helps us innovate while navigating a complex regulatory landscape. You'll work on everything from product counseling to managing issues and events.
What you'll do
Be a strategic thought partner and advisor: Provide proactive, business‑minded legal advice to our senior product leaders on the evolution of our Business Core. You'll also be something of an investigator: you'll work on projects that unite our many lines of business, so you'll drill down into how we do what we do, and why we do what we do, so we can build a better way. You'll understand the business' objectives, understand the full landscape and context of the applicable law, and work through unchartered territory as you apply the law to business initiatives.
Translate the law: Act as the subject matter expert on a wide range of regulatory issues. You'll need to understand the law and work with our regulatory subject matter experts on novel issues, understand the business and their customers (e.g., small business, commercial), understand the technology, and put them all together as a trusted business advisor. You'll translate between business intent, regulatory requirements, legal guardrails, best practices, etc. You won't need to know everything about everything, but you'll need to know a little about a lot, and know how to communicate legal requirements to the business, and business requirements to legal subject matter experts.
Quarterback: You are the Legal point person for your area. You have a defined scope, but aren't stuck in a box. You own the legal issues, including drafting product terms, reviewing marketing collateral, and interfacing with business leaders. Don't worry though, you'll have plenty of support from the rest of your Legal Team. We problem solve together.
Build scalable solutions: Help build processes, playbooks, and training materials that enable our product teams and stakeholders to move quickly and confidently.
Some examples of tasks you would be responsible for:
Reviewing product feature changes for regulatory compliance issues by meeting with business partners to better understand the feature, identifying legal obligations or risks, and providing recommendations to manage legal risk, e.g., revising user‑facing content, drafting product terms and disclosures, and assisting with strategic partnership integrations.
Performing legal research on the application of existing and new laws to novel implementations of technology, developing legal theories when applying the law to complex use cases, and using your knowledge and expertise to influence business strategy and decisions.

Basic Qualifications
Juris Doctor from an accredited law school
Active member in good standing of at least one state bar
At least 5 years of experience as an attorney in a law firm environment, at a government agency, as a military judge advocate, or as in‑house counsel
At least 5 years of experience in a small business or commercial law practice
Preferred Qualifications
8+ years of experience as a practicing attorney focused on small business or commercial law practice
8+ years of experience in an in‑house counsel role or combined experience at a law firm and in‑house counsel, supporting e‑commerce, mobile apps, payments or software products and/or agreements

ABOUT THE JOB
In this role, you will be responsible for providing legal review and guidance on issues related to proposals, procurement, contracting strategies, and day‑to‑day program execution for the Autonomous Airpower business line. You will have a robust understanding of government contracts law, the FAR and DFARS, data rights, and software contracting. This role will partner closely with customers, outside counsel, and business partners across the organization to support business development and legal operations. Anduril is a fast‑growing company at the early stages of growth. Consistent with this fast growth, members of Anduril's Legal Team must be resourceful, creative, and eager to take ownership of complex matters. The Legal Counsel‑Government Contracts role will require creativity and resourcefulness to navigate the US Government's complex procurement and compliance rules, with a singular focus on helping Anduril deploy its path‑making technology into operational settings for the United States and its allies. WHAT YOU'LL DO
Be a key member of Anduril's small, dynamic Legal Team.
Drive customer growth by executing new government contracts and growing existing ones. Use your expertise in federal procurement law to help the Business Development, Proposal, and Engineering Teams efficiently capture new contracts, grow existing contracts, and set up follow‑on opportunities for future contracts. Assist in the strategy development for new business.
Manage relationships with procurement office representatives at Government agencies. High‑trust professional relationships with Government contracting and procurement offices are critical to Anduril's continued success, and you will be called upon to develop and foster these relationships throughout your tenure.
Provide legal counsel and day‑to‑day management of the entire acquisitions lifecycle. Oversee and evaluate major proposals, monitor large contracts, lead or assist in key negotiations, resolve performance issues, identify risks and mitigations, and ensure compliance with laws, regulations, and policies.
Work on all legal aspects of Anduril's business, from negotiating license and services agreements, to bid protests and litigation, to handling intellectual property, compliance, and employment matters. You will represent the legal team in relationships with outside counsel, vendors, engineers, executives, customers, and regulators.
Develop software contracting approaches for delivering software to the Department of Defense and negotiate those agreements with contracting officers and program counsel.
REQUIRED QUALIFICATIONS
3+ years of work on U.S. government contracts matters, preferably with a law firm or the government (more senior lawyers are also encouraged to apply, the position may be adjusted based on experience)
An understanding of the government procurement process, particularly contract vehicles, software acquisition approaches, and data rights
The judgment and initiative required to make risk‑adjusted decisions for the company and own multiple projects from end‑to‑end, whether guiding the Business Development Team through the lifecycle of a deal or handling unexpected legal issues that may arise in defense or start‑up companies
