Job Summary:
We're seeking a highly motivated and experienced transactional lawyer to join our legal team and support PayPal's commercial legal team with a focus on agentic commerce initiatives and other strategic commercial work. You will be a key legal advisor and will partner closely with Sales, Product, and other cross‑functional teams to craft deal strategy, analyze business goals and structure agreements, and close complex and high‑impact partnerships with leading merchants and platforms. You'll move comfortably between strategy and execution, set goals, and deliver results.

Draft, review, and negotiate complex commercial agreements with merchants, platforms, and partners, both in the agentic commerce ecosystem (e.g., OMS and product catalog providers, agent platforms, data providers, model/API suppliers) and across PayPal's broader commercial initiatives.
Structure transactions across licensing, data use and sharing, AI safety/usage restrictions, product integrations, go‑to‑market, and strategic partnerships.
Provide timely, solution‑oriented advice to business partners on a wide variety of initiatives and issues, including payments, consumer protection, marketing, privacy and data protection, IP, and evolving AI/agent frameworks.
Collaborate with other stakeholders, including Sales, Product, Engineering, Risk, Compliance, Privacy, Finance, and Regional Legal to develop deal strategies and resolve issues quickly.
Translate strategy into action: set goals, drive execution and results both independently and as part of a team, and contribute to the overall success of the legal department and PayPal.
Build and maintain templates, playbooks, fallback positions, and training that simplify and accelerate negotiations.
Manage a high‑volume pipeline: exercise strong risk assessment skills to balance risk thoughtfully with business goals and priorities.
Lead complex non‑agentic commercial deals across PayPal's products and services as needed.
Improve processes: streamline approvals, clarify roles, and enhance visibility to stakeholders.
Establish strong client relationships building trust and effectively translating complex legal concepts and issues into practical goal focused advice for senior business leaders.
Model excellent judgment and communication; mentor teammates and influence across functions.
Manage outside counsel (as needed) efficiently and effectively, controlling costs and ensuring high-quality legal representation.
What we're looking for:
Required
8+ years leading large commercial transactions for sales or similar functions (in‑house and/or law firm).
Hands‑on demonstrated experience supporting technology, fintech, or financial services companies.
Demonstrated success drafting and negotiating complex sales, marketing, licensing, and partner agreements with external parties.
Proven ability to issue‑spot, propose practical solutions, and drive decisions in a fast‑paced environment.
Excellent negotiation, writing, and interpersonal skills; ability to effectively communicate with senior leadership, cross‑functional stakeholders and external partners.
Strong organization and project management skills; comfortable juggling multiple, time‑sensitive matters.
Preferred
Experience with agentic commerce or adjacent AI technologies (agents, orchestration/automation, model/API integrations).
Payments industry knowledge (e.g., processors, acquirers, networks, wallets, checkout, risk controls, chargebacks, settlement).
Expertise on data rights/usage, privacy, and security terms in commercial agreements.

About the team and position
Carvana is looking for an enthusiastic and talented real estate legal leader with experience in any combination of the following: real estate, property management, lease administration and regulatory or compliance matters to serve as a key advisor and project lead within the real estate legal team. This role will be an integral part of an ambitious and results-oriented team that is responsible for an array of real estate, regulatory licensing and property management functions across the Carvana and Adesa brands.
The Senior Counsel will own key projects and will be responsible for ensuring successful results, whether handling matters autonomously, collaboratively or as the project lead of a multi-member or multiple-group effort. The optimal candidate will have prior team leadership, management or other experience evidencing the ability to manage one or more direct reports.
Our team functions with high expectations, high urgency, a bias towards action while functioning at a fast pace to accomplish ambitious results. This role is expected to function at that level on day one.
This is a fully on-site position, Monday through Friday, at our corporate HQ in Tempe, Arizona.
What you'll be doing
Serve as an advisor, project leader and strategist for key legal projects associated with Real Estate Legal's Transactions, Portfolio Management and Licensing teams.
Support strategy building and lead execution of key projects that may include real estate transactional and portfolio management efforts, regulatory licensing efforts, lease administration or a combination of those focus areas.
Demonstrate proficiency in process building, with a commitment to momentum, solutions and efficiency in all efforts.
Showcase how you can help the company improve results, save cost or better utilize existing resources.
Operate with autonomy, as a self-starter who will always seek and find solutions before elevating challenges.

Own projects with an understanding of which key stakeholders need to be informed or included, delegating tasks to team members where appropriate.
Ensure timely and relevant information is relayed to Department leaders (within and outside Legal) in a manner that facilitates efficient and well-informed strategic decisions.
What you should have/know
A Bachelor's degree from an accredited undergraduate institution.
A Juris Doctor degree from a top-tier law school with a minimum of 5 years of directly relevant commercial real estate legal, property management, and lease administration or regulatory and compliance experience (law firm or in-house).
History of leading individuals, teams and/or projects in one or more distinct disciplines of legal and/or operational subject matter.
Proficiency and confidence in legal contract and transaction management; resource utilization (managing inside and outside legal teams); property management / lease administration; lease and contract interpretation and risk analysis.
Evidence of membership in good standing with a United States State Bar, and eligible for Arizona in-house admission.
Exceptional organizational, communication, time management and prioritization skills.
Demonstrated capability & commitment to critical thinking, issue-spotting and problem solving.
Ability to differentiate between theoretical and real-world considerations in a real estate department that requires a balance between risk management and efficient decision-making.
Enthusiasm and energy reflective of your ability to be a self-starter and own projects, while being receptive to continued learning and growth, ready to follow an already-established process & approach where applicable.

Team Overview
