What Does A Corporate Compliance Officer Do At Confident Financial Solutions

* Prepares and files Articles of Incorporation/Organization, state qualifications, dissolutions, EINs and other organizational and related documents.
* Prepares documents for the authorization of a variety of corporate actions to include drafting consents, filing amendments and preparing merger, consolidation, redomestication and similar documents.
* Prepares schedules, documents, spreadsheets, closing statements and funds flows for transactions such as financings, mergers and acquisitions and closing statements.
* Coordinates UCC searches and prepares UCC filings.
* Organizes documents and closing books in connection with corporate transactions such as financings, mergers and acquisitions.
* Prepares and files annual reports in states where entities are formed and/or qualified to do business.
* Drafts option grants and stock option agreements and maintains stock and stock option ledgers and company minute books.
* Understanding of regulatory and compliance landscape and the requirements and ability to strategically guide the business based on this landscape.
* Responsible for the oversight and administration of the Compliance Management System, ensuring that the company and employees are compliant with all State/Federal regulatory requirements and internal policies and procedures.
* Interacts with clients, commercial registered agents and state and regulatory authorities by telephone and by written correspondence.
* Respond to state and regulatory inquiries, examinations, and investigations as the principal point of contact.
* Establishing standards and implementing procedures to ensure that the compliance processes are effective and efficient in identifying, preventing, detecting and correcting noncompliance with applicable rules and regulations.
* Provide reasonable assurance to Senior Management and Board of Directors that there are effective and efficient policies and procedures in place, which are well understood by all employees and that the company is complying with all regulatory requirements.
* Monitor developments in the regulatory environment and assess the impact the developments on new and existing programs/practices, and effectively communicate assessments of the impact to management and employees as necessary.
* Ability to develop risk based strategies, pricing, audit function and assist in developing an overall risk management culture for the organization.
* Proficiency with analytic tools and exploratory data analysis methodologies (statistical tests, hypothesis testing, data cleansing/processing.
* Experience in statistical model development, validation, monitoring, use and implementation across the consumer life cycle - marketing, underwriting, portfolio management, collections, bad debt and methodologies including, but not limited to: logistic regression, CHAID, and factor analysis.
* Ability to develop risk management MIS and reporting using BI tools or other internal software and communicate results to management team.
* Development and implementation of policies and programs that encourage managers and employees to report suspected fraud and other improprieties without fear and retaliation.
* Assists with other projects and duties as assigned.
