Requirements - What we look for in you
Juris Doctor (J.D.) from an accredited law school and active licensure in at least one U.S. jurisdiction
5-10+ years of legal experience, ideally a blend of law firm and in‑house counsel roles within healthcare or health technology
Demonstrated expertise in healthcare regulatory areas including HIPAA, fraud and abuse, corporate practice of medicine, telehealth, payer contracting, and MSO/PC structures

The CorporateCounsel will interact with our management, and business associates across our corporate and business functions and departments, including but not limited to, finance, accounting, tax, treasury, investor relations, manufacturing and operations, sales, procurement and supply chain, IT, engineering, and strategy and business development teams, as well as with myriad of external legal service providers, and other individuals depending on the issue at hand.

Responsibilities
Assist in drafting and negotiating various commercial agreements, including but not limited to, customer and supplier agreements, technology agreements, asset and share purchase/sales agreements, transition services agreements, consulting and employment agreements, tax matters agreements, IP license agreements, etc.;
Effectively provide counsel and support for corporate governance related matters, including, but not limited to, preparation of materials for board and committee meetings, annual stockholder meetings, etc.;
Effectively provide counsel and support for commercial transactions, including but not limited to, merger, acquisition, and divestiture activities, integration or divestment processes projects, and entity management and internal restructuring projects; and
Effectively provide counsel and support for global corporate legal matters, including but not limited to, environmental, social and governance, marketing and communications, tax, treasury, manufacturing and operations, and investor relations related matters, on as needed basis.
Experience Required
Juris Doctorate from a nationally-accredited law school with strong academic credentials
Member in good standing of a state bar.
4-6 years of relevant experience in a large law firm or in-house publicly traded company having substantial domestic and international operations.
Ability to perform legal research and compile, analyze and interpret data. Requires attention to detail and strong analytical and communication skills.
Demonstrated strong broad-based experience in various areas of law;
Demonstrated strong experience with commercial transactions, including drafting and negotiating transaction documentation; and
Demonstrated strong experience with general corporate and business matters including operating agreements, bylaws, policies, and procedures.

The CorporateCounsel, Claims Litigation will provide legal services and advice regarding insurance claims of heightened complexity, including extracontractual matters, bad faith, and other major litigation. The CorporateCounsel will be a key partner to the Claims organization. This role reports to the Senior Director & Counsel, Insurance and will be responsible for working with our legal team on a wide variety of matters of significance to the organization, has in-depth experienced knowledge and the proven ability to lead efforts to resolve complex issues.
Manage complex litigation, bad faith, coverage, and extra-contractual allegations against the Company.
Effectively manage outside counsel to obtain legal advice
Successfully work with all levels of the organization, including advising senior leadership on legal risks and business strategies related to claims operations.
Manage claims litigation budget to ensure expense metrics are met.
Proactively monitor and analyze changes in laws, regulations and industry and advises appropriate organizational leadership of such changes in a timely manner.
Anticipate potential or future legal and operational issues that present a risk to the organization and proactively engage with others to identify potential solutions.
Be a business partner to Porch executives and business leaders, providing advice and assistance aimed at maximizing shareholder value.
Effectively communicate with stakeholders and varying levels of leadership in both verbal and written forms.
Produce clear and concise legal positions involving highly complex issues.
Advise on broader insurance legal and compliance issues as needed.
What You Will Bring As A CorporateCounsel, Claims Litigation
J.D. from an accredited law school; active and in good standing with U.S. state bar membership.
Candidates should have 8+ years of litigation experience at a law firm, government, and/or in-house role.
Demonstrated experience handling bad faith or extra-contractual litigation against an insurance company.
1st or 2nd chair trial and/or appellate experience
Experience effectively managing outside counsel
