GEICO is looking to hire an Associate Counsel to defend lawsuits filed in California courts and other first party insurance defense. The position is with GEICO Staff Counsel located in Los Angeles, San Diego, Sacramento, and San Francisco. .
Job duties and responsibilities:
Researching laws and preparing legal briefs, opinions, and memoranda
Rendering opinions on liability, damages, and value as requested by the Claims Department
Preparing and handling pleadings, motions, and discovery, to include depositions/examinations before trial and examinations under oath, and defending by trial or dispositive hearing, all matters assigned, as applicable
Qualifications:
2-6+ years of experience in litigation experience on insurance/defense/and or personal injury REQUIRED
Juris Doctor degree REQUIRED
Admission to the California Bar REQUIRED
Must be licensed in good standing to practice law in California and meet and maintain licensing requirements including mandatory Continuing Legal Education (CLE) requirements where applicable

Annual Salary
$112,750.00 - $186,550.00
The above annual salary range is a general guideline. Multiple factors are taken into consideration to arrive at the final hourly rate/ annual salary to be offered to the selected candidate. Factors include, but are not limited to, the scope and responsibilities of the role, the selected candidate's work experience, education and training, the work location as well as market and business considerations.

Contracting Oversight
Draft, review, revise, negotiate, and/or execute a variety of contracts, such as grant, funding, and program agreements with nonprofits collaborating with Race Forward on program, agreements relating to data sharing, vendor and consultant agreements, and agreements relating to ownership of intellectual property, corporate sponsorships, special events, licensing, real estate and leases, among other things, and advise senior management on related issues;
Advise on risk management practice, liability, and insurance matters, liaising with external brokers to determine appropriate insurance liability products and to provide certificate of insurance upon request;
Participate in strategic planning and response, both in the broad sense and on day-to-day matters.
Qualifications
Juris Doctorate degree and 3 - 5 years' proven experience in nonprofit contracts administration, risk management or compliance officer roles.
Experience in nonprofit governance, including c4 organizations, and union engagement.
Brilliant oral and written communication skills.
Highly-analytical with strong attention to detail.

The Impact You'll Make in this Role
As Senior Corporate Counsel, the candidate will join the Legal Securities and Finance team and will interact with, support various groups across the company with a primary focus on securities, corporate governance, finance and other corporate legal matters. This person will report to the Vice President, Associate General Counsel M&A and Securities. The candidate will provide counsel on securities, corporate governance matters, corporate finance and ESG matters, including drafting Forms 10-K, 10-Q and 8-K as well as proxy materials, preparing, managing and implementing corporate governance and related policies, advising on corporate finance matters and preparing, managing and implementing corporate policies. Stay up-to-date and keep Legal team advised on external governance trends, securities law and NYSE regulatory updates and ESG regulations, general legal issues and best practices. Provide legal training to members of management and business partners. Provide support for corporate transactions, planning and assisting in due diligence, drafting, and negotiating public finance agreements, and actively managing deal process and execution. Provide support on corporate and other transactions and special projects.
Your Skills and Expertise
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:
Juris Doctorate from an accredited law school and seven (7) years of experience as a corporate law generalist with experience in Securities
AND
In addition to the above requirements, the following are also required:
Required licensure to practice law within at least one state
3 years of experience drafting 34 act reports and security compliance

Requires a Juris Doctor or equivalent and three (3) years of experience developing privacy strategy to meet changing global privacy requirements; advising in a global, multi-jurisdictional product development program across regions with diverse regulatory frameworks; leading privacy review of new products, features, and services to advise on emerging products and technologies; leading internal trainings on privacy related regulatory requirements; working with the relevant privacy laws of the United States and Canada, and advising on the requirements of the U.S. FTC Act and COPPA, California's CCPA and similar state laws, and Canada's PIPEDA and its provincial equivalents; spotting privacy issues in EMEA and APAC, including EU and UK GDPRs, and EU ePrivacy directive and EECC; analyzing new privacy laws and regulatory guidance on applying existing requirements to emerging technologies; resolving consumer complaints and regulatory investigations, including providing guidance on individual cases, and drafting communications with regulators; conducting internal investigations into reports of inappropriate or unauthorized access, data misuse, and personal data loss or disclosure, including assessing potential liability, identifying legal obligations, and supporting incident response efforts; evaluating and conducting due diligence on third-party vendors and technology providers; negotiating and managing contractual relationships with third parties, including advising attorneys on privacy aspects of contracts; advising on privacy implications of advertising technologies and practices; and advising internal business teams on the use and development of AI, machine learning, and biometric tools.
