A position has become available for an Experienced Corporate Paralegal with Cantor Fitzgerald, Newmark Group, Inc. and BGC Partners, Inc. This diverse position reports to our Corporate Secretary and Chief Counsel for Securities and Corporate Governance and will be responsible for working closely with legal and accounting staff to prepare, manage and file periodic reports (including 10-K; 10-Q; 8-K; proxy; Forms 3, 4, 5, 13D/G) with the SEC and coordinating audit committee, board and shareholder communications and meetings, as well as maintaining corporate books and records, board payments, stock, RSU and other equity issuances. Superior organizational skills and follow through are needed for this position, as well as willingness to take on special projects and work with various departments throughout our organization.

Candidate must be able to communicate with senior executives, directors, outside attorneys, auditors and other senior participants.

Candidate will be a primary liaison with the outside directors and committees and must take a proactive rule and significant responsibility in managing process and content.
Must be flexible and take ownership of a fast-paced, deadline driven job.

Reporting to Signet's VP, Associate General Counsel & Corporate Secretary, this position is responsible for assisting the legal group with entity management, corporate transactions, equity management and governance documentation.
Major Responsibilities/Essential Functions:

Assist with preparing Board and Committee schedules, materials, agendas, resolutions, minutes, and reports; assist with meeting administration and attendance tracking; and support the Corporate Secretary and the Board of Directors in response to director requests, including research projects, as they arise. Assist with maintaining global subsidiary books and records, including drafting resolutions, updating and/or creation of an internal filing/tracking/document management systems, and tracking/maintaining compliance with required governmental filings for US and foreign subsidiaries. Assist with public company compliance including NYSE filings and notices, and Section 16 reporting with the Securities and Exchange Commission. Perform research and respond to requests regarding KYC and due diligence matters, special projects (such as M&A, capital markets transactions, dividends, share repurchase transactions and compliance with the terms of the Company's preference shares), executive compensation matters, compliance regarding the Company's omnibus incentive plan, and other general corporate matters, as directed by attorneys, including assistance regarding the tracking of treasury shares and omnibus incentive plan share usage. Assist with annual update of corporate governance documents, including policies, guidelines and Board committee charters and monitor developments in corporate governance. Performs additional duties and projects as assigned. Consistent regular scheduled attendance is considered an essential function of this job.
