The Commercial Counsel will play a key role in negotiating, drafting, and managing a wide range of commercial agreements while driving efficiency and scalability through effective use of contract lifecycle management (CLM) software and AI-enabled tools. This role partners closely with sales and business teams to streamline contracting processes and unlock the full value of CLM platforms. The Commercial Counsel provides practical, business-oriented legal advice, supports revenue-generating initiatives, and leverages technology and AI to enhance contract quality, consistency, and operational excellence across the organization. ESSENTIAL FUNCTIONS: (List the major or most important job duties in order of most important to least important.) * Negotiate, draft, finalize, and manage various commercial agreements, including but not limited to sales agreements, ensuring clarity and alignment with Vertiv's business objectives and internal guidelines. * Optimize the use of CLM software and partnering with cross-functional teams to streamline negotiation, execution, and post-execution management. * Leverage AI-enabled legal tools to enhance contract review, risk assessment, and drafting efficiency, while identifying opportunities to automate routine tasks, improve data insights, and support faster, higher-quality legal support for the business. * Effectively provide counsel and support for commercial transactions and objectives, leveraging advanced analytical skills and a deep understanding of legal and business considerations. EXPERIENCE AND SKILLS * Minimum 6 years of relevant experience at a large law firm or in-house publicly traded company having substantial domestic and international operations, in a commercial legal or commercial contracts role; * Demonstrated strong experience with commercial transactions, including drafting and negotiating global and/or regional sales agreements; * Demonstrated strong experience in interpreting and explaining contract language and/or complex commercial matters to internal stakeholders; and, * Demonstrated strong broad-based general corporate experience in various areas of law.
