**The opportunity:**
As Counsel for Technology and Managed Services, you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client facing complex, multi-year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software-as-a-service agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing legal advice and support to various other EY technology and product teams ("Technology & Managed Services Agreements").
You will be a part of EY's Technology and Managed Services legal group and will work closely with other GCO groups in the United States and other jurisdictions and will support the more senior members of the team.
The work is complex, often urgent, and high in volume and requires experience advising in a supplier-side technology and outsourcing transactional legal role. The role requires a background in managed services, outsourcing, and software-as-a-service, current market knowledge related to current and new technologies, and a superior ability to manage multiple competing priorities in a compressed timeframe and to escalate and interact on a regular basis with senior members of the organization.
**Your Key Responsibilities:**
+ Drafting/updating and negotiation of client facing Technology & Managed Services Agreements, including advising on contractual strategy and risk, and keeping up to date with relevant legal developments
+ Advising on key legal risks associated with the technology underpinning Managed Services Agreements
+ Collaborating closely with other members of the US GCO as well as local counsel in other EY member firms
+ Coordination of legal resources on managed services projects
+ Support coordination with cross functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax) as necessary or appropriate for Technology & Managed Services Agreements
+ Advising on the accuracy and sufficiency of contractual documentation to effectively protect EY interests
+ Understanding existing EY policies and developing/enhancing policies and guidance relevant to managed services and other technology services and products
+ Managing workflow in a highly dynamic environment and remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of the GCO
+ Building relationships and teaming seamlessly with other members of GCO, within the Legal Practice Groups, as appropriate, to deliver exceptional service to clients of GCO
+ Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing and best practice across the legal network and business, where requested or appropriate
**To qualify, candidates must have:**
+ 4+ years of relevant complex services and technology-related transactional experience in a client-facing capacity, including drafting and negotiation of Technology & Managed Services Agreements. Experience negotiating across from client's internal counsel, outside law firms, and procurement
+ Experience developing contracting templates, playbooks and standards
+ Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements
+ Experience with cross-border contracting (including employee matters such as auto-transfer laws, local country agreements, and cross boarder data transfer)
+ Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain the related legal and business risks in a practical manner
+ Excellent communication skills, both oral and written
+ Excellent negotiation and interpersonal skills

As a Guest Advocate, no two days are ever the same, but a typical day will most likely include the following responsibilities:
* Demonstrate a service culture that prioritizes the guest service experience by delivering the service standard.

* When guests need assistance, engage with guests in a welcoming way, to help solve their specific needs.

* Scan and bag all guest items efficiently, accurately and in compliance with food safety standards and company best practices.
* Work efficiently to minimize guest wait time while maintaining guest service and accuracy.
* Make the guest aware of current and upcoming brand launches, store activities and events.
* Know and speak to the benefits of Target Loyalty programs with every guest and assist with application or sign-up as needed. Be familiar with all fulfillment services, and know how to direct the guest to enroll, activate and use them.
* Understand and show guests how to use Wallet and the other features and offerings within the Target App.
* Attempt every return and follow register prompts, partnering with immediate leaders as needed to help solve for the guest while following Target's policies and procedures.
* Partner with leaders as needed to de-escalate any situations and recover the guest shopping experience while following Target's policies and procedures.
* Deliver easy and accurate service to all Order Pick Up, Drive Up, and Registry guests.
* Maintain a clean, clutter free work area (including gathering abandoned items, baskets, and hangers).
* Stock supplies during store open hours while being available for the guest.
* Demonstrate a culture of ethical conduct, safety and compliance.
* Work in a safe manner at all times; comply with all safety policies, best practices, and training; report hazards and correct where possible.
* Support guest services such as order pick up (OPU), Drive-up (DU) Orders, DU Returns and maintain a compliance culture while executing those duties, such as compliance with federal, state, and local adult beverage laws.
* Support Cash Office processes as needed, including management of cash systems.

Position and Responsibilities:
This position is working with Alabama Connections Academy. From our office in Athens or from your home office within the state, the School Counselor will assist students and parents/learning coaches with course selection, scheduling and will be the initial point of contact for student concerns that span multiple subject areas as well as non-academic issues. The School Counselor will become an expert on course and credit requirements and will work with the Manager of Counseling Services to establish counseling processes for middle and high school students.
The School Counselor will be responsible for the successful completion of the following tasks:
Advise students and families related to academics, career planning and graduation;
Keep abreast of all high school graduation requirements, including special requirements such as community service, and communicate this information to the High School Coordinator and to the principal;
Assist students and parents with the secondary school course selection process according to specific state credit and graduation requirements and student needs and interests. An integral part of this process is assisting students and parents to develop a Four Year Plan for meeting graduation requirements;
Advise students with issues related to dropping courses and changing schedules, seeking support as needed, while ensuring that the school's course selection and drop policies are adhered to;
Review student transcripts and the entry of credits into the online transcript system;
Follow procedures to ensure that Connections Academy transcripts are accurate and up-to-date;
Work with the administrative assistants to obtain school records from the student's previous school (where applicable) and forwarding student records when appropriate;
Implement programs for students and families related to interpersonal adjustment issues;
Work with school teams to identify and help families access school and community resources;
Participate in the development of crisis prevention and management plans for the school and serve as a key member of the Student Support Team (SST);
Coordinate a team of middle and high school teachers to help identify students who are “at risk” or “in crisis”; Act as the main point of contact for these students and families, communicating regularly with them;
Oversee and maintain the Personal Learning Plan (PLP) for each student;
Implement efforts to secure complete and accurate records for Connections Academy students;
Support families through the school withdrawal process, assisting with data collection regarding withdrawal;
