Ms. Clay is Chief Legal Officer of Crius Energy, and its affiliates, responsible for managing all legal matters, including litigation, compliance, regulatory, and HR matters. Prior to joining Crius Energy, Ms. Clay was Vice President, Senior Counsel for U.S. Markets at MasterCard Worldwide.

Prior to her work in the US region, Ms. Clay also served at MasterCard as Senior Counsel supporting Finance and Treasury; International and Domestic Mergers & Acquisitions; SEC matters and Board Advisory Matters. During her tenure at MasterCard, Ms. Clay received the MasterCard 2011 CFO Award and a 2010 MasterCard General Counsel’s Award.

Before joining MasterCard in 2007, Ms. Clay was Counsel for Boies, Schiller & Flexner, one of the nation’s premier law firms, for two years as a litigation associate and for seven years as corporate counsel. At the firm, she represented energy, communication and financial industry clients in connection with private and public mergers and acquisitions, joint ventures, and complex contract matters.

Ms. Clay graduated with honors, from Rutgers University, with an B.S. and a M.S. in Environmental Sciences. For her M.S., she was awarded a full scholarship from the Biochemical & Chemical Engineering Department where she worked with the Environmental Protection Agency on projects and was published for such studies in scientific journals. She received her Juris Doctor from Pace University School of Law, where she was a managing editor of the Pace University Environmental Law Review and published twice in the Law Review.

Ms. Clay resides in Stamford, Connecticut and is an active runner, swimmer and triathlete. She has completed over 200 races, and placed in the 2013 NYC Brooklyn Bridge Swim (Division 3rd Place); 2015 NYC Coney Island Aquathlon (Division 1st Place); 2016 Jersey City Triathlon (Division 1st Place); 2017 Stissing NY Triathlon (Division 3rd Place); 2019 Stamford Triathlon (Division 3rd Place).
