What you'll do
Deloitte's WNT practice provides deep technical subject‑matter expertise and works closely with the firm's tax professionals and clients to provide a comprehensive approach to analyzing complicated issues and managing risks. Our WNT Passthroughs Group specializes in the intricacies of passthrough entities (partnerships and S corporations), including domestic and cross‑border restructurings, joint ventures, mergers, acquisitions, dispositions, and financing transactions. As a Manager in WNT's Passthroughs Group, you will collaborate directly with some of the leading experts in federal, state, and international taxation to consult with our clients throughout the transaction cycle - from negotiations right up to and including tax rulings and examinations. You will work on a variety of matters and will have significant opportunities to engage in legal research, analyze novel technical issues, and draft tax opinion letters and memoranda. You will frequently participate in speaking, writing, and professional association activities that address current developments in legislative proposals, judicial decisions, regulatory and administrative guidance, as well as tax administration and tax policy.

Qualifications
Required:
Ability to perform job responsibilities within a hybrid work model that requires US Tax professionals to co‑locate in person 2 - 3 days per week

Bachelor's degree in accounting, finance, JD or related field

This compensation range is specific to Washington, DC, and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $132,930 to $246,870.
You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.

The opportunity
As an Assistant General Counsel for Technology and Managed Services you will be responsible for providing advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients, with a particular focus on advising, drafting, updating and negotiating the legal terms and conditions of client-facing complex, multi-year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and software-as-a-service agreements, artificial intelligence, big data, analytics, cloud computing, as well as providing legal advice and support to various other EY technology and product teams (“Technology & Managed Services Agreements”). What We Offer
Competitive Compensation: Base salary range for this role (US) is $210,900 to $406,000. NYC Metro Area, Washington State and California (excluding Sacramento) is $253,100 to $461,400. Individual salaries are determined by education, experience, skills and geography.

+ Proactively identify new client opportunities in maritime and/or rail, serving transportation providers and shippers.
+ Partner with account teams to shape proposals and solution offerings, integrating both traditional logistics expertise and digital capabilities (SaaS, AI, automation) to address complex supply chain challenges.

Required Qualifications
+ Bachelor's degree
+ 10+ years of relevant experience in bulk logistics, maritime, rail, or related industry sectors
+ Consulting experience with exposure to both logistics project delivery and digital solution implementation (including SaaS and AI)
+ Ability to travel up to 50%, based on the work you do and the clients and industries/sectors you serve.
+ Must be legally authorized to work in the United States without the need for employer sponsorship, now or at any time in the future.

Work you'll do
Deloitte's WNT practice provides deep technical subject-matter expertise and works closely with the firm's tax professionals and clients on complicated issues. You will collaborate with the Firm's leading experts in the area. Responsibilities include but are not limited to:
+ Research, address, and consult on technical issues specific to accounting for income taxes under US GAAP and IFRS, including developing the firms' position on certain topics.
+ Assist clients and engagement teams with their income tax accounting analyses, calculation and documentation of significant transactions and events, as well as financial statement disclosures.

Qualifications
Required:
+ 5+ years tax and ASC740 experience
