I’m known for taking complicated transactions and breaking them down to their essence to facilitate successful negotiations and to describe to shareholders, regulators and the board. • With Fallbrook Technologies, grew sales to over $20M and enviolo became the transmission of choice for North America’s bike share leader, Motivate (acquired by Lyft). Negotiated over $100M in multiple private financings for Fallbrook Technologies, as well as multiple sophisticated technology licenses resulting in ~$150M of investment in technology development. Worked with Fallbrook’s senior lender to take the company through bankruptcy to emerge in June 2018. • Managed Vonage’s pre-IPO convertible note financing and follow-on IPO to raise ~$730M, working with exchanges on acceptable listing conditions. Oversaw all governance, legal and regulatory matters, as the company grew from a small private start-up company to a public company with well over 2M subscribers.• Successfully migrated the Phorm Inc. company to the UK and legal department to new UK-based board, managing all corporate governance matters and ongoing legal counsel and support of new board.• Created strategy and led corporate governance to spin-off MediaOne from US West as a greenfield company. In addition, Negotiated a $60B sale to Comcast and the follow-on $62B superior offer from AT&T.
