FINRA Enforcement Associates, Honors Program make meaningful contributions to Enforcement's investigations of and decisions about whether to bring disciplinary actions against individuals and firms in the financial industry. Honors Associates gain substantive hands-on legal experience that develops their lawyering skills in investigating, litigating and writing. They also gain specialized knowledge about the financial industry and participate in a robust legal, financial and leadership training program. This is an entry-level position that works under the supervision of more senior attorneys, investigators, Directors and Chief Counsels. Honors Associates work on variety of discrete projects as they move through rotations in the Enforcement Legal and Investigations groups.
Essential Job Functions:
Honors Associates work directly with more senior attorneys and investigators on investigations and litigations to provide high-level support throughout all phases of Enforcement matters. Duties include:
* Performing substantive and procedural legal and sanctions research, and drafting summaries of each, in support of more senior attorneys.
* Reviewing case files for evidence that supports legal findings, including sworn testimony, electronic communications and trade blotters.
* Proposing types and categories of evidence to collect through requests for information and documentation.
* Organizing and synthesizing evidence and creating and making oral presentations of factual findings to more senior attorneys.
* Drafting written summaries of factual findings.
* Proposing questions and exhibits for and attending interviews (both sworn and informal) with customers and industry personnel.
* Drafting sections of legal documents, including charging recommendation memos, settlement documents, complaints and pre-hearing briefs in support of more senior attorneys and investigators.
* Proposing investigative and legal strategies for consideration by more senior attorneys.
* Supporting litigation teams in hearing preparation by gathering documents for production and participating in efforts by more senior attorneys to identify potential witnesses, exhibits and lines of questioning for direct and cross examinations.
* Utilizing computer resources and software applications for data and information analysis pursuant to department procedures.

* Collaboration, both in-person and virtually, in furtherance of FINRA's mission of investor protection and market integrity.

Education/Experience Requirements:
* Recent graduate of a J.D. or L.L.M. program.

The Global Regulatory Reporting team oversees our Trade and Transaction Reporting processes in all jurisdictions where Nomura conducts business. Role description:
We are looking for a senior Regulatory Reporting expert to lead our Global Trade and Transaction Reporting team in the Americas. This role is based in New York and will report to the Global Head of Regulatory Reporting.
The key responsibilities of this position will be as follows:
* Lead and oversee all aspects of trade and transaction reporting operations for U.S. markets, ensuring compliance with regulatory requirements including SD/SBSD reporting under Title VII of the Dodd-Frank Act, Canadian Trade Reporting, Qualified Financial Contracts (QFC), SEC Rule 613 (Consolidated Audit Trail), OFR (Office of Financial Research) Reporting, Large Option Position Reporting and other trade reporting regimes.
* Ensure completeness, accuracy and timeliness of reporting to relevant Trade Repositories (TRs)
* Manage and resolve reporting breaks, rejections, and regulatory inquiries
* Develop and maintain reporting controls and monitoring frameworks
* Perform selective deep dive on reporting performance to inform remediation plans and resource prioritization decisions.
* Coordinate cross functionally to drive targeted remediation of complex reporting issues.
* Conduct targeted risk assessments and process reviews along with the Operational Risk & Control team to identify improvement opportunities.

Skills, experience, qualifications and knowledge required:
* Bachelor's degree in Finance, Business, or related field
* 10+ years of experience in trade reporting within financial services
* 5+ years of management experience leading trade reporting teams
* Deep understanding of U.S. market structure and reporting requirements

* Scope of work includes, but is not limited to, fundamental financial analysis, evaluation of deal structures, review of legal terms & conditions, and coordinating credit approval processes including senior-level briefings.
* The position will involve ownership of analyzing & assigning internal credit ratings, evaluating major risks & risk mitigants of new transactions and preparation of internal memorandums to document decision rationale.
* Propose structural changes for new & existing transactions as required to manage higher risk situations or those that are experiencing negative credit trends.
* Participate in and lead counterparty due diligence discussions via calls and on-site visits with clients' or borrowers' management teams.
* Provide feedback on structuring of key commercial / legal terms in conjunction with other control areas including Legal / Finance.
* Own & manage a portfolio of Investment Grade & Sub-Investment Grade credit exposures, including ensuring timely credit reviews, participation in periodic lender calls, and holistic portfolio reviews.
* Track developments in regulatory & industry-specific operating environments, and monitor counterparty credit profile or changes in external ratings. Ensure pro-active socialization and / or escalation of such developments as needed.
* Participate in various firm-wide projects within Risk and Business colleagues across regions, including regular and ad-hoc portfolio / limit reviews.
* Ability to mentor and support development of junior members of the team.
Skills, Experience, Qualifications and Knowledge Required
* Minimum 7 years of Credit Risk experience within credit risk covering structured credit products.
* Strong understanding of asset-based and other bespoke lending structures.
* Strong written & verbal communication skills, including experience in discussions with Senior Risk Management personnel and responses to regulatory requests.
* Ability to effectively manage due diligence processes and strong analytical skills with respect to borrower financial data and loan portfolio performance metrics
* Strong familiarity with corporate financial statement analysis and credit risk metrics.
* Understanding credit and trading documentation (e.g. Credit Agreements, ISDAs) and experience negotiating credit terms for legal documentation a plus.
* Comfort interacting with the relevant business areas and coordinating between Risk Management areas and Front Office desks.
* Advising and / or assisting deal teams in a fast-paced, high-pressure environment with the ability to prioritize and complete tasks according to project needs.
* Leveraging effective business writing and verbal skills to drive consensus-building to achieve strong results.
* Bachelor's degree in Accounting or Finance preferred.
