Corporate Records Maintenance: Maintain stock ledgers, option plans, and transaction records. Due Diligence Support: Assist clients with due diligence requests using technology platforms. Transaction Management: Prepare closing checklists and manage closings for financings and M&A transactions. Filing Coordination: Interface with filing services and manage corporate filings. Document Preparation: Draft ancillary documents, manage signature pages, and compile executed documents. Legal Knowledge: Apply knowledge of Delaware corporate law and securities laws. Organizational Documents: Order charters, good standing certificates, and organize documents in NetDoc's. Draft and distribute resolutions and certificates. Proficiency in the use of electronic signature applications ( e.g. DocuSign) and document retention databases ( e.g. Google Docs, Dropbox and other proprietary virtual data rooms).
