Geode currently manages over $1 trillion in AUM across the products it advises and sub-advises. The General Counsel will be responsible for overseeing all legal and regulatory matters for GCM and its affiliates (collectively “Geode”). GCM is registered as an investment adviser with the SEC and as a commodity pool operator (“CPO”) and commodity trading adviser (“CTA”) with the NFA/CFTC. GCM's affiliate, Geode Capital Management Trust Company, LLC (“GCMTC”) is a non-depository trust company registered with the New Hampshire Banking Department (the “Banking Department”), which manages collective investment trusts (“CITs”). The General Counsel will be responsible for ensuring compliance with all laws and regulations applicable to GCM and GCMTC relating to these registrations. In addition, the General Counsel will provide corporate, securities, employment, investment management and regulatory legal advice throughout the business. The position provides a unique opportunity to join the management team of a rapidly growing business, reporting directly to Geode's President and CEO. The General Counsel will lead a legal team and work in a collaborative manner with all other business teams in providing strategic direction and guidance with respect to legal matters, as well as assisting in the fulfillment of business goals. This is a hybrid work environment opportunity located in Boston, Massachusetts with a weekly in office schedule of Tuesdays, Wednesdays and Thursdays and remote work availability on Mondays and Fridays. Primary Responsibilities: Monitor global regulatory developments relating to Geode's business and counsel on compliance with all applicable laws across the firm. Advise on corporate governance, organizational structure, securities ownership and affiliations for Geode's businesses and the funds it advises. Support Geode's Human Resource's team on employment law matters including advising on employee issues, key hires and departures, benefit plans, policies and procedures and regulatory compliance. Oversee and support the provision of investment management legal advice relating to the mutual funds advised and sub-advised by GCM and the CITs advised by GCMTC, as well as compliance with the Investment Advisers Act of 1940, as amended (the “Advisers Act”) and NFA and CFTC rules applicable to registered CPOs and CTAs. Supervise and advise on compliance with applicable laws for GCMTC and the CITs it advises, including Banking Department regulations and ERISA. Serve as Secretary of the Geode companies and advise Geode's Boards and Audit Committees on all legal matters. Participate in and/or advise relevant Geode committees, including Operations, Risk Oversight and ESG committees. Assist Geode Compliance with applicable regulatory filings (including Form ADV), policies and procedures and interpretation of securities and commodities laws. Help manage regulatory examinations and assist in responding to regulatory inquiries. Manage threats of potential litigation and subpoena responses. Oversee negotiation of technology vendor agreements, investment management agreements, non-disclosure agreements and trading documentation, including derivatives documentation. Support know-your-customer (KYC) and anti-money laundering (AML) compliance. Collaborate with Business Development on marketing efforts, including rules applicable in non-U.S. jurisdictions, and due diligence questionnaires and RFP responses. Support managed accounts for institutional investors. Assist with intellectual property and real estate related matters including negotiation and interpretation of Geode's lease and construction work agreements. Maintain legal entity organizational documents and board actions. Advise on key topical issues relevant to the business. Work closely with outside counsel when and where appropriate. Work closely with the CFO on all matters impacting the legal budget. Counsel as needed with respect to risk, information security and proxy voting.
