About the Role
iCapital is looking to hire a highly motivated and experienced Assistant Vice President or Vice President Fund Attorney to support the Legal team in Toronto. This individual will work closely with our Senior Vice President of Legal for Canada, providing strategic legal guidance throughout the fund lifecycle. Responsibilities
Negotiate various agreements with counterparties including fund managers and distribution agents.
Draft, review and negotiate fund documentation including offering materials, partnership agreements, declarations of trust, and other private fund legal documentation.
Assist with regulatory matters as required.
Provide counsel on legal matters affecting private investment funds throughout each stage of their lifecycle.
Manage outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work.
Contribute to the development, implementation and updating of internal legal policies and procedures and templates.
Collaborate with cross-functional teams including Client Relationship Managers, Finance, Product and Investor Relations.
Draft and review various contracts and other legal documentation.
Perform ad hoc research projects as needed.
Qualifications
4+ years of legal experience within the investment management space (alternative investments, including in Private Equity and Hedge Funds), advising Canadian investment fund managers, portfolio managers and exempt market dealers on fund formation, distribution and related matters
In-depth knowledge of Canadian securities laws, including registrant and investment fund regulation, and other regulatory frameworks relevant to the investment management industry
Able to learn new topics and adapt within the fast-paced, growing and constantly evolving structure of a high-growth company
Member in good standing of the Ontario Bar
Background from a top law firm is essential
In-house experience at an asset management firm is a plus

Lead and manage new manager roll-out process in market through targeted meetings, calls and roadshows to support team capital raising efforts.
Work in close partnership with asset management partners to raise capital for joint capital raising efforts.
Lead efforts on mandatory CRM usage and sales pipeline maintenance.
Qualifications
10+ years of experience working within the alternative investment industry in a client facing capacity (e.g. external wholesaler, capital raising specialist, client portfolio manager, product specialist)
Demonstrated ability to work in a fast-paced entrepreneurial environment and follow a rigorous sales process
Able to sell and provide support for a diverse platform of hedge fund, private equity, private credit, and real estate offerings
Series 7 and 63 licenses are required to receive commissions
Must obtain CAIA within 3 years of hire

Responsibilities

Responsibilities
Lead investment and operational due diligence on private capital managers identified for inclusion on iCapital's platform.
Prepare clear and comprehensive due diligence reports on managers, including qualitative and quantitative factors.
Help lead internal processes for conducting due diligence and overseeing the quality and consistency of due diligence reports. Play an active role in the management of the due diligence projects pipeline.
Keep abreast of investment opportunities and be able to successfully communicate information to the investment team.
Source new managers, perform initial screening, and identify managers for further consideration.
Maintain a pipeline of investment ideas that are in market or coming to market over a 12-month period and lead the effort in creating market maps for each major strategy.
Prepare marketing and education materials on various products and strategies for clients of the company.
Present investment merits of current products in the market as well as current trends in the private capital investing to clients.
Qualifications
10+ years of total experience in financial services; with 5-7 years of experience conducting due diligence on private capital managers, preferably for a top-tier investment consultant, large institutional LP (pension fund/endowment), or fund of funds
Prior experience focusing on fund manager evaluations
Demonstrated qualitative and quantitative analytical skills
Strong written communication skills and able to present in front of senior professionals in the industry
