Who we're looking for:
Rover has seen tremendous growth and success over its ten-year history, including our entry into the public markets in the summer of 2021. We are seeking an experienced leader, reporting to both the CFO and the Audit Committee, to direct our internal audit function and build out a high-performing team of auditors. The primary responsibility of this role would be to lead our SOX compliance program, initially directing a team of outsourced internal auditors and then managing the transition to an in-house testing team, and to coordinate the company's response to external audit requirements under SOX s404(b). Over time, we expect the internal audit function to take on additional responsibilities including, but not limited to, business and IT risk assessments, business process reviews and other compliance audits. The role will require deep expertise in SOX compliance and auditing, the ability to understand and assess risk within a complex IT environment, and sophisticated project management skills. The ideal candidate is a self-starter and effective communicator, has strong organizational and analytical skills, thrives on the opportunity to work with a large and diverse set of stakeholders, and is able to balance objective assessment with constructive feedback for stakeholders.

Director of Internal Audit
Summary/Objectives
The Director of Internal Audit is responsible for the design and implementation of the Internal Audit Program for Pathfinder Bank. The Director plans, directs, and administers a comprehensive risk-based internal audit program that includes, but is not limited to, complex audits of financial, operational, compliance, Sarbanes-Oxley Section 404, and information systems. He/she will have primary leadership responsibility for maintaining and strengthening the internal control environment. The successful candidate will provide independent reviews and evaluations of the company’s operations, information systems, financial controls, major business processes, records and reporting functions, and provide recommendations to Pathfinder Bank management and the Board of Directors.
Essential Functions
1.Develop and execute a comprehensive, risk-based financial, operational, and information technology systems audit program, with a goal of both maximizing Company performance and control, while minimizing risk. The plan must reflect a thorough understanding of the Company’s businesses and operations, as well as the changing regulatory environment and its impact on corporate governance and internal controls. Assist with compliance with the Sarbanes-Oxley Act of 2002 and update Internal Audit Programs as necessary.
2.Organize, direct, and control the Internal Audit Department and the work of all internal audit staff. This includes the review and approval of work papers and internal audit reports.
3.Execute internal audits of various areas of the bank as dictated by the Internal Audit Program and provide a written report of audit findings for management and the Board.
4.Prepare quarterly Audit Report to Audit Committee and attend and participate in Audit Committee meetings.
5.Assist and direct external auditors at interim, year end, and throughout the year; and New York State Department of Financial Services and FDIC examiners during safety and soundness exams and compliance exams.
6.Oversee, assist and evaluate any third party co-sourced audits.
Secondary Functions
1.Responsible for coordinating the external loan review engagement at the direction of the Executive Loan Committee.
2.Assist various departments within the bank with review of policy originations and updates, testing of new products, verification of interest calculations, etc.
