Summary
HHMI is seeking a Contracts Counsel for its Office of the General Counsel (OGC) to help support HHMI's programs and operations by providing informed, practical, creative, and timely legal counsel in the review and negotiation of research‑related agreements. As a member of the dynamic team in HHMI's OGC, you will be directly involved in HHMI's mission of advancing biomedical research for the benefit of humanity.
The person in this role will review and negotiate contracts relating to the conduct of research in HHMI laboratories. These contracts include agreements covering the transfer of reagents and other materials into and from HHMI laboratories (inbound and outgoing Materials Transfer Agreements or MTAs and MTOs). In addition, the Contracts Counsel ensures that inter‑institutional agreements (IIAs) and licenses entered into by third‑party research institutions that relate to technology developed in HHMI laboratories are consistent with HHMI's policies and interests. The Contracts Counsel will work closely with other OGC staff, HHMI scientific management, HHMI laboratory heads and staff, and research institution staff to efficiently resolve issues relating to MTAs, MTOs, IIAs, and licenses.
This position reports to the Deputy General Counsel and works under the general supervision of the Deputy General Counsel and one Senior Contracts Counsel. We will consider either remote or hybrid working arrangements, given the candidate's preference.

What you will do
Provide informed, practical, creative, and timely advice and counsel to HHMI departments and staff in support of HHMI's mission, strategic priorities, programmatic objectives, and operational goals while balancing organizational risks.
Maintain a thorough understanding of HHMI's policies and be able to apply them in several contexts, i.e., MTAs, MTOs and licenses.
Perform MTA Review: efficiently handle MTAs for laboratories at assigned research sites to ensure timely review and negotiation and, if MTA terms are acceptable, processing through execution. This includes:
Review and negotiate MTAs with providers and research institutions;
Advise HHMI laboratory heads and laboratory staff regarding legal obligations under MTAs;
Educate laboratory heads, laboratory staff, research institutions staff, and others involved in the MTA process on HHMI policies as they relate to MTAs;
Work collaboratively in the MTLR group to resolve legal and practical issues arising in MTA negotiation and processing.
Perform MTO Review: review and edit MTOs and advise assigned institutions as needed on questions relating to MTOs, such as MTO terms acceptable to HHMI.
Perform IIA and License Review: provide timely comments to assigned research institutions on IIAs, options, and licenses, consistent with HHMI policies.
Consult and coordinate with others in OGC and at HHMI, including Senior Director‑Scientific Officers and Senior Director‑Scientific Program Officers, as appropriate, on MTA, MTO, and license issues.
Update and maintain electronic databases associated with MTAs, MTOs, and licenses in a timely manner.
Assist the MTLR group and other OGC staff in suggesting, evaluating, documenting, and implementing improvements to HHMI procedures and practices for handling MTAs, MTOs, and licenses.
Maintain a current knowledge of legal issues and current practices in the scientific community relevant to MTAs, MTOs, and licenses, including through participation in continuing legal education and membership in appropriate bar and professional associations. As opportunities arise, support efforts of HHMI laboratories and the broader scientific community to promote the availability of reagents and other research materials.
What you bring
Juris Doctor (J.D.) degree.
Active membership in good standing with an established bar required.
A minimum of three years of experience as an attorney in private practice or in a corporate, nonprofit, or government legal department.
At least two years of experience drafting and negotiating contracts. Experience drafting and negotiating contracts relating to life sciences research and/or intellectual property is a plus.
Strong analytical, problem‑solving, judgment, and decision‑making skills, with the ability to manage multiple priorities effectively.
Excellent written and verbal communication skills, with the ability to communicate effectively with scientists, senior management, colleagues, and outside counsel.
Interest in learning new subject matter, developing proficiency with legal and information systems, and supporting the work of HHMI scientists and grantees.

What this role is all about:
The Commercial Counsel is a key legal consultant for the U.S. division of the company's North America (NAM) Legal team. You'll primarily work with the Revenue, Privacy/Security, Compliance, Finance, and the Shared Services Center teams. For over 50 years, Duane Dean Behavioral Health Center has provided substance use treatment, intervention and prevention services to adults who reside in Kankakee, Iroquois counties and throughout east-central Illinois. Working in collaboration with our management organization, Rincon Family Services, since 2017, we have expanded our services to include violence prevention, workforce development, mental health and welcome center services.
Position Description - What the Role Entails:
The counselor in the MAR Clinic provides therapeutic support, education and intervention to patients undergoing treatment for opioid use disorder (OUD) utilizing Medication Assisted Recovery (MAR) services for individuals undergoing treatment for substance use disorders. The counselor will assess the patient needs, deliver counseling services and help clients navigate their recovery journey through behavioral therapies and personalized care.
The counselor will report to the clinical supervisor/director and will provide direct counseling and support services to patients participating in Medication Assisted Recovery (MAR) programs for opioid use disorders (oud).

Areas of Accountability - What you will be doing:
Conduct comprehensive substance use assessments, diagnostic evaluations, develop and implement individualized treatment plans in collaboration with patients, updating treatment plans, continued stay reviews, case management services along with maintaining accurate and timely documentation in compliance with federal, state, and clinic regulations.
Provide assigned weekly group counseling services using evidence-based practices.
Monitor toxicology screens, patient progress in treatment, collaborate with the prescribing provider and nurses regarding medication compliance along with educating patients on the benefits of being responsible in the MAR program.
Participate in clinical team meetings, staff meetings, continuing education courses, participate in regular supervision meetings with clinical supervisors as well as maintain timely patient records utilizing electronic medical records which include documenting in compliance with agency, state and federal guidelines.

Position Qualifications - What is required to Perform the Role:
High School Diploma/GED required. Certification or licensure as a substance abuse counselor (e.g. CADC, LPC, LCSW or equivalent) or the ability to obtain certification or licensure within 2 years.
Preferred skills, experience and qualifications: bachelor's or master's degree with at least 1-2 years' experience in substance use or mental health services or related field. The ability to work within a team. Excellent communication, organizational and interpersonal skills. Knowledge of HIPAA along with working in an integrated care environment.

On-site in the office with required travel from time to time.

Schedule:
The counselor works 40 hours a week, which includes some Saturdays depending on outreach needs.

Responsibilities
The Counsel role will focus on providing legal services to Old National Bancorp and its wholly owned subsidiary, Old National Bank ("Company"). This role will have a primary focus on labor and employment law matters, offering comprehensive day-to-day support for the Company's People Team. In addition, this role will serve as a trusted, valued and strategic legal partner and advisor to the Company's business leaders and management teams. We are a 5 day in-office business culture. This position can be based at any of the following locations: 900 E. 96th Street Indianapolis, 8750 West Bryn Mawr Chicago IL (near Rosemont and the Cumberland Blue line station), St. Louis Park MN, 380 St. Peter Street in St Paul MN, the Capella building at 225 6th Street, Suite 4700, Mnpls MN, or 1 Main Street Evansville IN.
Salary Range
The salary range for this position is $77,900 - $153,000 per year. Final compensation will be determined by location, skills, experience, qualifications and the career level at which the position is filled.
Key Accountabilities
* Takes a leading role to advise Company's People Team on various labor and employment topics, including employment handbooks, policies and procedures, background screening, team member relations, performance management, workforce reductions and terminations, internal investigations, leaves of absence and disability accommodations, compensation and benefits, discrimination, and harassment and retaliation.
* Monitor significant labor and employment regulations, legislation, court decisions, and government enforcement activities and provide strategic recommendations for changes to Company practices.
* Advise Company's business leaders and management teams regarding labor and employment lawsuit avoidance strategies as well as risk management, compliance, and operational inquiries.
* Handle employment litigation, including conducting investigations and preparing responses to claims arising under Title VII, the ADEA, the ADA, as well as claims filed with the EEOC and state agencies.
* Assist with the development and implementation of employment policies, procedures, agreements, and separation strategies that support workforce planning, talent retention, and organizational objectives.
* Oversee the Company's response to employment-related disputes by developing strategic resolutions that minimize risk and litigation costs.
* Manage outside counsel on employment litigation matters.
* Coordinate and work on various legal projects as determined by senior legal leadership.
* Support other areas of the Company as needed or requested.
Qualifications and Education Requirements
* Five + years' experience practicing law full-time working in a legal department of a medium or large financial institution, or with a major law firm.
* Admitted to practice, and in good standing with the bar of one of the states in our footprint, with preference given to Illinois, Indiana or Minnesota, or qualified to be registered to practice as in-house counsel in the applicable state.
* Ability to apply sound legal analysis and practical business judgment to legal matters.
* Ability to consult with and advise Company's management at all levels.
