Responsibilities
This position is part of an enterprise-wide law department responsible for providing assistance to the General Counsel and Deputy General in providing legal advice to the organization and its geographical divisions in all areas of legal affairs managed by the Office of the General Counsel, with a focus on commercial work and corporate transactions within regulated industries.
Assist with the management of all legal matters throughout the enterprise, with a focus on commercial matters and corporate transactions involving regulatory issues and corporate governance.
Resolve legal issues and disputes involving business activities.
Work with internal and external counsel on corporate transactions, including contracting, mergers, joint ventures, and licensing. Advise on a wide range of corporate and commercial transactions, including those pertaining to information systems technology.
Negotiate and draft contracts in all areas, including enterprise customer agreements, purchase of goods and services, equipment and vehicle leases.
Work with internal and external counsel on drafting, reviewing and negotiating commercial lease agreements and related documents and advising internal stakeholders on lease terms, obligations, defaults, and dispute resolution.
Assist with internal investigations and the drafting of position statements in response to discrimination claims.
Conduct legal research and draft policies as needed to support compliance with labor and employment laws across the organization.
Monitor effective health‑related compliance programs.
Provide counsel and support on healthcare law compliance and corporate governance matters.
Advise on research related matters, including in areas of research compliance and human subjects' protection.
Lead contracting on research related matters, including material transfers, collaborations, and sponsorships.
Provide counsel and support on compliance with all applicable federal, state and local laws for the organization and its affiliates.

Qualifications
Education: Juris Doctor and current and valid admission to New York Bar.
Experience: Four to six years' experience in a law firm, non‑profit or in‑house corporate entity with experience in commercial matters, intellectual property, research contracting; familiarity with health care regulatory matters, real estate transactions and leases, and labor and employment is a plus.
Licenses / Certifications: License to practice law in New York.
Travel: Up to 10% travel.

About the General Counsel's Office
The General Counsel's Office is responsible for providing timely, coordinated, and thoughtful legal advice that is grounded in applicable laws and tailored to the foundation's programmatic needs, enhancing its ability to achieve its charitable goals. Legal staff counsel internal clients on a wide variety of regulatory, compliance, and risk‑management matters. The office currently comprises seven individuals: the General Counsel; two associate general counsels; two counsels; a legal and compliance officer; and an executive assistant. We are looking to add an additional lawyer.
About the Position
This full‑time employee reports to an Associate General Counsel and will provide legal advice and support to the Foundation focusing on corporate and technology‑related matters, including data privacy, intellectual property, cybersecurity, artificial intelligence (AI), contracts, and general corporate governance. This will include reviewing and negotiating technology contracts; serving as the primary legal partner for the Information Technology (IT) and Facilities Operations departments; supporting technology projects to improve the processing of grants and contracts; providing thought leadership within the Foundation and within the nonprofit sector on legal issues related to technology, particularly AI; and leading/advising on projects to keep the Foundation's policies and procedures up to date with the law and best practices.
This lawyer should have corporate transactional experience at law firm(s), and specific experience advising on data privacy, intellectual property, cyber security and/or AI. Experience with the nonprofit sector is preferred, and experience working in‑house is desirable but not required. Strong interpersonal, communications, and client service skills are extremely important, as are abilities to prioritize and balance projects with differing issue areas and stakeholders. Title and compensation are dependent on years of applicable experience.
Responsibilities
Support for IT and Facilities Operations
A core responsibility of this position is to act as primary counsel to the foundation's IT and Facilities Operations teams, providing day‑to‑day legal counsel on technology procurement, cloud and software agreements, licensing, and internal policies and procedures. It is anticipated that this set of responsibilities will take approximately 45 percent of the lawyer's time. Specific duties include:
Advising on data privacy, cybersecurity, AI and incident response readiness.
Partnering with IT and Facilities Operations to strengthen risk management frameworks.
Guiding the responsible use of artificial intelligence tools internally and externally, including evaluating vendors, establishing AI governance frameworks, and developing related policies to create efficiency and optimization.
Managing intellectual property issues, including copyright, trademark, and open‑source compliance.
Contributing to documentation, user guides, and system design testing to embed legal considerations into platform development.
Helping draft, review, and update policies on data governance and retention, and acceptable use of technology.
Advising, reviewing and negotiating on facilities and technology‑related contracts.
Engaging with and managing outside counsel.
Cross‑Functional Collaboration
The other core responsibility of this position is to act as counsel collaborating with other members of the legal team on technology contracts, software utility and enhancements, grants processing, and related compliance matters. It is anticipated that these responsibilities will take approximately 40 percent of the lawyer's time. Specific duties include:
HR: Support compliance in HR systems (ADP, Everfi, online training platforms).
Finance: Advise on financial systems (Concur, Stampli) and contracts.
Grants Management: Partner on Salesforce/Grants Management System, DocuSign, and data integrity.
Contracts: Support workflow design and compliance documentation.
Programs: Advise on grants pertaining to artificial intelligence and other emerging technologies.
Other Departmental Responsibilities and Support for Administrative Teams
This employee will assist the General Counsel and other members of the legal team on a variety of Foundation projects, such as improving compliance systems or developing training materials. It is anticipated that these responsibilities will take approximately 15 percent of the lawyer's time. These duties may include:
Keeping abreast of changes in technology law and regulations to ensure the Foundation remains compliant and knowledgeable about changes in the legal landscape and can anticipate future opportunities and challenges.
Developing and implementing user‑friendly policies and procedures, working in conjunction with the General Counsel, legal team, and other departments.
Designing and conducting training sessions and process guides for the General Counsel's Office and other Foundation staff.
Working on technology projects to streamline grants and contracts processing.
Requirements
J.D. with a minimum of three years of relevant legal experience. The ideal candidate should have law firm experience doing a range of technology transactional work. Nonprofit/exempt organization experience is preferred, and in‑house experience is desirable but not required.
Candidate must be a team player, flexible, and enjoy working in a collaborative environment. Ability to work well independently and as part of a team.
Experience adapting complex legal advice to create practical processes and guidance materials for clients, including in‑house users.
Experience negotiating and drafting technology‑related agreements, including software services (including AI‑related products and services), licensing, and data privacy agreements.
Ability to understand the foundation's goals and to counsel staff on how to achieve them efficiently, while appropriately factoring in legal risks and compatibility with the foundation's systems and policies.
Excellent written and oral communication skills and a strong ability to deliver quality training experiences to small and large groups.
Project management experience with developing and implementing policies and procedures.
A license to practice law in California or eligibility for such admission at the time of hiring. Registered In‑House Counsel status is acceptable.

Compensation and Benefits
The Hewlett Foundation is committed to providing compensation that is competitive within the philanthropic sector. We offer a generous total compensation package that emphasizes both base salary and comprehensive benefits , and includes an employer‑assisted housing program. What The Foreclosure Prevention Counselor Does
Assist clients in completing CAMBA intake applications and forms.
Conduct legal intake and assessment of clients and clients' families' situations and needs.
Conduct home visits in order to intake and follow‑up services.
Assist clients in completing packages and/or applications for loan modifications, fair hearings and other administrative proceedings.
Research and analyze law sources such as statutes, recorded judicial decisions, legal articles, legal codes, etc.
Prepare legal documents such as subpoenas, letters of advocacy, affidavits, and forms for administrative hearings.
Investigate facts and law of a case to determine causes of action/defenses and prepare the case accordingly.
File motions, briefs, pleadings, legal memos, and appeals with the court clerk.
Maintain accurate and comprehensive document/client files including up‑to‑date case note documentation.
Deliver or direct delivery of subpoenas to witnesses and parties to action.
Follow up with clients and other organizations regarding client progress toward legal goals/program outcomes.
Follow up with clients and servicers regarding open issues or negotiations such as, but not limited to, negotiating reinstatements, forbearance, repayment plans, mortgage modifications and/or partial claims.
Recommend and implement strategies to persuade clients to participate fully in their own legal process.
Act as client liaison/advocate to coordinate with internal and external programs and agencies to make referrals and to ensure integrated services delivery.
Develop and report program performance to funders.
With appropriate approval, negotiate with servicers on behalf of the clients.
Maintain client data in several databases and/or other designed applications (i.e. - Home Counselor Online, Counselor Max, etc.).
Prepare marketing and outreach materials for the program.

Compensation

- Provides legal advice and counsel to System administrators, faculty and staff in various areas, including but not limited to: interpreting federal and state laws and regulations; interpreting System policies, regulations, and rules; developing and drafting policies and procedures; reviewing and analyzing legislative bills; drafting legislation; and developing well researched internal legal memorandums and opinions.

Education and Experience:

SUMMARY DESCRIPTION
The NYCLU seeks an experienced, innovative, and dynamic racial justice legal expert who thrives in a collaborative, fast-paced organization. The candidate should have the ability to skillfully implement and/or support the NYCLU's interdepartmental approach to racial justice and broad docket of civil rights and civil liberties issues. This position will play a key role in executing the NYCLU's Racial Justice Center's strategic priorities.
The staff attorney will have a particular focus on the intersectionality of racial justice with NYCLU priority areas, such as environmental racism, Indigenous rights, and restorative justice. The staff attorney will utilize a range of strategies to advance racial justice in New York State, including legal research, identifying legislative priorities and threats, joining, and seeking new litigation, and civic engagement, including submitting public comments, testifying at hearings, Know Your Rights education, movement lawyering, coalition development, and strategic communications.
This position is situated in NYCLU's Racial Justice Center and directly reports to the Racial Justice Center Director.
ROLES & RESPONSIBILITIES
Independently review state and local legislation and engage in related legislative advocacy and lobbying in connection with the Racial Justice Center strategic priorities.
Developing and conducting litigation in federal and state courts and in administrative forums. All NYCLU attorneys are responsible for identifying possible litigation and advocacy, preparing pleadings, motions, and briefs; conducting discovery; presenting oral arguments; and handling all aspects of appeals.
Engaging in pre-litigation analysis including evaluating and following up on intakes; conducting factual investigations and legal analyses; utilizing the Freedom of Information Law; and drafting demand letters.
Develop strong relationships with civil rights advocacy organizations and represent the NYCLU in multi-organization coalitions and working groups.
Work in close collaboration with the NYCLU's legal department on developing RJC litigation strategies to promote and expand racial justice litigation priorities including close collaboration with the legal department in developing claims, preparing pleadings and briefs, conducting discovery and depositions, handle hearings and trials, and argue motions and appeals.
Prepares and delivers testimony at public hearings and drafting public comments.
In collaboration with NYCLU communications staff, provide expert commentary to the media, participate in media briefings, and contribute to op-eds, blog posts, and other publications.
Work closely with staff across the NYCLU-including the Education Policy Center, Legal, Policy, and Field Departments, and our Regional Offices-to ensure that the NYCLU has an integrated approach to furthering the RJC's mission.
QUALIFICATIONS
At least 3-5 years of relevant experience.
Must reside in or plan to relocate to New York
Must be licensed to practice in New York State.
Experience with litigation, drafting and amending legislation and legislative advocacy, community engagement, and leading legal priorities.
Preferred experience working on racial justice issues, such as environmental racism, infrastructure equity, land-use laws, restorative principles such as reparations, education equity, and Indigenous rights.
Significant experience working in policy, legal, or government settings; high familiarity with public and legislative policy, and legal procedures.
Demonstrated ability to work successfully with organizations representing communities of color, including Black, Latine, AMEMSA, AAPI, and Indigenous communities and/or Tribes.
Ability to work independently as well as within a team.
Excellent interpersonal, relationship-building, and communication skills.
