Gunderson Dettmer has an opening for a Knowledge Management Lawyer . The Knowledge Management Lawyer will help manage practice development knowledge initiatives and training for Gunderson Dettmer’s Public Offerings/Public Companies Group within the context of the Firm’s broader knowledge management and practice innovation strategy. The Knowledge Management Lawyer will report to the Head of the Public Offerings/Public Companies Group with a dotted line to the Firm’s Director of Knowledge Management. This role is part of a growing function within the Firm, providing significant opportunities for creativity and experimentation.

Job Responsibilities

To ensure that substantive legal and practice knowledge on capital markets transactions and public company governance is accessible to the firm’s lawyers, enhancing the quality, value-add and cost-effectiveness of the advice that Gunderson Dettmer provides to its pre-IPO and public company clients.

Legal Expertise:

  • Draft, organize and work with document automation specialists to automate the Practice Group’s forms and precedents.
  • Collect and share the Practice Group’s legal knowledge in the firm's knowledge databases and consistently update resources. Identify and close gaps in know-how and ensure that content development continues to progress. Collaborate with other Practice Groups to provide the most comprehensive legal and business know-how available.
  • Support the Public Offerings/Public Companies client service teams. Respond to inquiries from client-facing lawyers with thorough and timely answers. Develop a reputation as a go-to expert for any public offering and public company compliance knowledge requests within the Firm. Review client documents as needed and provide legal research capabilities for the Practice Group.
  • Meet training needs by delivering, participating in and promoting training for the Public Offerings/Public Companies Group as well as other Practice Groups. Leverage firm resources and processes to produce training materials efficiently and effectively.
  • Assist with client-facing initiatives, including but not limited to client training and legal content for proposals and other business development opportunities.

Work Management:

  • Proactively seek ways to improve client service and efficiency and contribute to internal best practices and innovation efforts. Actively participate in firm-wide knowledge management and practice innovation projects and initiatives.
  • Support and drive development of knowledge management systems. Organize individual and group trainings and presentations to promote knowledge systems and platforms.
  • Understand and foster the Practice Group's business and knowledge management goals. Provide feedback and set priorities in accordance with these goals.

Job Requirements

Experience:

  • Candidates must have at least 4-8 years of experience practicing securities law in a top law firm, with extensive knowledge of US securities regulation and public company compliance matters.
  • Candidates should also have substantial experience as a practicing lawyer focused on capital markets transactions (initial public offerings, Rule 144A and registered offerings, equity and convertible debt, etc.), as well as the ongoing representation of SEC reporting companies, including reviewing and advising public companies on Exchange Act periodic and current reports, proxy statements and related matters, exchange requirements, Section 13 and 16 filings, corporate governance matters and proxy advisory firms.
  • Some experience with direct listings and de-SPAC transactions is a plus, as is experience working with venture-backed technology companies (both pre- and post-IPO).

Skills:

  • Self-starter who takes ownership of projects and tasks and progresses them independently.
  • Excellent communication skills both in verbal and written forms.
  • Experience collaborating with leaders on strategy and execution.
  • Strong organizational and time management skills; ability to prioritize and manage time to meet deadlines.
  • Understands and leverages connections between other practice groups, and operational departments including Marketing, Talent, Library, and Information Technology.

Educational/Bar Requirements
