Launched in 2023, the SSCI is dedicated to ensuring that: (1) people around the country have the broadest possible protections for their civil liberties under state constitutions, (2) state courts play an independent and robust role in developing and protecting state and federal rights, and (3) the public understands the importance of state courts and has meaningful access to them. In roughly two and a half years, the SSCI has built a broad and substantial docket, covering a wide range of states and issues. To date, we have represented a party or participated as amicus in more than 55 cases spanning 30 state high courts, including on issues of access to justice, equal protection, free speech, voting rights, criminal justice, and reproductive rights. This position is part of a collective bargaining unit. It is represented by ACLU Staff United (ASU).     Overview of the Function Freshfields is seeking a Knowledge Lawyer to join our US Tax team. Freshfields is an elite global law firm with over 2,800 legal professionals around the world. Our fast-growing US practice covers the spectrum of commercial law from offices in New York, San Francisco, Silicon Valley, Washington DC, Boston and Raleigh. Our global tax team offers practical advice on issues ranging from cross-border and domestic public and private M&A transactions, international group structuring, leveraged finance, equity and debt capital markets, private capital investments, secondaries and fund manager/formation transactions, tax disputes, and tax policy and compliance advice. Our US team is led by four partners and is predominantly engaged in supporting our US and global transactions teams on transactional matters and private funds. Role summary/purpose of job This is a strategic role for an experienced tax attorney accustomed to advising on a wide range of US and international tax issues in the context of M&A, finance, capital markets, fund formation and corporate reorganizations. The successful candidate will leverage their deep technical expertise to develop and manage high-value knowledge resources, support business development, and drive innovation across the US tax practice. This is an excellent opportunity for a seasoned transactional tax lawyer looking to transition into a role that combines legal excellence with strategic impact, innovation, and collaboration. Key responsibilities and deliverables Knowledge Leadership Develop, maintain, and enhance a suite of know-how resources, including precedents, templates, and practice notes, covering a broad range of US and international transaction tax matters. Monitor legal, regulatory, and market developments; produce timely and insightful updates for internal and client use. Identify knowledge gaps and proactively create resources that support the practice's strategic goals. Business Development & Thought Leadership Collaborate with attorneys and the business development team to produce high-quality client-facing materials, including pitch content, explanatory decks, and thought leadership pieces. Contribute to client training and knowledge-sharing initiatives, helping to position the firm as a thought leader in the tax space . Innovation & Efficiency Work closely with our Global Innovation Office to design and implement tools and processes that enhance the delivery of tax advice. Lead initiatives to streamline workflows, improve consistency, and increase efficiency across the practice including coordination with the global tax knowledge team and US global transactions practice resources team. Training & Mentoring Design and deliver tax training programs for lawyers of all levels and across departments and offices, including preparation and maintenance of training materials on key topics relevant to our transactional and funds tax practice. Serve as a trusted resource for associates seeking guidance on tax research and transaction considerations . Key requirements (Communication/skills/experience) Essential This is a hybrid role requiring in office presence three days per week in Freshfields New York or Washington D.C. office. J.D. or L.L.M required. 5+ years' experience practicing transactional tax at an AmLaw 50 or global law firm with a significant transactional practice. Demonstrated expertise in advising on a wide range of US and international tax issues in the context of M&A, finance, capital markets, fund formation and corporate reorganizations. Strong interest in legal innovation and knowledge sharing. Excellent legal writing, analytical, and communication skills. Self-starter with the ability to work independently and collaboratively. For individuals assigned and/or hired to work in New York and California, Freshfields is required by law to include a reasonable estimate of the compensation range for this role. This compensation range is specific to the States of New York and California and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled, and compensation decisions are dependent on the facts and circumstances of each case.
