A position has become available for a mid-level Corporate Paralegal / Legal Assistant with Cantor Fitzgerald, Newmark Group, Inc. and BGC Partners, Inc. This diverse position reports to our Corporate Secretary and Chief Counsel for Securities and Corporate Governance. Responsibilities


Assist with preparation of SEC filings (including 10K; 10Q; 8K; proxy; Section 16 filings; registration statements) and related processes Maintain public company minute books, stock transfer records, and miscellaneous corporate governance documents Assist with Company's annual Code of Ethics certification process, ESG disclosures and similar matters Assist with electronic and physical legal filing systems Assistance with the coordination of scheduling and preparation for meetings of the board of directors and its committees Review and process invoices; work with vendors and internal accounts payable department to manage timely payments Draft correspondence to and liaise with Company's stock transfer agent and assist with stock transfer administration and records Assist with creation of Powerpoint presentations, speeches, bios and communications Document review, drafting and preparing contracts, assistance with M&A and other corporate transactions Some administrative assistance with phones, calendar, communications, documents, travel, meals, expenses for attorneys and board and meeting coordination Assistance with special events, social activities, morale boosting and charity events, newsletter and departmental activities and special projects and some personal matters Ad hoc support to the corporate legal group, including processing of nondisclosure agreements, legal entity formation and maintenance, mergers and acquisitions transactions, data rooms and other corporate matters

Duties and Accountabilities 1


Legal assistants work under the supervision of attorneys in providing legal services to clients. Their responsibilities vary depending upon the department to which they are assigned. They may also work with other personnel (e.g. other legal assistants, Practice Technology, Global Technology Services, librarians, Professional Support Lawyers, Marketing professionals) at the Firm in delivering legal services to clients. Legal assistants will be requested to perform other duties as required.

In addition, the position is required to assist other legal teams on an as needed basis and acquire an understanding of the mechanics of civil litigation, including pleadings and discovery tools. This will be achieved by attending training sessions, litigation department seminars, database training sessions, and through general on-the-job experience. Such general work may include:
Legal and factual research using library, on-line, and outside resources. Participation in document production. Maintenance of case files. Preparation of material for depositions. Summarizing and digesting transcripts. Exhibit preparation for pleadings, trials, hearings, etc. Cite checking and shepardizing legal memoranda, briefs, articles, opinions, etc. and creation of Tables and Authorities. Preparing pleadings for filing or service. Creating trial books, case binders, etc. Attending depositions, hearings, trials. Arranging for court reporters, interpreters, conference rooms, etc. Creating databases, charts, graphs, tables, etc. for data analysis. Utilizing firm resources to accomplish above tasks. Processing invoices related to vendor services contracted on behalf of a client or an attorney. Preparing daily time entries for services performed. Utilizing litigation support software programs and other spreadsheet and database programs as needed to perform client projects.
Additional Responsibilities
Work with support staff (copy center, word processing, foreign legal analyst clerks, contract legal assistants), which entails explanation and review of tasks such as page checking, collating, sequencing, coding, indexing, numbering, copying, etc. On occasion be asked to participate in special projects by the managing attorneys.
Qualifications
Clear and concise verbal and written communication skills. Basic knowledge of Microsoft Office suite and Adobe Acrobat. Ability to work under pressure and with a variety of personalities.
