Primary duties focus on providing legal administrative support to attorneys and peers in the tax planning section, document preparation and revision; work with attorneys to draft tax planning documents such as partnership agreements, acquisition and merger letters, and entity ownership flowcharts; draft and revise correspondence; transcribe dictation of voice mails; accurate proofreading skills; handle incoming and outgoing mail; receive incoming calls; set up conference calls; review monthly billing memos; open, manage and maintain client files/filing; calendar deadlines and appointments; make travel arrangements; enter attorney time; communicate effectively with all levels of internal personnel and clients. Provide a variety of direct legal support assistance services to include:
* Receive and review incoming material and independently determines the need for assembly and preparation of a variety of legal documents, e.g., charging instruments, motions, orders, pleadings, deposition notices, trial subpoenas and grand jury subpoenas. In preparation of documents, considers the nature and the status of the case involved.
* Proofread and edit drafts of legal documents such as motions, orders, correspondence, discovery requests and responses, and other pleadings. Complete variable aspects of preparing recurring legal documents that conform to the rules governing their style and format.
* Electronically file documents on behalf of and at the directive of the attorneys with the appropriate state or federal court, applying knowledge of local court rules and practices.
* Provide assistance with trial preparation by performing duties such as independently compiling trial notebooks and witness and exhibit lists.
* Prepare and track grand jury subpoenas and returns. Aid in processing and organizing legal data and other supportive material. Organize, process and copy documents in accordance with requirements. Assemble record materials for court filings.
* Compose original letters that require a good working knowledge of legal procedures and specialized terminology, e.g., transmittal of pleadings, requests for extensions of time in certain cases, advising of actions taken or developments in cases referred by other federal departments and agencies, and notices to attorneys representing defendants.
Provide a variety of ancillary office support functions requiring some subject-matter knowledge of the United States Attorneys programs and operations. Typical assignments may include the following:
* Perform docketing duties such as opening, updating and closing cases through use of the automated case tracking system. As necessary, searches database for required information.
* Obligate funds for litigation expenses and monitors for continued necessity.
* Review bills and invoices and submits to budget office for payment.
* Maintain calendar of assigned active cases. Track filing, hearing, and trial dates, and scheduling conferences and interviews. Develop and maintain suspense system for ongoing cases and informs the attorneys of pending dates and deadlines. Maintain calendar(s) of the attorney(s), scheduling appointments, interviews, and conferences, and provides reminders of commitments and court appearances.
* Assemble the physical files and electronic files for new cases by filing materials in chronological order, preparing and printing conflict of interest sheets for assigned attorneys, and numbering the initial case materials and discovery. Upon receipt, send additional discovery to outside parties as directed by the assigned attorney.
* Prepare files for closing by putting the documents in chronological order, ensuring that the relevant documents are in the file, and prepare a closing sheet for the assigned attorney's signature.
* Receive visitors, answer telephone and refer callers to staff members or take messages as appropriate. Deliver to and retrieve papers from the federal courthouse. Furnish requested information concerning pending and closed matters and cases, functions and general procedures of the office. Determine which matters should be referred to the AUSA and the urgency of the matter.
* Attend meetings and trainings as may be required and appropriate.
* Produce a variety of written documents and materials utilizing a wide range of office software applications, such as MS Word, MS Excel, MS Outlook, MS Access, Adobe Acrobat Professional or other databases. For example, assignments may include integrating output from different software types, e.g., tables produced by database applications and charts and graphs produced by electronic spreadsheet applications, into word processing or desktop publishing text. Products include complicated tables, graphs and charts, which may be incorporated into legal documents or courtroom presentations. Ensures all documents contain the proper format, spelling, punctuation, capitalization, and grammar.
* When appropriate, provide automated litigation assistance to attorneys in trial preparation and courtroom presentations, including transcribing dictation. Utilize various software applications and graphics hardware such as scanners and plotters. Prepare documents, charts, and visual materials used in trials. Provide technical support e.g., enlarging charts and photographs, duplicating tapes and videos, and marking exhibits.
* Perform other related duties as assigned.
Qualifications:
* At least one year of specialized litigation experience required, however over three years is preferred.
* Specialized experience is defined as experience reviewing legal documents such as complaints, motions, orders, answers, pleadings, subpoenas, and libels for completeness of information; retrieving and assembling information for hearing and/or trial use, researching a variety of legal sources to obtain and/or verify information; maintaining file systems; and using automated software to produce legal related reports, documents, correspondence and related materials.
* Requires excellent written and oral communication skills.
* Should have hands-on familiarity with a variety of computer applications, such as MS Word, MS Excel, MS Outlook, and Adobe Acrobat.
* Ability to consistently deliver highest quality work under extreme pressure will be very important.

Position Overview
NexBank is seeking an experienced and detail-oriented Paralegal to provide comprehensive administrative and governance support to the Chief Administrative Officer and Secretary of our banking institution. This role focuses on managing relationships with outsourced legal teams, supporting corporate governance functions, and ensuring efficient operations across various administrative operations initiatives.
Key Responsibilities
Legal Team Coordination & Management
Serve as primary liaison between internal stakeholders and outsourced legal counsel
Ensure proper tracking of legal matters, budgets, and billing across multiple vendor relationships
Corporate Governance Support
Draft, review, and maintain corporate resolutions, bylaws, and governance documents in coordination with outside legal counsel.
Assist Executive Assistant in coordinating board meeting logistics, including scheduling, notice preparation, and document collection and distribution
Maintain corporate records to fulfill regulatory documentation requests
Support annual shareholder meetings and proxy preparation processes
Entity Management
Maintain accurate records for all corporate entities, affiliates and subsidiaries
Coordinate entity formations, dissolutions, and structural changes with outside counsel
Ensure timely filing of annual reports, franchise taxes, and registered agent updates
Manage corporate seal, stock certificates, and other official documentation
Maintain stock register and accurate stockholder information
Track entity corporate governance compliance requirements across multiple jurisdictions
Counterparty Relations & Due Diligence
Respond to counterparty due diligence requests in a timely and organized manner
Maintain comprehensive due diligence databases and virtual data rooms
Prepare standardized disclosure packages and supporting documentation
Coordinate with various departments to gather required information
Meeting Support & Documentation
Prepare agendas, minutes, and follow-up action items for various meetings
Transcribe and distribute meeting minutes accurately and promptly
Policy & Procedure Management
Draft, update, and maintain census' and repositories for corporate policies and procedures ensuring accessibility across the organization
Coordinate policy review cycles with relevant stakeholders
Track policy approval workflows and implementation timelines
General Administrative Support
Manage document repositories, filing systems, and databases
Conduct research and compile findings for review
Coordinate regulatory examinations and audit support as requested
Requirements
Education & Certification
Associate's degree in Paralegal Studies, Legal Studies, or related field
Paralegal certification from an ABA-approved program preferred
Bachelor's degree in Business Administration, Finance, or related field a plus
Experience
Minimum 3-5 years of paralegal experience, preferably in banking, financial services, or corporate law
Demonstrated experience with corporate governance and entity management
Experience managing external legal counsel relationships
Background in regulatory compliance and documentation management
Technical Skills
Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook)
Experience with document management systems and virtual data rooms
Familiarity with corporate governance software and entity management platforms
Strong research skills using legal databases (Westlaw, LexisNexis, etc.)
Knowledge of electronic filing systems for corporate documents

Jackson Walker, the largest law firm in Texas, has an exciting full-time employment opportunity for a Finance Legal Administrative Assistant (LAA) in our Dallas office. The Finance LAA provides support to the lawyers and paralegals in the Finance Practice Group (PG). The ideal candidate will be professional, detail-oriented, and able to manage multiple projects.
ESSENTIAL DUTIES & RESPONSIBILITIES:
Specific duties of this position include, but are not limited to:
Manage and prioritize incoming workflow to meet all deadlines.
Assist with document revisions and preparation of sets of documents to be circulated for execution.
Prepare correspondence, memoranda, and other legal documents from written and oral drafts; draft standard correspondence and other documents.
Scan, profile, and e-mail client documentation to team members as directed.
Manage electronic file documentation by saving into appropriate electronic folders.
Answer telephone calls and forward messages to appropriate staff members as needed.
Establish and maintain deadlines associated with a file through the appropriate calendaring system.
Prepare legal and closing documents in both physical and electronic format for deal closings.
Request conflict of interest checks with Conflicts Coordinator, open files, and maintain all client and general files.
Conduct periodic review for possible storage of older files and prepares files to be closed.
Greet clients and visitors; maintain good public relations with clients; observe confidentiality of attorney-client relationship.

Makes travel arrangements when needed; request checks and submit expense reimbursements when appropriate.
QUALIFICATIONS:
Excellent communication skills, both written and verbal; demonstrated understanding of correct grammar, spelling, and punctuation.
Ability to work effectively and proactively, both independently and within a team environment.
Strong organizational skills, interpersonal skills, accuracy and attention to detail.
Strong time management skills and the ability to work under pressure in a fast-paced busy environment.
