POSITION OVERVIEW: The Assistant Counsel at St. Charles Health System, Inc. (“St. Charles”) is a hybrid in-office position in Bend, OR that provides legal counsel and representation to the health system and its personnel with an initial focus on contract drafting, review and negotiation in an independent manner with minimal day-to-day direct supervision. As health care law experience and expertise develop through training and mentorship within the Legal Department, the Assistant Counsel will assume other substantive duties including helping ensure compliance with legal, regulatory, and policy requirements and best practices that impact the health system. This position does not directly manage other caregivers, but provides oversight of paralegal and legal assistant / contracts coordinator personnel.
PRIMARY FUNCTIONS AND DUTIES:
Draft, review, and negotiate contracts and other legal documents relevant to St. Charles' business and operations, including without limitation service, procurement and purchase agreements.
Use St. Charles' contracts management software to manage all stages of contract lifecycle, from initiation through drafting, negotiation and signature phases, ensuring that the services provided in connection with the software continue to meet the needs of the health system and its caregivers.
Monitor contract turnaround times and throughput rates, making adjustments as necessary, to ensure that contracts are completed in a timely manner that properly balances protection of St. Charles, legal risk mitigation, and the operational needs of the service line.
Draft and review St. Charles policies and procedures to ensure compliance with applicable laws and regulations.
Assist with interpretation and delivery of subpoenas, warrants, court orders, and other administrative demands received by St. Charles.
Assist in researching, analyzing, guiding, educating, and coaching the organization on contract interpretation and negotiation, and health care laws to mitigate risk to St. Charles.
OTHER FUNCTIONS AND DUTIES:
Research, analyze, and develop an in-depth knowledge of federal and state laws, regulations, legal decisions and administrative guidance pertaining to health care law.

Our legal work - guided by constitutional, public trust, human rights laws and the laws of nature - aims to ensure systemic and science-based climate recovery planning and remedies at federal, state, and global levels. We seek legally-binding, countrywide and/or statewide science-based Climate Recovery Plans that will return atmospheric carbon dioxide concentrations to levels below 350 ppm by the year 2100.
Position Summary:
Our Children's Trust (OCT) is a nonprofit organization seeking law students interested in using the law to fight climate change. OCT works to secure the legal right to a healthy atmosphere and stable climate for current and future generations through its coordination of a global legal campaign. As a part of this strategic campaign, since 2011 OCT has supported youth in filing legal actions in every U.S. state, against the federal government in Juliana v. United States, and in different countries around the world. Through litigation, administrative petitions for rulemaking, and climate recovery ordinances, OCT supports youth advocating for science-based carbon emission reductions necessary to restore climate equilibrium on the planet.
Law clerks will directly support OCT's legal efforts in local, state, federal, and/or international actions, including the constitutional and public trust climate case filed against the federal government by 21 young people in Juliana v. U.S. (D. Or. 2015). Law clerks will have the opportunity to work on a variety of projects, which could include assisting attorneys around the country and the world in their legal efforts; working with experts; conducting legal and evidentiary research; drafting legal memoranda; drafting, reviewing, and editing complaints, briefs, motions, discovery requests, and declarations; preparing for oral argument and trial; and assisting with document review. OCT relies heavily on law clerks for support, placing a premium on careful, accurate, and self-directed work.
Time Commitment:
Positions can be full time or part time and can be completed remotely or in our office in Eugene, Oregon. Preference will be given to students who can commit to working at least 10 hours per week during the Fall.

Position Summary

Provides to defendant or defendant's attorney all citations, police reports, statements, media, prior convictions, witnesses names, and any and all other disclosable information pertaining to defendant's case;
Prepares, formats and/or proofreads general correspondence, including letters, inter-office memoranda, opinions and legal documents such as petitions, orders, motions, complaints, informations, indictments, jury instructions, notices, subpoenas, legal briefs, search warrants and returns, writs of various kinds, and or other legal documents;
Prepares supplemental discovery disclosures when new information comes available;
Ensures all discovery documents are signed by an attorney, copied, sent to defendant or defendant's attorney, and filed with court;
Meets and coordinates with victims of various crimes, including violent and sex crimes, and provides emotional support when necessary for child victims called to provide testimony during trial or other proceedings.
Assures that all files and documents for review or court are present;
Assures proper notification is given to police officers, witnesses, victims, or others involved;
Reviews and verifies file notes for accuracy and inputs data in computerized case management system;
Utilizes case management system database to generate various statistical and informational reports;
Assists attorneys in meeting various case deadlines;
Prepares pleadings, memoranda, and correspondence on behalf of multiple attorneys, including all documents that need to be filed with court such as motions, complaints, informations, orders, petitions, mental commitments, probation violations, subpoenas duces tecum, and affidavits;
Maintains office files and ensures proper filing of documents with court and opposing counsel;
Arranges calendar court dates;
Opens new cases;
Orders suspension packets and other certified records as needed;
Enters new cases in an electronic case management program;
Records calendar dates in an electronic case management program;
Manages the appearances of witnesses and law enforcement for assigned cases including calling off appearances when appropriate;
Performs primary secretarial duties such as answering phones, filing, taking messages, direct calls, answering questions, scheduling appointments, and opening, logging, and distributing incoming documents;
Processes cases for criminal, juvenile, post-conviction, child protection, probation violation, involuntary mental commitments, investigation, appeals, and other county cases;
Closes case files when appropriate with an understanding and ability to follow county protocol regarding records retention;
Responds to citizens' questions and comments in a courteous and timely manner;
Performs all work duties and activities in accordance with County policies, procedures and safety practices.

Document Preparation:

Assemble documents in preparation for meetings.
Draft ancillary documents by customizing existing templates for attorney to review.

Filing and Court Procedures:

Guest Services:

Qualifications:
Candidates must possess at least a high school diploma or equivalent certification.
Minimum of three years of Legal Assistant experience; prior experience in an Estate Planning, Probate, and/or Estate Settlement firm is a plus but not mandatory.
Proven ability to thrive in a results-driven environment by holding self and others accountable for achieving specific metrics within established timelines.
Experience with time tracking tools to monitor and record daily work activities and project tracking.
Ability to work independently as well as collaboratively within a team environment.
