Legal
department. The Senior Legal Specialist functions with a high degree of autonomy, and is responsible for providing support and assistance in company legal matters for Toyoda Gosei (TG) North America Corporation (TGNA) and TGNA Manufacturing Companies (AMCs).
Essential Duties and Responsibilities
Perform or support a variety of law-related activities that do not require a law degree, including contract administration, document preparation and analysis, citation checking, etc.
Responsibilities are within the Legal Support Function as a generalist or in a combination of Disciplines
Manage correspondence with inside and outside counsel; administer legal department invoicing and budget tracking and processing; maintain legal department files; submit annual filings and reports to government agencies and courts; maintain calendar for legal department regular operating rhythms; schedule and plan meetings; participate in meetings and take minutes; track legal department activities for reporting to management.
Maintain, revise, and update company policies and procedures
Organize and track customer and supplier agreements; administer electronic and physical contract files; and track contract revisions and drafts.
Prepare, review, and revise corporate governance documents under the supervision of the legal team, including but not limited to: Entity formations, corporate name registrations, and foreign entity registrations; assist in corporate secretarial activities including shareholder and board of director meetings, powers of attorney, resolutions, etc., schedule meetings and prepare meeting minutes, track and obtain appropriate signatures, and maintain corporate minute books.
Manage a docketing system for active company-involved litigation; provide support to TGNA Corporate Counsel in implementing case assessment and discovery strategy for active litigation; support legal counsel, HR, and employee relations in conducting risk assessments, including gathering and analyzing data and compliance matters; coordinate with Corporate Counsel, employee relations, internal audit and other internal stakeholders in managing the intake and administration of compliance matters
Track and manage UCC filings; respond to requests for information; manage real estate documentation.
Drive optimization by being actively engaged in continuous improvement efforts (kaizen)
This role requires the completion of other duties as assigned
Required Education, Experience, and Skills
Bachelor's degree in paralegal studies or related field is preferred, or equivalent years of relevant experience is required
Minimum of 4-8 years of experience in Legal or Compliance is required

This position will allow candidates to demonstrate expertise in providing litigation support tasks like cite checking, document review, legal research, and numerous other relevant tasks.

Skills and attributes for success:- Works under the direction of a Project Supervisor or Project Manager.- Performs complex legal research for the trial staff.- Assists in preparing draft legal documents, such as motions, briefs, memoranda of law, etc.- Reviews and conducts research for ROI (Release of Information)- Reviews new cases and conducts research of pertinent laws- Edits previously submitted final decisions and writes/researches legal opinions on newest case- Edits and reviews cases for issuance- Responds to citizen letters- Reviews AMICUS briefs- Briefs attorneys regarding legal issues, theories and draft statement of facts.- Assisting attorneys with all phases of litigation.- Cite checking via online legal research tools (Westlaw and Lexis) and blue book.
Qualifications:- Requires Juris Doctor (JD) degree, or currently attending an ABA-accredited law school, having completed at least one year of study or, an equivalent level of legal training or experience or an equivalent level of education may be substituted.- Requires sound working knowledge of federal and state court systems, legal research procedures, and legal research resources.- Thorough knowledge of legal research tools such as LEXIS and Westlaw.- Extensive experience with cite checking and blue book.- Experience performing complex legal research.- Must have hands-on familiarity with a variety of computer applications, including word processing, databases (such as document review and file management systems), spreadsheets, and imaging.- Ability to consistently deliver highest quality work under extreme pressure will be very important.
Ideally, you will also have:- Experience working in a Government and/or Litigation Support environment in conjunction with basic qualifications, preferred.- Experience with Relativity, strongly preferred and should be referenced within resume.- Publication of legal writings highly preferred.- Participation in Law Review highly preferred.- Current or active clearance.

POSITION: Michigan Advocacy Program (MAP) is seeking applicants for the position of Summer Law Clerk in our MichiganLegal Help (MLH) and Legal Services National Technology Assistance Program (LSNTAP) offices.
JOB DESCRIPTION: Law clerks work under the supervision of a staff attorney. Clerks for MLH may be assigned tasks such as researching and writing new legal content for the website, helping to develop and test new online interviews that populate legal forms, assisting with research for policy projects and helping attorneys maintain existing legal content on the MLH website. Clerks for LSNTAP may expect to perform tasks such as researching new technology, maintaining current databases, assisting with multimedia presentations, and creating content for the LSNTAP website.
DESCRIPTION OF PROGRAMS:
MichiganLegal Help: MLH helps people who are facing civil legal problems without the assistance of a lawyer. MLH operates a statewide website that is relied upon by 2 million people each year, and provides free, accessible legal information, automated tools to help people fill out court forms, step-by-step instructions that break down procedural rules, and personalized referral resources. MLH also provides technical assistance and program support to libraries, courts, and other community organizations that have programs to assist members of their community with their legal issues. Students will assist with content development and maintenance, building and testing new Do-It-Yourself form tools, and engaging in projects and policy initiatives that are active during the course of their clerkship. Legal Services National Technology Assistance Project: LSNTAP, while housed at MAP, is a national program that helps nonprofit legal aid programs across the country improve client services through effective and innovative use of technology through providing technology training, hosting community forums, and serving as a clearinghouse for technological tools, policies, and strategies. MAP has a dedicated LSNTAP manager as well as other staff who collaborate regularly on projects. We are seeking a summer law clerk to be part of the LSNTAP team. This is an exciting opportunity to be part of an important national resource for legal aid programs. The LSNTAP Law Clerk will also work closely with several other departments within MAP, including the IT department and MichiganLegal Help. For additional information, please visit lsntap.org.
QUALIFICATIONS: Law students must have at least one year of law school completed by June 2026. It is helpful if applicants have experience working with low-income persons and a commitment to assisting underserved populations.
FUNDING: Applicants are strongly encouraged to apply for outside funding for their position (e.g. law school fellowships, Equal Justice America, etc), however, MAP will fund these positions if outside funding sources are not available.
