EDUCATION, EXPERIENCE AND SKILLS REQUIRED:
College degree required; paralegal certification preferred but not required.
Minimum 3 years of experience in corporate/transactional law, with a focus on Delaware entities
Strong understanding of Delaware General Corporation Law (DGCL) and LLC Act
Proficiency in legal research tools and document management systems

Porzio, Bromberg & Newman, P.C. ("Porzio"), is a highly-respected, well-established and expanding law firm with two subsidiary companies and offices in NJ, NY, MA, DE, PA, and San Juan, Puerto Rico. Porzio is looking for a highly organized and detail-oriented Transactional Paralegal with expertise in Delaware corporate law to support our legal team in a fast-paced, dynamic environment. The ideal candidate will have experience handling corporate governance, entity formation, and transactional documentation, particularly involving Delaware corporations and LLCs.
ESSENTIAL FUNCTIONS:
Prepare and file formation documents for Delaware corporations, LLCs, and other entities
Draft and review corporate resolutions, consents, operating agreements, bylaws, and other governance documents
Assist with mergers, acquisitions, financings, and other corporate transactions
Conduct UCC searches and filings, including preparation of UCC-1 and UCC-3 forms
Maintain corporate minute books and entity databases
Coordinate with registered agents and state agencies for filings and compliance
Support attorneys with due diligence, closing checklists, and closing binders
Track and manage deadlines for annual reports, franchise taxes, and other compliance obligations
Assist with drafting and reviewing NDAs, service agreements, and other transactional documents
