We are seeking a motivated legal professional with strong transactional skills, excellent judgment and the ability to balance attention to detail with practical, solution-oriented advice. In this role, you will support a wide variety of legal matters, from contract negotiation to strategic acquisitions, helping LegalZoom achieve its business goals while minimizing risk. The ideal candidate will have excellent communication skills as they will be interfacing with cross-functional teams and external customers and partners.Key ResponsibilitiesCommercial Contracts & Strategic Partnerships Review, draft, and negotiate a wide variety of commercial agreements in support of LegalZoom's business operations, such as technology services, SaaS, licensing, employee benefits and marketing agreements. Act as a trusted partner to business stakeholders to swiftly address business risk and commercial needs. Develop and maintain form documents, templates and legal playbooks to streamline transactions. Structure, negotiate, and draft strategic partnership transactions, addressing legal risk in business-centric ways with the goal of strengthening partnerships and advancing opportunities. Mergers & Acquisitions Lead, with the support of external counsel, M&A transactions, including due diligence, negotiations, and deal structuring. Draft LOI, purchase agreements, and related documents in connection with M&A transactions. Collaborate with internal stakeholders and external counsel to ensure smooth execution of M&A transactions. Other Drive continuous improvement in legal processes and documentation standards. Other duties as assigned. Occasional travel may be required as needed. Skills & Competencies 5+ years of experience in a law firm or corporate legal department with primary emphasis on M&A and commercial transactions Experience drafting and negotiating a variety of commercial agreements, including SaaS and tech agreements, marketing agreements and vendor agreements. Persuasive communicator (written and verbal) and the ability to clearly communicate complex ideas in an understandable way so our internal teams can act on them. Strong transactional skills, excellent judgment and the ability to balance attention to detail with practical, solution-oriented advice.
