Responsibilities:
- Represent startups or investors in equity financings, including seed, Series A, and later stages, as well as convertible instrument transactions.
- Prepare and review critical financing documents, including term sheets, stock purchase agreements, and voting agreements.
- Ensure compliance with securities laws, including exemptions under the Securities Act of 1933 and Blue Sky filings.
- Counsel clients on regulatory compliance for equity crowdfunding, Regulation A+, and other securities offerings.
- Manage mergers, acquisitions, and restructuring transactions, including conducting due diligence and drafting transaction documents.
- Serve as outside general counsel to startup clients, advising on commercial contracts, cap table management, and equity compensation plans.

**Responsibilities**
+ Understand and operate various machines and operating systems with minimal training, including Johnford, Fadal, Okuma 50 taper, Haas Pallet Pool, Haas VF2, and VF0.
+ Identify and improve process and workflow to meet on-time customer delivery.
+ Ensure proper completion of paperwork for each job run.
+ Address problems reported on the shop floor by coordinating with the appropriate department.
