We are seeking an experienced Commercial Counsel to join our small but mighty legal team. In this role, you will be a key driver of deal closure and revenue growth, providing strategic legal guidance across all commercial transactions, contracts, and partnerships. In this fast-paced and lean environment, it is crucial that you are a diligent, nimble, and motivated self-starter who is comfortable with ambiguity and enjoys crafting creative solutions. You will work closely with the sales and, business development teams, along with senior leadership, to negotiate, execute, and finalize transactions that align with Mark43's growth objectives. This role is critical to ensuring timely and effective contract execution while mitigating legal risks, enabling the company to expand its impact on public safety technology and accelerate its commercial success. What you can expect to work on: Contract Negotiations & Review: Lead and manage negotiations, drafting, and reviewing of a wide variety of commercial contracts: primarily SaaS agreements with government customers, but also channel and technology partner and vendor, agreements. Commercial Transactions: Provide day-to-day legal support and guidance on commercial transactions, advising internal stakeholders on legal risks, opportunities, and strategies. Compliance & Risk Management: Work with teams across Mark43 to ensure compliance with existing agreements, and more generally with laws, regulations, and industry standards applicable to the public safety and government technology sectors. Collaboration with Key Stakeholders: Partner with sales, product, finance, and operations teams to advise on legal implications of business strategies, deal structures, and business development efforts. Training & Guidance: Educate internal stakeholders on relevant legal issues, best practices, and risk management strategies related to contracts, data privacy, intellectual property, and other commercial matters. Legal Strategy: Contribute to Mark43's long-term strategic planning, helping identify and mitigate legal risks while supporting business growth and expansion into new markets. What we expect from you: Strong alignment with our mission: A deep passion for using technology to enhance public safety and support government agencies. 5+ years of relevant legal experience, preferably with 2+ years in-house at a technology or SaaS company. B2B SaaS experience: Extensive experience drafting, negotiating, and managing contracts related to B2B SaaS products, including subscription-based agreements, licensing agreements, and enterprise-level contracts. Experience selling into government entities: Proven track record of supporting legal transactions and contract negotiations in the public sector, including familiarity with government procurement processes and federal, state and local regulatory compliance. Channel partner contracting experience: Expertise in setting up contractual relationships with channel partners, such as resellers, distributors, and systems integrators. Experience as an in-house legal generalist (i.e. corporate, employment, compliance) preferred Strategic thinker with practical solutions: Ability to identify and address legal risks while providing creative, business-minded solutions. Strong communication skills: Ability to communicate complex legal concepts clearly to non-legal stakeholders, especially cross-functional teams. Ability to handle multiple priorities: Comfortable working in a fast-paced environment with the ability to manage multiple projects simultaneously, sometimes out of your area of comfort and expertise. Juris Doctor (JD) in good standing and licensed to practice law in at least one state. Residence within the tri-state area preferred, with occasional travel required. Remote-work friendly.
