The Opportunity:

Education: JD from an accredited law school, with strong academic credentials
Current bar admission in good standing required

Manage all aspects of in-house litigation support from start to finish, including record retention/legal holds, discovery, witness interviews, mediations/arbitrations, trials, and appeals
Independently develop strategy and manages, from start to finish, lawsuits and subpoena responses on behalf of the Company, including early case assessments, exposure analyses, and matter disposition goals
Proactively identify and implement risk mitigation strategies to minimize potential litigation
Select, direct, and work collaboratively with fit-for-purpose outside counsel to deliver most favorable results for the enterprise
Collaborate with other legal departments, Finance, Internal Audit, Enterprise Risk Management teams and other functions to provide capable
Develop and effectively manage budgets
Handle other responsibilities delegated by the Vice President of Litigation

Pay Transparency:

Manage and support the day-to-day legal affairs of assigned Medical Device businesses or operating divisions, under the general supervision of, and in consultation and collaboration with, the Division General Counsel.
Manage outside counsel supporting designated Medical Device businesses and operating divisions as assigned by the Division General Counsel.
Coordinate and provide strategic legal advice to business partners with respect to a variety of legal matters affecting the Medical Device businesses, including commercial contracts, advertising and marketing, competitor interactions, and other matters.
Draft, review and negotiate a variety of complex commercial contracts, including customer, distributor and vendor agreements; development, manufacturing and service agreements; clinical trial agreements; group purchasing agreements; and distributor agreements, among others. Work with internal colleagues and outside counsel on a regular basis to review and handle a large volume of contracts, to ensure agreements mitigate legal risk and support business objectives.
Advise, counsel and report to Division General Counsel and senior business management on general legal and regulatory risks affecting the Medical Device businesses, including with respect to healthcare regulatory compliance, anti-kickback statutes, the False Claims Act, U.S. government programs and contracting compliance requirements, antitrust laws, and other applicable laws.
Keep abreast of legislative and regulatory changes with respect to healthcare and other relevant regulations that may affect HLUS' Medical Device businesses.
Provide training to HLUS' Medical Device businesses on substantive legal topics relevant to healthcare regulatory compliance, as assigned by Division General Counsel.
Contribute to, and help drive, the Legal Department's commitment to continuous operational improvement and achievement of efficiency, consistency, and alignment of contracting practices and best-in-class contract terms across the Legal Department and the HLUS Group organization to support the evolving needs and growth and expansion of HLUS Group companies.

Job responsibilities
Structure, draft, and negotiate agreements with third parties for technology products and services, including intellectual property licenses, SaaS, software, hardware, maintenance, reseller, professional services, market data, index license, platform, and cloud services contracts
Manage end-to-end negotiations and coordinate with internal stakeholders to achieve timely and successful execution of agreements
Provide guidance and subject matter expertise on new and existing regulatory requirements to business and functional partners
Support the firm's investments and acquisitions by conducting diligence on technology companies, focusing on intellectual property, controls, privacy, and technology
Build cross-functional teams with business, procurement, compliance, and strategy partners to address novel legal issues related to new technologies in financial services
Advise on contract negotiation, documentation, and dispute resolution for technology transactions
Interpret and advise on existing and emerging laws, rules, and regulations relevant to technology and outsourcing
Deliver clear, effective legal advice to both legal and non-legal professionals, including senior executives
Manage multiple complex matters simultaneously with outstanding organizational and project management skills
Select, engage, and manage outside counsel as needed for technology-related matters
Foster strong client and inter-department colleague relationships across a global matrix organization
Required qualifications, capabilities, and skills
Law degree or educational equivalent, with compliance to all relevant licensing requirements for the jurisdiction of employment
Minimum of three years of experience as a practicing attorney in a law firm or corporate law environment
Extensive experience drafting and negotiating contracts for technology and outsourcing transactions with third-party providers
Strong analytical, problem-solving, and legal research skills
Demonstrated business judgment and strategic thinking
Proven ability to independently identify issues, analyze problems, and provide viable solutions
Excellent verbal, written, interpersonal, organizational, creative problem-solving and negotiation skills
Ability to work accurately under pressure, handle deadlines, and manage multiple tasks in a high-performance environment
