The Senior Associate Counsel provides legal support for hospital information technology operations, including comprehensive legal and strategic guidance on the procurement, deployment, and governance of information technology systems (ISD) and artificial intelligence. This position reports to the Vice President, Senior Associate Counsel with a reporting matrix to the Chief Information Officer.
Responsibilities:
Advise hospital leadership and procurement teams on the legal implications of acquiring new technologies, such as electronic health records (EHR), telemedicine platforms, cybersecurity tools, and medical devices and the implementation of artificial intelligence tools.
Draft, review, and negotiate a broad array of information technology contracts-such as software-as-a-service (SaaS) agreements, cloud hosting terms, data processing addenda, and business associate agreements. Identify and address legal risks in vendor offerings and technology solutions.
Advise hospital leadership on legal considerations surrounding digital transformation initiatives, innovation adoption, and strategic partnerships with technology providers.
Collaborate with hospital IT and security teams to develop policies and protocols for safeguarding patient data and critical systems. Advise on incident response plans, breach notification procedures, and risk mitigation strategies. Stay abreast of emerging threats and evolving best practices.
Provide legal support for hospital-wide policies on technology use, social media, device management, remote work, mobile access to sensitive information, and enterprise risk for information technology. Ensure policies reflect current legal requirements and operational needs.
Support the hospital in managing disputes or litigation related to technology vendors, data breaches, intellectual property claims, and other technology-related matters. Coordinate with litigation counsel as needed.
Education and Training: Provide ongoing education to staff and leadership on legal implications of technology adoption, emerging regulatory requirements, and evolving risks in the health technology landscape.
Identify and assess legal, operational, and compliance risks in IT contract.

I am assisting an Amlaw 200 firm hire a Real Estate Counsel for their Washington DC office.
This would be a perfect opportunity for an experienced Real Estate Senior Associate or Counsel who is looking to still get great exposure to the best deals but wants to be able to go to baseball games!
It is a Boutique/Lifestyle firm but they still work on the big deals and work across from the big firms and big banks.
It may suit someone who is at an AmLaw 100 firm but is frustrated at their charge-out rates, not being able to build a book of business or is just sick of the long hours.
It is still a great platform and is not an up-and-out firm, so the opportunity is a genuine Partner track and the firm does its best to get behind its Attorneys.
They have a Business Development team and provide Attorneys with Funds to market and build business.
It is a small group, which does a lot of deals, and they are always on the issuer side.
The type of deals that the firm work on includes multifamily/shopping malls/development-type deals. There are a lot of Joint Ventures, however, there is not much leasing or Land Use type matters.
If you have REITS deal experience you would be the perfect person.

Comp for a 7th-year Associate going in as Counsel would be $285k, however, there is potential to come in at Special Counsel level with a max comp level of $330k.
The firm has a 1900 billable target for the first tier bonus of $25k.
If you hit 2200 hours you get a second tier of circa $50k.
There is also a discretionary bonus too which could bump your overall bonus up to circa $90k.
The firm offers 50 wellness hours, and you can choose what you want to do with them. You can apply it to billable time, non-billable time, or vacation.
If you put it towards your billable time it brings the target down to 1850, which means your day comes down to an 8 or 10 hour day.

KEY RESPONSIBILITIES:

Enhance travel advisor and guest relationships through exceptional customer service.
Follow call evaluation guidelines, maintains a detailed understanding of the booking and service processes: verifying and/or capturing all pertinent information; providing tour information accurately including alterations to itineraries; costs, options, including the travel protection plans; deposit requirements, and cancellation policies.
Communicate extensive details of Tauck tours accurately including cost, options, deposit requirements, cancellation policies, and travel protection plans offered.
Pursue training and development opportunities; strives to continuously build knowledge and skills with focus on active listening to identify and create sales opportunities.
Consistently meets or exceeds expected performance goals communicated by Reservations management.
Handles high call volume, navigates system software, and utilizes Outlook.
Perform other duties and responsibilities as required.

Roles and Responsibilities
* Lead investigations into potential non-compliance of the ITAR, the EAR, and other applicable U.S. and non-U.S. regulations, and draft resulting disclosures for submission to government agencies.
* Provide support for the Company's matter tracking systems and metrics, government filings, and developing process enhancements.
* Oversee investigations led by and disclosures prepared by internal and external counsel.
* Coordinate with internal stakeholders to complete root cause assessments and implement corrective actions to remediate identified enhancement opportunities.
* Brief senior leadership on ongoing investigations, trends, and compliance risks.
* Monitor proposed laws and regulations and provide advice to business stakeholders regarding implications and requirements.

Required Qualifications
* JD from an accredited law school.
* Member in good standing of the bar of at least one U.S. state.A minimum of 5 to 8 years of professional experience investigating alleged or actual regulatory/legal or company code of conduct violations.
* A minimum of 3 years of advising on or otherwise investigating trade compliance, sanctions, or related matters.
* This position requires the ability to obtain a U.S. Security Clearance for which the U.S. Government requires U.S. Citizenship
