SUMMARY: We are seeking a Conflicts and Business Intake Compliance Counsel. The ideal candidate will act as counsel to the law firm in identifying and resolving actual and potential conflicts of interest arising out of new business intake and the hiring of lawyers and staff joining the firm, as well as assisting with the onboarding of clients, matters, lawyers and staff. Core responsibilities include counseling lawyers and staff in resolving actual and potential conflicts and providing legal and operational support for the Office of General Counsel in its implementation of risk management strategies relating to new business intake, legal hiring, compliance and other legal matters involving the firm. Members of the Office of General Counsel work as an integrated team with many other departments of the firm, including management, and they are seen as valued resources and trusted advisors to the partners, associates and staff of the firm.
ESSENTIAL FUNCTIONS:
Perform initial review of conflicts reports requested by firm attorneys, identify actual and potential conflicts of interest and coordinate resolution of conflicts among all involved parties.
Advise the firm and its attorneys regarding the appropriate form and terms of engagement letters for use in documenting new engagements and counseling and assisting attorneys on drafting such letters as needed.
Approve engagement letter drafts prior to distribution to clients and assist with drafting waivers for inclusion in engagement letters or separate letters as required.
Monitor compliance with new business intake instructions and requirements, such as the completion and execution of appropriate engagement letters and any necessary waivers, implementation of ethical screens where necessary and assessment of intake risk by the firm.
Act as a resource in assisting firm attorneys in understanding conflicts of interest and managing conflicts and new business intake in an appropriate manner, including participation in firm presentations and training programs as needed.
Review conflicts reports for incoming lateral lawyers, new lawyers and legal support staff and take necessary action to clear actual and potential conflicts of interest, including interfacing with candidates where necessary to obtain further information about their work.
OTHER DUTIES ASSIGNED:
Provide legal advice to the firm and its personnel regarding various professional responsibility and risk management matters as required by the Office of General Counsel.
Tasks may include development and updating of firm policies and forms for internal use; reviewing and providing legal advice regarding client Outside Counsel Guidelines and vendor contracts; maintaining and updating terms of engagement letters, waiver letters and related documents based on changes in the law and firm practice; assisting in development of strategies and methodologies for identifying, managing, and resolving conflicts of interest and assessing client and matter fit; and developing and/or conducting internal conflicts training for the firm's lawyers and staff.
EXTENT OF CONTACT:
This position requires a high degree of contact with:
the firm's General Counsel and Assistant General Counsels;
the firm's Director of Office Services, Business Intake Risk and Compliance Director, Business Intake Manager, Conflicts Specialists and other business intake staff;
firm partners, associates and staff, including executive management.
This position requires limited contact with individuals outside of the firm.
WORKING CONDITIONS AND ENVIRONMENT: (necessary travel, unusual work hours, unusual environmental conditions, etc.)
Position is full-time, requiring a 5-day work week and standard hours as outlined in the firm policy manual, with additional hours as required when necessary to meet deadlines.
Limited domestic travel, possibly involving multiple-day trips requiring overnight stays, may be required in order to attend training seminars/CLE programs, firm meetings and the like.
PREFERRED QUALIFICATIONS:
Adheres to highest ethical standards for behavior.
Strong organizational and planning skills, including the ability to organize and prioritize numerous tasks and complete them under time constraints.
Strong interpersonal skills necessary to permit effective communication in person, by e-mail and telephone with a diverse group of lawyers and staff.
Ability to recognize actual and potential conflicts of interest under applicable professional standards, other issues that could be viewed as conflicts of interest from an ethical and/or business perspective, and effectively discussing and resolving such issues with the lawyers and staff involved.
Prior experience as a conflicts attorney, or experience in legal ethics, conflicts analysis and/or review, representation of law firms and the like.
EDUCATION AND EXPERIENCE:
J.D. degree.
Member of the State Bar in good standing in Duane Morris office where candidate will sit.
Minimum 4 years' experience as a practicing lawyer in a business law firm environment and/or prior experience as a conflicts attorney in a law firm setting.

Action Wellness started as ActionAIDS in 1986 when a group of dedicated volunteers came together to support their community at the beginning of the HIV epidemic. Today, staff provide a range of trauma-informed services to help persons with HIV and individuals with substance use disorders at risk of acquiring HIV achieve physical, emotional and economic well-being.
Job Summary
The Behavioral Health Specialist provides the full spectrum of case management services to clients within an assigned caseload of approximately 45-50 individuals.
This role delivers comprehensive support by assessing needs, developing individualized care plans, coordinating services, and monitoring progress to promote client well-being. This role also provides back-up clinical coverage to ensure continuity of care and seamless service delivery.
Essential Functions
Provide comprehensive case management services to individuals and families living with or affected by HIV/AIDS.
Assess, plan, and oversee the delivery of services to meet each client's unique needs.
Connect clients with appropriate medical, mentalhealth, substance use, and supportive services.
Attend at least one medical visit per year with each client to ensure continuity of care.
Coordinate and oversee service delivery while supporting clients in advocating for benefits and entitlements.
Deliver on-site case management services in clinic or hospital settings as required.
Perform home visits to support client care as needed.
Work in partnership with other service providers and community agencies.
Complete timely written records of client contacts no later than two business days after interaction.
Deliver specialized case management and advocacy for individuals living with HIV whose primary needs are related to mentalhealth or cognitive challenges. Provide services through home, hospital, and office visits as needed. Assist clients in navigating social service and other systems, offer information and referrals, coordinate necessary services, and conduct monthly follow-up and monitoring. Reassess client needs regularly to ensure appropriate and effective support.
Provide MH/ID expertise through consultations, evaluations, and training for staff and volunteers to enhance service delivery for clients supported by other case managers.
Partner with providers to design and implement effective discharge and home care strategies.
Complete required paperwork for client interactions and referrals in accordance with established Direct Service policy deadlines.
Maintain documentation of client interactions in accordance with the minimum contact standards and timelines outlined in the Direct Service Policy and Procedure Manual.
Ensure all performance measures, including client contacts, screenings, and service plans, are consistently achieved.
Maintain at least 450 monthly service units, calculated in 15-minute intervals.
Maintain up-to-date knowledge of community resources, benefits, and entitlements to support client referrals and advocacy efforts.
Complete timely written records of client contacts no later than two business days after each interaction.
Work in partnership with other service providers and community agencies to coordinate comprehensive care.
Provide guidance, educational resources, and referral services to clients and their families or caregivers.
Serve as an informational and advocacy resource on AIDS-related topics within the community.
Apply a strengths-focused perspective in all client interactions to promote empowerment and resilience.
Cover intake responsibilities as needed to facilitate access to services.
Attend required meetings, including Direct Services, in-service trainings, and general staff gatherings.
Participate in supervision, engaging in weekly individual and monthly group sessions.
Education and Experience
Bachelor's degree in Social Work, Human Services, Nursing, or a related field required. Master's degree preferred.
Minimum of two (2) years' experience in case management, social services, or healthcare, preferably working with individuals living with HIV/AIDS and mentalhealth conditions.
Experience in care coordination, client advocacy, and resource navigation within diverse and underserved communities.
Proficiency in addressing mentalhealth, developmental challenges, substance use issues, and providing effective case management and advocacy.

Job Description
The Philadelphia Fire Departments (PFD) division of Mobile Integrated Health (MIH), in collaboration with the Department of Behavioral Health and Intellectual DisAbility Services (DBHIDS) and the Criminal Justice Division of the Managing Directors Office (MDO), has developed a behavioral health Alternative Response Unit (ARU-3) for community risk reduction in Philadelphia.
City services are shifting away from its current all-police response to involuntary commitments (302s). The shift would have members of ARU-3 engaging those who are high utilizers of EMS 911 calls, CRC transports, primary care clinics, and special population 302s.
PFD MIH and DBHIDS will provide alternative responses and management of behavioral health calls and special population 302s. The Division of PFD MIH, DBHIDS, and the MDO are natural partners in an innovative model to improve behavioral healthcare outcomes, decrease trauma in the community, and provide services in a strength-based, recovery-oriented, trauma-informed, and culturally sensitive approach.
The ARU-3 unit will consist of one MIH Fire Paramedic Captain, one MIH Fire Paramedic Lieutenant, two MIH Fire Service Paramedics, four MIH Fire Service EMTs, one COC Director, one COC Assistant Director, one Clinical Coordinator, four Mobile Behavioral Health Crisis Specialists, and one Epidemiologist/Data.
The Mobile Behavior Health Crisis Specialist (MBHCS) works with individuals, and their community supports to assess and de-escalate a crisis, suggest a level of care necessary to meet the individual's needs, offer alternatives to involuntary hospitalization through treatment planning, and coordinate community care with the other members of ARU 3.
The cross trained MBHCS provides liaison to community agencies to facilitate communication and service provision for clients requiring multiple services who are clinically complex and high risk. The MBHCS may also need to provide emergency crisis intervention services to individuals who are high risk, e.g., suicidal, homicidal, psychotic, with the goal of stabilization and finding creative and safe community treatment alternatives. This includes rendering the above services to all presenting patients including the perinatal population, those requiring family oriented services , and individuals engaged in substance use including facility in responding to individuals who have overdosed. The MBHCS will consult with the other members of the ARU-3 regarding the need for referrals to psychiatrist, a primary care physician, hospital emergency department, crisis response center, or placing individuals in substance use treatment per determinant of the ASAM Level of Care. The primary goal of this team is engagement and improving individuals' quality of life through linkage to treatment, rehabilitation, and support services that promote wellness, recovery, integration, and community safety.
Duties and Responsibilities:
Engage with community members who are in jeopardy of presenting for psychiatric admission, decompensation, and/or substance use relapse.
Collaborate with partners/providers, including but not limited to Police and/or CIRT, in addition to all other mobile crisis units across the city to improve behavioral health outcomes for individuals in the community.
Focus on low acuity 911 calls and 302 means of transport for special populations (children, pregnant, geriatric, etc.)
Provide behavioral health assessment only for de-escalation (if needed) during encounters.
Discuss with other ARU 3 members possible interventions for individuals and families.
Provide connection to behavioral health resources
Provide follow-up on recommended services
Coordinate linkage to behavioral health, medical and social services
Work in the community in collaboration with PFD-Emergency Medical Services when dispatched; this includes riding along with PFD personnel in PFD vehicles.
Complete documentation for follow-up and data collection
Assist individuals and or family members to “navigate” the multiple systems involved in addressing their behavioral health needs
Ability to work a flexible schedule (likely non-traditional morning/evening hours and potential evenings) weekends required
Work along with multi-agency partners with a willingness to report to a unified command structure
Maintain current information on available resources and appropriate Evidence-Based Practices (EBP)
Collaborate with hospitals (ER/CRCs) to ensure continuity of care (warm handoff)
Provide outreach, engagement, and assessment to individuals identified by ARU 3 in need of services.
Remain physically mobile to provide aggressive outreach in the community to engage individuals and their families.
Help stabilize and resolve crises while functioning under pressure in challenging situations.
A willingness to accept training and additional certifications provided as necessary.
Skills Required:
Demonstrate the ability to work cooperatively and communicate effectively with a wide variety of individuals and agencies
Demonstrate qualities of integrity, stability, creativity, and negotiation skills
Knowledge of community-based resources in Philadelphia
Familiarity with the DSM V and ASAM criteria
Knowledge of basic medical and psychiatric terminology
Knowledge of the process for filing a 302 and the documentation required
Bilingual is strongly recommended but not required
Education and Experience:
Bachelor's Degree required in social work, psychology, or a related field. This position must have five years of experience with a strong emphasis on behavioral health/crisis. Knowledge of substance use, crisis response, and field experience is a plus.
Physical Demands:
Must be able to function in uncommon situations.
Must be able to work in the fast-paced environment of an emergency (911) response system.
Understands stress response and the methods to ensure personal well-being.
Understands the concepts of basic body-substance isolation as well as general universal precautions.
Ability to physically perform the duties and to work in the environmental conditions required. The environment will include working indoors and outdoors in varying weather conditions.
This position will require the individual to have the ability to bend, stoop, and stand for long periods.
Ability to sit for at least one (1) hour at a time and to use a computer and telephone.

Job Summary
The Behavioral Health Specialist provides the full spectrum of case management services to clients within an assigned caseload of approximately 45-50 individuals.

Essential Functions
Provide comprehensive case management services to individuals and families living with or affected by HIV/AIDS.

Complete required paperwork for client interactions and referrals in accordance with established Direct Service policy deadlines.
Maintain documentation of client interactions in accordance with the minimum contact standards and timelines outlined in the Direct Service Policy and Procedure Manual.
Ensure all performance measures, including client contacts, screenings, and service plans, are consistently achieved.
Maintain at least 450 monthly service units, calculated in 15-minute intervals.
Maintain up-to-date knowledge of community resources, benefits, and entitlements to support client referrals and advocacy efforts.

The Philadelphia Fire Departments (PFD) division of Mobile Integrated Health (MIH), in collaboration with the Department of Behavioral Health and Intellectual DisAbility Services (DBHIDS) and the Criminal Justice Division of the Managing Directors Office (MDO), has developed a behavioral health Alternative Response Unit (ARU-3) for community risk reduction in Philadelphia.
City services are shifting away from its current all-police response to involuntary commitments (302s). The shift would have members of ARU-3 engaging those who are high utilizers of EMS 911 calls, CRC transports, primary care clinics, and special population 302s.
PFD MIH and DBHIDS will provide alternative responses and management of behavioral health calls and special population 302s. The Division of PFD MIH, DBHIDS, and the MDO are natural partners in an innovative model to improve behavioral healthcare outcomes, decrease trauma in the community, and provide services in a strength-based, recovery-oriented, trauma-informed, and culturally sensitive approach.
The ARU-3 unit will consist of one MIH Fire Paramedic Captain, one MIH Fire Paramedic Lieutenant, two MIH Fire Service Paramedics, four MIH Fire Service EMTs, one COC Director, one COC Assistant Director, one Clinical Coordinator, four Mobile Behavioral Health Crisis Specialists, and one Epidemiologist/Data.
The Mobile Behavior Health Crisis Specialist (MBHCS) works with individuals, and their community supports to assess and de-escalate a crisis, suggest a level of care necessary to meet the individual's needs, offer alternatives to involuntary hospitalization through treatment planning, and coordinate community care with the other members of ARU 3.
The cross trained MBHCS provides liaison to community agencies to facilitate communication and service provision for clients requiring multiple services who are clinically complex and high risk. The MBHCS may also need to provide emergency crisis intervention services to individuals who are high risk, e.g., suicidal, homicidal, psychotic, with the goal of stabilization and finding creative and safe community treatment alternatives. This includes rendering the above services to all presenting patients including the perinatal population, those requiring family oriented services , and individuals engaged in substance use including facility in responding to individuals who have overdosed. The MBHCS will consult with the other members of the ARU-3 regarding the need for referrals to psychiatrist, a primary care physician, hospital emergency department, crisis response center, or placing individuals in substance use treatment per determinant of the ASAM Level of Care. The primary goal of this team is engagement and improving individuals' quality of life through linkage to treatment, rehabilitation, and support services that promote wellness, recovery, integration, and community safety.
Duties and Responsibilities:
Engage with community members who are in jeopardy of presenting for psychiatric admission, decompensation, and/or substance use relapse.
Collaborate with partners/providers, including but not limited to Police and/or CIRT, in addition to all other mobile crisis units across the city to improve behavioral health outcomes for individuals in the community.
Focus on low acuity 911 calls and 302 means of transport for special populations (children, pregnant, geriatric, etc.)
Provide behavioral health assessment only for de-escalation (if needed) during encounters.
Discuss with other ARU 3 members possible interventions for individuals and families.
Provide connection to behavioral health resources
Provide follow-up on recommended services
Coordinate linkage to behavioral health, medical and social services
Work in the community in collaboration with PFD-Emergency Medical Services when dispatched; this includes riding along with PFD personnel in PFD vehicles.
Complete documentation for follow-up and data collection
Assist individuals and or family members to “navigate” the multiple systems involved in addressing their behavioral health needs
Ability to work a flexible schedule (likely non-traditional morning/evening hours and potential evenings) weekends required
Work along with multi-agency partners with a willingness to report to a unified command structure
Maintain current information on available resources and appropriate Evidence-Based Practices (EBP)
Collaborate with hospitals (ER/CRCs) to ensure continuity of care (warm handoff)
Provide outreach, engagement, and assessment to individuals identified by ARU 3 in need of services.
Remain physically mobile to provide aggressive outreach in the community to engage individuals and their families.
Help stabilize and resolve crises while functioning under pressure in challenging situations.
A willingness to accept training and additional certifications provided as necessary.
Skills Required:
