You'll support the Enterprise and OCLO strategic goals of protecting Nationwide from legal and regulatory compliance risk associated with billing and payments activities, including Regulation E and Sanctions laws and regulations. Job Description Lead and manage a legal team responsible for preserving financial strength and protection of the Nationwide Enterprise and its customers through support for Corporate Treasury and various Corporate Financial Transactions, including debt issuances, surplus notes issuances, cat bond issuances, credit facilities, liquidity and funding arrangements (e.g., FHLB, commercial paper), intercompany borrowings, capital movement transactions, intercompany pooling agreements, cost sharing agreements, tax sharing agreements, etc. Drives operational excellence in support of NF Reinsurance, Financial Transactions and Financial Regulation support, including driving continuous improvement opportunities and identifies efficiencies through automation and development of capabilities to measure performance through tracking metrics. Liaises with state insurance departments to obtain approval for various material financial transactions (including acquisitions) and dividends. Provides strategic thought leadership on the provision of legal and regulatory support for the above areas with a focus on improving processes for transactions, due diligence production/diligence calls, financial statement disclosures Strategic thought leadership on structuring options for NF reinsurance transactions Provides strategic direction to team responsible for Corporate Treasury activity including banking agreements with key banking partners (e.g., JPMC, Wells Fargo, BNYM), Payment services agreements, PCI/NACHA contractual compliance considerations. Provides advice on all aspects of credit and funding agreements. Oversees a team that addresses Corporate Treasury and Finance activity. May perform other responsibilities as assigned. Reporting Relationships: Reports to VP, Legal Counsel. Typical Skills and Experience: Education: Juris Doctorate (JD) from an American Bar Association-accredited law school. Licensing Requirement: Associates reporting within Nationwide's Office of the Chief Legal Officer (OCLO) who are functioning in attorney roles must be fully licensed in accordance with OCLO policy, in good standing and in compliance with all continuing legal education requirements at all times in the state(s) in which they practice. Experience: Typically, ten years of legal practice with regulatory legal experience preferred; organizational and managerial skills; and understanding of relevant insurance, financial and investment regulations. Ten years of experience support corporate finance, banking law, corporate law, life and annuity reinsurance, state insurance financial regulation. Knowledge, Abilities and Skills: Strong leadership, communication and organizational skills, including regular interface with senior leadership and key external partners such as Treasury, Finance, NF CFOs, key insurance brokers, key banking partners, etc. Ability to set strategic direction of team in alignment with Enterprise and OCLO priorities, establish clear goals to satisfy those strategic priorities, and develop metrics to track success relative to objectives to demonstrate achievement of goals/priorities. Maintains a leadership role in crisis management. Manages response to threats to the company or individuals through direct intervention and/or by developing contingency plans to mitigate the risk or threat. * Supports the executive protection program to address threats that may impact our senior leaders. * Maintains a high profile in the industry, influencing regulatory and statutory requirements for the security industry worldwide. Works with various organizations including law enforcement agencies, professional security associations, to implement industry programs that improve the professionalism of the security industry and provide positive brand recognition for Nationwide. Works with local government and business leaders to promote and provide guidance on security matters that influence the safety of our surrounding properties for Nationwide campuses. * Builds strong, collaborative work relationships across the organization and regularly communicates with leaders to effectively manage program effectiveness and support the Protective Services mission. May perform other responsibilities as assigned. Reporting Relationships: Reports to VP, Protective Services. Leads a team of 3-5 people leaders and indirectly a team of approximately 75 skilled security professionals across the campuses. Typical Skills and Experiences: Education: Undergraduate degree in a business or security related field of study preferred. License/Certification/Designation: Must maintain a security provider license. Professional designations such as the Certified Protection Professional (CPP), from the American Society for Industrial Security, is preferred. Experience: 10 or more years of progressive experience in the corporate security environment. Knowledge, Abilities and Skills: Proven experience managing a corporate security function. Skilled at risk management, financial management, associate development and engagement. Strategic thinker that anticipates the needs of the organization and connects those needs to emerging practices and future technologies to form a security strategy that evolves with the organization. Strong leadership; oral and written communication; collaboration, planning; program development; strategy development and execution skills. Other criteria, including leadership skills, competencies and experiences may take precedence.
