We're looking for a Paralegal with a strong background in government contracting to join our Contracts team. This position plays an essential role in supporting contract compliance, negotiation, and lifecycle management within our dynamic reseller environment.
Key Responsibilities
Contract Review & Drafting
Review, draft, and redline agreements including but not limited to, reseller, distribution, teaming, customer, NDA, subcontractor agreements.
Analyze and interpret terms to ensure compliance with FAR, DFARS, GSA schedules, and state/local procurement regulations.
Identify and flag risk areas, ambiguous clauses, or non-compliant provisions for review.
Contract Lifecycle Management
Maintain contract records and version control through internal management systems.
Track renewals, expirations, and modifications to ensure business continuity and compliance.
Support vendor and partner onboarding through agreement preparation and compliance documentation.
Compliance & Due Diligence
Ensure contracts align with corporate policies, public sector regulations, and partner requirements.
Assist with cybersecurity compliance (NIST 800-171, CMMC) and other government-mandated standards.
Conduct due diligence for new technology vendors and resellers supporting federal and SLED customers.
Cross-Functional Collaboration
Work closely with Contracts, Sales, Finance, and Operations teams.
Support proposal and bid teams by reviewing contract flow-downs and required certifications.
Liaise with technology vendors and public sector customers to clarify contract terms and ensure smooth execution.
Research & Administrative Support
Research updates in procurement regulations, FAR/DFARS clauses, and government compliance frameworks.
Prepare summaries, contract abstracts, and internal compliance reports for leadership.
Maintain and improve contract templates, clause libraries, and process documentation.
Other Duties
In addition to the responsibilities outlined above, you may be required to perform additional tasks and duties as assigned. These may include supporting other departments, participating in specialized projects, and contributing to the overall success of the organization.
Required Qualifications
Education: Bachelor's degree in Legal Studies, Business Administration, or related field. Paralegal Certificate preferred.
Experience:
3-5 years of experience as a Paralegal or Contracts Specialist, preferably in a federal IT reseller, systems integrator, or public sector contracting environment.
Strong understanding of FAR/DFARS, GSA Schedules, and public procurement.
Experience with software licensing, cloud agreements, partner/vendor contracts, and more.
Skills:
Excellent attention to detail and analytical ability.
Strong written and verbal communication skills.
Proficiency in Microsoft Office, SharePoint, and contract management platforms. Experience with Salesforce or similar CRM preferred.
Ability to manage multiple priorities in a fast-paced, compliance-driven environment.

Knowledge of software OEM and ISV partner programs.

The Office of Technology Transfer (OTT) at George Mason University (Mason) is responsible for protecting intellectual property (IP) rights of inventions by faculty, researchers, and students at Mason. OTT also accelerates and facilitates the commercialization of university research and technology.
About the Position:
The Technology Transfer Paralegal reports directly to the Director of OTT and provides legal and administrative support for intellectual property management and commercialization efforts. Responsibilities:
Patent Prosecution Support:

Clark seeks an experienced Paralegal to join its in-house Legal group. The Paralegal works day-to-day with our in-house legal team and is responsible for managing Clark's claim and litigation docket, leading the Company's eDiscovery process, managing Clark's owner and corporate contracts, and responding to subpoenas. The Paralegal will also provide support for a wide-range of legal activities.
**Responsibilities**
+ Assist with the full lifecycle of contract management, including drafting, reviewing, negotiating, and organizing various contracts such as vendor agreements, subcontracts, and contracts with project owners. Maintain and organize legal documents, contracts, contractual flowdowns, and corporate records in both physical and electronic formats.
+ Manage templates and forms used in contract negotiation, organize template and form update initiatives, and maintain internal process guides.
+ Conduct legal research on various construction law topics, regulatory compliance, and corporate matters.
+ Assist with ensuring compliance with local, state, and federal regulations applicable to the construction industry. Background experience with federal contracting is a plus.
+ This person should be experienced with editing documents and "tracked changes" to assist attorneys in negotiating contracts. Will also assist in managing task trackers.
+ Provide support for claims management.
+ Oversee and manage all elements of the Company's eDiscovery obligations, including the legal hold and document collection processes.
+ Oversee and prepare responses to third-party subpoenas and record requests on behalf of the Company.
+ Review, analyze and synthesize pleadings, documents, merger and acquisition agreements and other contracts for litigation, claims, and investigations.
+ Identify, implement, and ensure best practices and processes for litigation, discovery and claim management.
**Qualifications**
+ Associate's or Bachelor's degree, with a paralegal certificate from an ABA-approved program.
+ Experience as a paralegal, preferably within the construction industry or a corporate legal department.
+ Strong understanding of contract law, corporate law, and general legal principles.
+ Excellent written and verbal communication skills.
+ Proficiency in legal research software (such as WestLaw and PACER) and document management systems.
+ Exemplary organizational skills and attention to detail, with ability to prioritize and manage a demanding workload involving multiple tasks, responsibilities and deadlines with proactive follow-through and minimal supervision under pressure.
+ Strong interpersonal and communication skills including ability to handle difficult or sensitive information in a tactful and confidential manner as position will interact with employees throughout the organization.
+ Superior work ethic, self-starter with strong initiative and ability to operate independently and as a part of a team.

**The Physical Side of the Role:** Given that a good portion of your day will be spent at a desk, you should be comfortable with prolonged periods of focused work, whether it's collaborating with colleagues, analyzing data, or developing strategies. The role demands effective communication and sharp visual acuity for reviewing complex documents and performing detailed computer work. While there are times for quiet concentration, you'll also be expected to move actively throughout the office and travel occasionally to various locations, including dynamic construction sites, utilizing different modes of transportation. The ability to lift and move objects up to 10 pounds regularly, and up to 25 pounds on occasion (think a box of files or small office equipment), is also required.
**Your Work Environment:** Your primary workspace will be in our professional office, which has a typical, quiet-to-moderate noise and light levels. As part of your work, you may also be required to visit active construction sites. These environments are naturally more dynamic and can include exposure to outdoor weather conditions, louder noise, and moving equipment.
