This role is hybrid, two days per week in our Pleasanton, CA office (Tuesdays & Wednesdays). Responsibilities: Discovery Management: This is often the largest part of the job. They manage the process of exchanging information (documents, emails, data) between parties. E-Discovery: Managing, organizing, and reviewing vast amounts of electronic documents using sophisticated software (Relativity, I-Pro). Create and maintain corporate minute books for parent company and its US and foreign subsidiaries; Draft and prepare resolutions, bylaws, and other documents related to entity formation, minutes, consents, stock certificates and related transfer documents, officer certificates and related basic corporate and commercial documents; Entity management/corporate maintenance including drafting and filing corporate charter documents, merger documents and documentation for foreign qualifications and registrations in accordance with applicable law and company policies and practices. Qualifications: Minimum of 8 years of related work experience with a minimum of 5 years experience as a paralegal with a large law firm or corporate law department.
