About the Role
Alumni Ventures is seeking a Paralegal to support the General Counsel and Chief Compliance Officer in ensuring the firm operates in a legally compliant, accurate, and efficient manner while achieving its business objectives. This role is a key contributor within the Legal & Compliance team and plays a critical part in regulatory filings, fund offerings, compliance administration, and corporate governance support.
The Paralegal will be trusted to manage time-sensitive regulatory deliverables, identify opportunities to improve processes, and build strong working relationships across the organization. What You'll Do
Prepare fund offering materials and complete initial registration filings and Blue Sky filings in accordance with regulatory requirements
Support compliance review and approval of marketing materials
Track compliance deadlines and maintain the organizational compliance calendar
Track and ensure investor accreditation requirements are met
Coordinate with internal teams involved in fund offerings, including marketing, registered representatives, investor relations, fund accounting, administration, and technology
Manage and improve legal and compliance documentation, databases, and record-keeping systems
Support compliance requirements for AV personnel, including investment staff and registered representatives

Who You Are
3+ years of experience providing legal, compliance, or financial administrative support in a financial services organization or law firm
Bachelor's degree in law, finance, business, or a related field
Experience with fund offering documents, securities filings, marketing materials, and regulatory requirements

Assist with the formation, maintenance, and dissolution of business entities, including drafting and filing formation documents, resolutions, meeting minutes, and other governance materials
Maintain and update corporate records and entity data using corporate management software
Support corporate governance and compliance efforts by ensuring adherence to applicable laws, regulations, and internal policies
Coordinate and manage federal, state, and local corporate filings, including annual reports, business licenses, and tax-related documentation
Provide transactional support for mergers, acquisitions, corporate restructurings, and commercial real estate transactionsincluding due diligence review, drafting closing documents, and coordinating closing logistics
Draft, review, and maintain a range of legal documents such as commercial contracts, board resolutions, bylaws, operating agreements, leases, easements, and property-related agreements
Act as liaison with external counsel, government agencies, title companies, and other third parties involved in corporate and real estate matters
Support internal audits, compliance initiatives, and investigations by gathering documentation and assisting with regulatory responses
Manage legal projects from initiation through completion, tracking milestones, coordinating with stakeholders, and ensuring timely delivery of all required materials

Qualifications & Requirements
Bachelor's degree or Paralegal Certificate from an ABA-approved program.
2+ years of experience as a paralegal in a corporate/real estate legal department or similarly sized law firm
Strong understanding of real estate law and transactions, transactional ledger services, corporate governance, compliance, and corporate law principles.
Proficiency with corporate filings, including familiarity with SEC and state-level compliance requirements
Experience with legal research tools and software (e.g., Westlaw, LexisNexis).
Excellent written and verbal communication skills.
High attention to detail, exceptional organizational skills, and the ability to manage multiple priorities.
Ability to work independently and as part of a team.
Proficient in Microsoft Office and legal document management systems.
Strong problem-solving skills and the ability to think critically.
Ability to handle stressful situations and maintain composure in a fast-paced environment.
