Role and Responsibilities
Director, M&A and Strategic Investments, CBD Legal. This position would be in our Corporate Business Development (CBD) Legal group, and would report to the Managing Director, CBD Legal.
Deal Counsel. The attorney's primary role would be as deal counsel supporting all aspects of the Corporate Business Development group's activities, including mergers, acquisitions, divestitures, joint ventures and other strategic investments. Specifically, the attorney would be involved in:
Review M&A pipeline review decks and drive regulatory assessment review by antitrust, CFIUS and FDI counsel of potential transactions, including coordinating input from the applicable business unit leaders and technologists
Prepare and negotiate non-disclosure agreements
Work with internal tax and finance groups and external counsel on transaction structuring
Prepare and advise the deal team regarding the negotiation of term sheets
Conduct and coordinate due diligence investigations, including coordinating with Legal & Compliance Organization (LCO) groups and with IP counsel
Prepare legal and IP due diligence report-outs for the business and deal team
Work with outside counsel on preparation of definitive transaction documentation, working with the CBD deal lead to drive agreement negotiations
Drive resolution of pre-closing and closing activities
Coordinate presentations on due diligence findings for the LCO and impacted corporate and business groups to support post-close integration and other activities
Develop and communicate responses to critical legal issues as they arise
Advise on and coordinate the legal aspects of potential divestitures, including working with IP counsel to assess separability of assets and technology, with antitrust counsel to assess potential counterparties and regulatory requirements
Assist in the preparation of playbooks and process improvements for the CBD group and participate in company-wide training programs
Required Experience and Skills
JD from a nationally-recognized law school
The ideal candidate would have at least 6 years of total experience with a practice focused on mergers and acquisitions in a large, international law firm, with at least 2 of those years doing deals with a strong cross-border component for technology companies
A thorough understanding of the entire M&A process and desire to learn and participate in legal integration efforts
Experience in or exposure to capital markets, corporate securities and regulatory reporting, and strategic investments
Experience in or exposure to regulatory assessments and filings, including domestic and foreign antitrust, CFIUS and foreign FDI, and Outbound Investment Rule

Description:The Lockheed Martin Artificial Intelligence Center (LAIC) is looking for a Technical Program Manager who will oversee Program Control, Portfolio Staffing, Capture Management, and Business Development for a team of Artificial Intelligence and Machine Learning engineers. The ideal candidate will possess a background in conceptualizing, building, testing, and maturing AI systems.
What You Will Be Doing:
The technical program manager (TPM) will work under the direction of the technology portfolio principal investigator (PI) to ensure flawless execution of the portfolio's strategy and programs.
The TPM will have the following key responsibilities:
• Program Control: The TPM will be responsible for monitoring technical, cost and schedule aspects for all programs in the portfolio. The TPM will coordinate with technical leads to establish plans, monitor program execution, and make adjustments in a highly dynamic research and development environment. The TPM will be responsible for all reporting requirements on programs and must develop a strong technical understanding of program content to facilitate reporting and to be the lead representative of the portfolio in meetings with internal and external stakeholders.
• Portfolio Staffing: The TPM will be a key stakeholder in program staffing. As such, the TPM will develop an understanding of the specific technical skills and career goals of all members of the team. The TPM is not responsible for direct management of the staff, rather the TPM's knowledge is needed to ensure staffing decisions maximize a contributor's abilities and career trajectories. Maintaining strong staff retention is a key metric for the portfolio leadership team, including this role.
• Capture Management: The TPM will manage the capture process for the portfolio. This task requires working with the BA capture team, attending capture meetings, developing LAIC cost volumes, supporting technical writing and ensuring all LAIC work products meet the highest standards. Most technical writing will be performed by technical experts on the team with the TPM responsible for ensuring work products are completed and integrated with the overall proposal. Similarly, the TPM will work with technical leads to develop statements of work, costing and bases of estimate. The TPM will own most of the cost side of proposal development.
• Business Development: The TPM will support the development of new opportunities within the portfolio through internal and external business development. Initially, the TPM will concentrate on working to capture internal corporate and Business Area (BA) IRAD funds. This includes identifying opportunities and working the internal fund owners. The TPM will monitor government sites for relevant opportunities. As the TPM's knowledge of the portfolio deepens, tasking to meet with and shape external customers in the S&T or PoR domains will be assigned as appropriate.

Create and review technical memoranda, accounting policies, training materials, and other documentation supported and corroborated by research, analysis and concise conclusions.
Articulate issues and recommendations in a crisp and concise manner to both financial and non‑financial stakeholders to enable better decision‑making.
Establish, maintain, and provide expertise on current and upcoming U.S. GAAP, including topics specific to M&A, private and public equity, debt instruments, consolidation, VIE and equity‑method accounting, and the related presentation and disclosure requirements.

What You Bring

About the Role:
The Director, Technical Revenue and Assurance plays a key role on Confluent's Revenue Accounting leadership team. In this role, you will serve as one of the finance organization's subject matter experts on ASC 606, own the revenue policy framework and drive technical revenue conclusions. You will act as a strategic advisor to business partners across Accounting, GTM, Product, Legal, and FP&A, providing revenue recognition guidance across contract negotiations, new pricing and packaging initiatives, and new product introductions. The ideal candidate is an experienced CPA with at least 10 years of progressively responsible experience at either a Big 4 public accounting firm or a publicly traded, high-tech organization with a minimum of 3 years in a technical revenue role. You should have experience from a global, growing software company that has on-premise software revenue and SaaS. This is a remote position based in the Bay area and reports to the Head of Revenue Accounting.
What You Will Do:
Lead Confluent's Technical Revenue & Assurance function as one of the finance organization's subject matter experts and strategic advisor on ASC 606, setting the vision, governance, and roadmap to ensure revenue outcomes are both compliant and aligned to growth and business objectives.
Own the revenue policy framework and technical positions, author and maintain authoritative policies, memos, and contract conclusions on complex revenue arrangements; set clear interpretations that balance compliance, risk, and scalability.
Structure and influence complex revenue deals in partnership with Sales, Deal Desk, and FP&A to achieve optimal revenue outcomes and speed-to-close; serve as an escalation point for complex arrangements (SaaS, on‑prem/term licenses, consumption, multi‑element bundles, modifications/renewals, variable consideration, etc.).
Build, motivate, and grow a high‑performing team, continuing to develop technical acumen and fostering a culture of continuous learning and improvement; coach, hire, and develop talent.
Partner across the product lifecycle with Product Management, Engineering, and GTM on pricing/packaging, new product introductions, or new monetization initiatives to assess revenue recognition impacts, operational scalability, and business risk-and influence decisions that balance growth and compliance.
Lead auditor engagement, ensuring policies are consistently applied, emerging topics are addressed proactively, and SOX‑compliant controls.
What You Will Bring:
BS in Finance or Accounting; CPA and Big 4 experience required
10 years of progressive experience at either a Big 4 public accounting firm or a global, publicly traded high‑tech organization with a minimum of 3 years in a technical revenue role
Strong knowledge of US GAAP, primarily revenue recognition (ASC 606) as it applies to on‑premise software revenue and SaaS
Strategic thinker with strong leadership skills and the ability to prioritize multiple projects in a fast‑paced, high‑growth environment
Proven ability to lead change and inspire others.
Excellent interpersonal skills (oral and written) and the ability to communicate effectively with all levels at the company
