Prime Retail, Inc., a self-administered and self-managed real estate investment trust (REIT), engages in the ownership, leasing, marketing, and operation of outlet centers. As of December 31, 2002, its outlet centers portfolio, including nine properties owned through unconsolidated joint ventures, consisted of 38 properties in 24 states. Outlet centers enable shoppers to purchase designer and brand name products, directly from manufacturers at discounts. The company conducts substantially all of its business and operations; and owns (either directly or through subsidiaries) substantially all of its assets through Prime Retail, L.P. The company has elected to be taxed as a REIT under sections 856 through 860 of the Internal Revenue Code. As a REIT, it is not subject to federal income tax at the corporate level on income that it distributed to its stockholders. Prime Retail Inc. operates as a subsidiary of Simon Property Group Inc.
