Job Overview The Counsel, Real Estate provides legal support to Macy's, Bloomingdale's, and Bluemercury on real estate-related matters, with a primary focus on real estate leasing, the negotiation of reciprocal easement agreements and other mall operating agreements, and a broad range of real estate contracts. This role also advises on miscellaneous real estate matters and manages disputes across all company functions. What You Will Do Advise and support cross-functional teams across Macy's, Bloomingdale's, and Bluemercury on a broad range of real estate matters, including commercial leasing; acquisitions and dispositions of real property; reciprocal easement and supplemental agreements; tax and CAM issues; government condemnations; and other legal matters affecting the company's real estate portfolio. Draft, review, and negotiate a wide variety of real estate contracts, with a strong emphasis on new retail leases and amendments to existing leases. Advise the real estate business team on letters of intent for new retail leases. Serve as a subject matter expert and provide support to the Litigation team on real estate-related disputes. Provide support on additional legal matters and strategic initiatives as needed. Maintain regular, dependable attendance and punctuality. Foster an environment of acceptance and respect that strengthens relationships, and ensures authentic connections with colleagues, customers, and communities. Skills You Will Need Commercial Real Estate & Retail Leasing Expertise - Significant experience advising on commercial retail leasing, including drafting, reviewing, and negotiating new retail leases and amendments within a complex retail real estate portfolio. Shopping Center & REA Experience - Deep knowledge of reciprocal easement agreements, mall operating agreements, and legal matters related to regional and super-regional shopping center real estate. Real Estate Transactions & Portfolio Management - Experience supporting acquisitions, dispositions, condemnations, and other transactional matters affecting large-scale real estate portfolios. Contract Drafting & Negotiation - Proven ability to draft, review, and negotiate a wide range of real estate agreements, balancing legal risk with business objectives. Legal Analysis & Risk Management - Strong ability to analyze complex legal and factual issues, assess risk, and deliver practical, business-focused legal advice.
