The Senior Associate Counsel provides legal support for hospital information technology operations, including comprehensive legal and strategic guidance on the procurement, deployment, and governance of information technology systems (ISD) and artificial intelligence. This position reports to the Vice President, Senior Associate Counsel with a reporting matrix to the Chief Information Officer.
Responsibilities:
Advise hospital leadership and procurement teams on the legal implications of acquiring new technologies, such as electronic health records (EHR), telemedicine platforms, cybersecurity tools, and medical devices and the implementation of artificial intelligence tools.
Draft, review, and negotiate a broad array of information technology contracts-such as software-as-a-service (SaaS) agreements, cloud hosting terms, data processing addenda, and business associate agreements. Identify and address legal risks in vendor offerings and technology solutions.
Advise hospital leadership on legal considerations surrounding digital transformation initiatives, innovation adoption, and strategic partnerships with technology providers.
Collaborate with hospital IT and security teams to develop policies and protocols for safeguarding patient data and critical systems. Advise on incident response plans, breach notification procedures, and risk mitigation strategies. Stay abreast of emerging threats and evolving best practices.
Provide legal support for hospital-wide policies on technology use, social media, device management, remote work, mobile access to sensitive information, and enterprise risk for information technology. Ensure policies reflect current legal requirements and operational needs.
Support the hospital in managing disputes or litigation related to technology vendors, data breaches, intellectual property claims, and other technology-related matters. Coordinate with litigation counsel as needed.
Education and Training: Provide ongoing education to staff and leadership on legal implications of technology adoption, emerging regulatory requirements, and evolving risks in the health technology landscape.
Identify and assess legal, operational, and compliance risks in IT contract.

ESSENTIAL FUNCTIONS AND RESPONSIBILITIES
Manage and/or assist with legal support on a variety of development projects and supervise outside counsel as directed. This includes negotiating and advising on EPC and procurement agreements, power purchase agreements (PPAs) LGIAs, and other interconnection-related documents, as well as matters involving FERC and CAISO.
Provide legal support project finance and M&A transactions, including joint ventures, tax equity structures, and other strategic partnerships.
Review, draft and negotiate transaction documents such as asset purchase agreements, project finance documents, and membership interest purchase agreements.
Structure, draft, review and effectively negotiate power purchase agreements, interconnection agreements, EPC agreements, services agreements, and other solar and storage project related agreements.
Structure, draft, review and effectively negotiate debt and equity financing structures, including portfolio financing structures, back-leverage debt, tax equity partnership documents.
Coordinate efforts with other internal teams, including development, M&A, finance, real estate, tax, environmental, permitting and regulatory.
Perform diligence and provide diligence guidance on project acquisitions and greenfield development opportunities.
Provide general legal support across the organization.
Effectively and efficiently outside counsel.

REQUIRED SKILLS AND QUALIFICATIONS
Juris Doctor degree from an ABA accredited law school.
Admitted to applicable state bar.
Minimum 8 years of experience with commercial transactions, construction, and/or financing for solar, storage, wind or other renewable energy related experience required.

Provide legal opinions and advice on coverage issues in various P&C claims, including professional liability, general liability, transportation, property and other related matters
Review or draft coverage recommendations, reservations of rights, and denial letters for complex claims, and assist with compliance with subpoenas

We're excited if you have

Significant experience drafting and negotiating digital media and technology agreements for ad-supported, transactional and subscription services, with a detailed working knowledge of applicable commercial deal structures and, ideally, familiarity with the video advertising technology ecosystem.
Prior experience with intellectual property, data privacy and security issues in the context of digital media and technology transactions, and familiarity with the relevant business terms and structures.
Ability to thrive in a fast-paced environment, utilizing effective organizational skills to prioritize and manage aggressive deadlines for multiple simultaneous projects for multiple stakeholders. Successful experience working with a high-growth or startup media or technology company is a plus.

* Earned doctoral degree in Counselor Education and Supervision from a CACREP-accredited institution.
* Active licensure, or eligibility for licensure, as a Clinical Mental Health Counselor.
* Demonstrated excellence in teaching within counselor education, ideally with online instruction experience.
* Proven expertise in CACREP standards, processes, and reporting requirements.
* At least two years of full-time faculty experience in a counselor education program.
* Strong record of leadership, organizational management, and effective communication.
* Ability to thrive in an online/remote work setting while fostering community among faculty and students.
Additional Required Experience:
* Demonstrated success in launching or leading new academic programs.
* Demonstrated leadership experience, such as that of department chair, unit head, etc.
* Thorough knowledge of national counseling trends and counselor licensure requirements.
* Experience cultivating partnerships with clinical training sites.
* Familiarity with online education platforms and best practices in virtual pedagogy.
* Significant involvement in counseling program accreditation processes (ACA, CACREP).
* Credentials meeting CMHC licensure requirements to supervise student clinical training.
* Background in supervising counselors and teaching at the graduate level.
* Ongoing practice as a licensed counselor with certifications that reflect professional areas of expertise.
Physical Requirements:
* Primarily sedentary work in an office setting.
* The ability to navigate to various buildings on campus for meetings, training, and other College gatherings.
* Use of office equipment including computers, printers, copiers with lifting of less than 20lb occasionally to fill machines or move files.
