JOB TITLE: Conflicts and Business Intake Compliance Counsel DEPARTMENT: Office of General Counsel OVERVIEW: Duane Morris LLP, a global law firm with 900+ attorneys in offices across the U.S. and around the world, offers innovative solutions to the legal and business challenges presented by today's evolving global markets. The ideal candidate will act as counsel to the law firm in identifying and resolving actual and potential conflicts of interest arising out of new business intake and the hiring of lawyers and staff joining the firm, as well as assisting with the onboarding of clients, matters, lawyers and staff. Core responsibilities include counseling lawyers and staff in resolving actual and potential conflicts and providing legal and operational support for the Office of General Counsel in its implementation of risk management strategies relating to new business intake, legal hiring, compliance and other legal matters involving the firm. Members of the Office of General Counsel work as an integrated team with many other departments of the firm, including management, and they are seen as valued resources and trusted advisors to the partners, associates and staff of the firm. ESSENTIAL FUNCTIONS: Perform initial review of conflicts reports requested by firm attorneys, identify actual and potential conflicts of interest and coordinate resolution of conflicts among all involved parties. Advise the firm and its attorneys regarding the appropriate form and terms of engagement letters for use in documenting new engagements and counseling and assisting attorneys on drafting such letters as needed. Approve engagement letter drafts prior to distribution to clients and assist with drafting waivers for inclusion in engagement letters or separate letters as required. Monitor compliance with new business intake instructions and requirements, such as the completion and execution of appropriate engagement letters and any necessary waivers, implementation of ethical screens where necessary and assessment of intake risk by the firm. Act as a resource in assisting firm attorneys in understanding conflicts of interest and managing conflicts and new business intake in an appropriate manner, including participation in firm presentations and training programs as needed. Review conflicts reports for incoming lateral lawyers, new lawyers and legal support staff and take necessary action to clear actual and potential conflicts of interest, including interfacing with candidates where necessary to obtain further information about their work. OTHER DUTIES ASSIGNED: Provide legal advice to the firm and its personnel regarding various professional responsibility and risk management matters as required by the Office of General Counsel. Tasks may include development and updating of firm policies and forms for internal use; reviewing and providing legal advice regarding client Outside Counsel Guidelines and vendor contracts; maintaining and updating terms of engagement letters, waiver letters and related documents based on changes in the law and firm practice; assisting in development of strategies and methodologies for identifying, managing, and resolving conflicts of interest and assessing client and matter fit; and developing and/or conducting internal conflicts training for the firm's lawyers and staff. EXTENT OF CONTACT: This position requires a high degree of contact with: the firm's General Counsel and Assistant General Counsels; the firm's Director of Office Services, Business Intake Risk and Compliance Director, Business Intake Manager, Conflicts Specialists and other business intake staff; firm partners, associates and staff, including executive management. This position requires limited contact with individuals outside of the firm. WORKING CONDITIONS AND ENVIRONMENT: (necessary travel, unusual work hours, unusual environmental conditions, etc.) Position is full-time, requiring a 5-day work week and standard hours as outlined in the firm policy manual, with additional hours as required when necessary to meet deadlines. Limited domestic travel, possibly involving multiple-day trips requiring overnight stays, may be required in order to attend training seminars/CLE programs, firm meetings and the like. PREFERRED QUALIFICATIONS: Adheres to highest ethical standards for behavior. Strong organizational and planning skills, including the ability to organize and prioritize numerous tasks and complete them under time constraints. Strong interpersonal skills necessary to permit effective communication in person, by e-mail and telephone with a diverse group of lawyers and staff. Ability to recognize actual and potential conflicts of interest under applicable professional standards, other issues that could be viewed as conflicts of interest from an ethical and/or business perspective, and effectively discussing and resolving such issues with the lawyers and staff involved. Prior experience as a conflicts attorney, or experience in legal ethics, conflicts analysis and/or review, representation of law firms and the like. EDUCATION AND EXPERIENCE: J.D. degree. REPORTS TO: Principal and Assistant Principal JOB GOAL: To support the academic, career, and social/emotional development of all students by designing, implementing, and evaluating a comprehensive school counseling program that promotes student achievement, fosters personal growth, ensures equity and access, and prepares students for post-secondary success. Performance Responsibilities: * Provide direction for the implementation of programs to enhance the social climate of the school and the social and emotional development of students which support Chapter 12 standards and the American School Counseling Association standards to assure student well being. * Provide classroom lessons based on identified needs and support the Guidance Curriculum in the following areas: * Communication Skills * Goal Setting * Social Skill Development * Conflict Resolution * Character Development * Career Exploration * Class scheduling options - middle / high school * College preparation - high school * Post secondary opportunities - high school * Provide group and individual counseling sessions for children as part of a student (s) intervention plan. * Assist students with social and study skills needed for success in school. * Participate as a member of building-based intervention or problem-solving teams. * Provide leadership on the Crisis Teams and assist with threat assessment procedures. * Provide training opportunities for staff, students and parents in areas of social skill development, parent awareness, school transitions, and college planning as appropriate to the assigned school level. * Consult with parents, teachers, administrators, and students as needed. * Provide for the transition of students from one building to the next, i.e. elementary to middle, middle to high school, including but not limited to: * Parent meetings * Move up days * Assistance with student scheduling needs * Assist with students moving into the district as they acclimate to a new school environment. * Assist with the organization, collection and administration of standardized testing. * Prepare lesson plans to be delivered to classes as scheduled. * Collect career benchmark artifacts in a portfolio to travel with students from grade to grade. * Accurately report career benchmark data as required annually. * Attend and participate in faculty meetings and serve on staff committees as required. * Cooperate with other members of the staff in planning goals, objectives, and methods. * Accept a share of responsibilities for co-curricular activities as assigned. * Establish and maintain cooperative relations with others. * Maintain a high degree of personal technical competence through ongoing reviews of literature, workshops and coursework. * Any other duties assigned by the Superintendent or his/her designee. KNOWLEDGE, SKILLS, AND ABILITIES: LANGUAGE SKILLS: Ability to read, analyze, and interpret literature, periodicals, professional journals, technical procedures, and administrative regulations.Ability to write reports, correspondence, and procedures.Ability to effectively present information and respond to questions from individual groups of colleagues, students, and supervisors. MATHEMATIC SKILLS: Ability to calculate, problem solve and apply mathematic concepts of courses assigned to teach. REASONING ABILITY: Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form. The Clinician collaborates closely with an intra-disciplinary team of professionals, families, and external stakeholders to ensure effective and consistent implementation of behavior support plans, while also providing consultation and guidance to staff on complex behavioral issues. * * *Supervisory Responsibilities:* Determined by market need. *Primary Responsibilities:* * Independently coordinates, designs, and monitors individualized behavior treatment plans, exercising professional judgment to evaluate effectiveness through comprehensive data analysis and evidence-based methodologies. * Provides face to face clinical services to BSLS clients according to the scope(s) of practice assigned. * Leads crisis response efforts, utilizing clinical expertise to assess situations, determine appropriate interventions, and implement resolution strategies. * Provides consultation and debriefing to staff and individuals following incidents, guiding corrective actions and ensuring adherence to best practices. * Conducts root-cause evaluations of adverse incidents and develops strategic modifications to treatment plans and organizational protocols. * Serves as a clinical consultant in interdisciplinary meetings, offering professional recommendations and influencing treatment decisions. * Participate in treatment team meetings and case reviews, contributing advanced clinical insights and guiding care planning. * Maintains comprehensive clinical documentation, including Positive Behavioral Support Plans (PBSP), Functional Behavioral Assessments (FBA), and detailed clinical summaries, ensuring compliance with regulatory standards. * Analyzes and interprets monthly data sets to monitor progress, exercising discretion in adjusting interventions based on outcomes. * Conduct behavioral assessments. * Assists with the development and implementation of ongoing behavioral health training for clinical staff. * Assists in communicating with family members and friends of the individuals supported as appropriate. * Conducts on-site training for home managers, program managers and direct care staff, and assist sites with training tracking as needed. * Assists with resident abuse and neglect investigations and communicate findings with home manager, compliance, clinical and operations' leadership. * Build positive relationships with CMH and other government or service agencies and assist in coordinating care as needed. * Performs On-Call as required. *Education and Qualifications:* * Bachelor's or Master's degree in Social Work, Behavioral Analysis, Counseling or a related field. * Valid state license or certification (BCBA, LCSW, LSW, LPCC, LPC, PBSF). * Minimum of 1-2 years of clinical experience, may include practicum and internship experience. * Experience with both mentally ill and intellectually disabled adult populations is preferred. * Experience with complex, high intense/high frequency behaviors is required. * Approved by the state, federal, and local governmental entities to work within BSLS programs. * Maintains own mandatory training and certification requirements. * Required experience with Microsoft Office Suite (Word, Excel, PowerPoint). * Must possess a valid Driver's License. * Must pass a criminal background check. * Proficient in speaking, reading and writing the English language required. *Work Environment:* Most of your job duties will be performed from our corporate office, or in our homes or day programs. You may have potential for exposure to infectious disease and physical and verbally aggressive behaviors. Universal precautions are required to minimize the risk of infections. Work sites may include locations that are not barrier-free.
