DEPARTMENT PURPOSE A&O Shearman's Tax team is a market leader in domestic and international tax matters. We advise our clients across the business cycle, helping them design tax strategies; manage the tax implications of a range of financing, capital markets, and corporate transactions; handle financial restructurings and insolvencies; and deal with tax investigations and disputes. ROLE PURPOSE A&O Shearman seeks an accomplished, experienced associate to join its U.S. Tax practice. Ideal candidates will be in our New York or Dallas office (or potentially D.C.) with 3-5 years of robust experience focused all aspects of transactional tax practice. The group advises on complex M&A transactions, partnership and joint venture transactions, capital markets and financial products. We are seeking qualified candidates with transactional tax experience (preferably in a major law firm or a national office of an accounting firm), excellent academic credentials from an ABA-accredited law school. Candidates must also bring a high level of writing and analytic skills to the practice. ROLE & RESPONSIBILITIES Draft and negotiate tax provisions of mergers and acquisition agreements, partnership agreements and other transactional documents. Advise clients on the tax transactions involving a wide variety of asset classes and financing structures. Counsel U.S. and non-U.S. clients on investment strategies. Contacting clients and managing deals. MINIMUM REQUIREMENTS A Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school. Must be admitted, and in good standing, to the bar in the jurisdiction in which you will practice; or must provide written confirmation as to ability to become admitted in that State or District.
