Maryland Heights-based Unigraphics, a spinoff of St Louis-headquartered McDonnell Douglas, was purchased in 1991 by outsourcing services giant EDS.
Seven years later, EDS sold a 14 percent stake in Unigraphics through an initial public offering, only to buy back that stake for $174 million and take the company private again in September 2001.
The sale of the notes is expected to close on June 9, 2006.
Affuso's contract, which runs through 2008, provides for a base salary of $500,000, to be reviewed annually, and an annual performance bonus target of at least 100 percent of his base salary, according to EDS' most recent annual report.
