As Lead Counsel, Trading and Derivatives, US & Canada, you will be responsible for providing expert legal advice and support on a wide range of matters relating to the firm's trading activities and derivatives transactions. Responsibilities
Provide legal advice and support on trading activities and derivatives transactions, including OTC derivatives, exchange‑traded derivatives, swaps, options, futures, and similar instruments.
Draft, review, negotiate, and manage derivatives and trading documentation such as ISDA Master Agreements, Global Master Repurchase Agreements (GMRAs), Credit Support Annexes (CSAs), clearing agreements, Cleared Derivatives Execution Agreements, futures & options trading arrangements and other related contracts.
Advise on regulatory and compliance matters related to derivatives and trading activities, including relevant US and Canadian Securities and Commodities Laws and regulations, Dodd‑Frank, EMIR, and other relevant regulations.
Collaborate with trading, investment, risk, compliance, and operations teams to identify and mitigate legal risks in trading strategies and product development.
Monitor and interpret changes in laws and regulations affecting derivatives and trading, and communicate implications to relevant business units.
Assist in the development and implementation of internal policies, procedures, and controls related to derivatives and trading.
Provide training and guidance to internal teams on legal and regulatory issues in derivatives and trading.
Liaise with external counsel, regulators, and industry bodies as necessary.
What you need to have
JD from a US accredited law school and license to practice, in good standing, in at least one of the fifty states.
Minimum of 5 years of experience advising on derivatives, trading, and financial products, at a law firm, regulator or SRO, or in‑house legal department of a financial institution.

The Bureau works in a hybrid model (part remote and part in‑office in Boston).
Duties and Responsibilities (these duties are a general summary and not all inclusive):
Handle Appellate Tax Board (“ATB”) cases in which the dollar value of an individual case does not exceed a defined dollar value, as well as cases of similar value in state and federal (mainly bankruptcy) courts.
Negotiate with opposing parties when appropriate, to reach resolution based on relative merits of case and hazards of litigation.
With regular supervision, argue motions and litigate cases that cannot be settled or otherwise resolved.
Provide functional direction, guidance, instruction, and delegation of tasks to interns, support staff, or other personnel; and participate in the training and mentoring of new employees.
Obtain information needed to represent the agency in litigation matters by conducting research and analysis of the applicable laws, statutes, and regulations, and by reviewing cases, files, case history, and evidence submitted by opposing parties to understand the facts and issues and to determine the best course of action.
Assist other Litigation Bureau attorneys with their respective cases; may participate in major ATB appeals with senior staff attorneys (Tax Counsels and Counsel IIs) on their assigned cases.
Assist other Divisions within the Department when they seek certain legal advice or action including, but not limited to: seizure referrals; license revocations; contract actions; and opposition and/or cooperation with regard to certain subpoenas and summonses. Participate in drafting new or amended policies related to these functions to ensure compliance with laws.
As assigned, collaborate with other agencies or stakeholders to share information, resolve issues or work on cross‑functional initiatives to meet shared goals.

Summary
HHMI is seeking a Contracts Counsel for its Office of the General Counsel (OGC) to help support HHMI's programs and operations by providing informed, practical, creative, and timely legal counsel in the review and negotiation of research‑related agreements. As a member of the dynamic team in HHMI's OGC, you will be directly involved in HHMI's mission of advancing biomedical research for the benefit of humanity.
The person in this role will review and negotiate contracts relating to the conduct of research in HHMI laboratories. These contracts include agreements covering the transfer of reagents and other materials into and from HHMI laboratories (inbound and outgoing Materials Transfer Agreements or MTAs and MTOs). In addition, the Contracts Counsel ensures that inter‑institutional agreements (IIAs) and licenses entered into by third‑party research institutions that relate to technology developed in HHMI laboratories are consistent with HHMI's policies and interests. The Contracts Counsel will work closely with other OGC staff, HHMI scientific management, HHMI laboratory heads and staff, and research institution staff to efficiently resolve issues relating to MTAs, MTOs, IIAs, and licenses.
This position reports to the Deputy General Counsel and works under the general supervision of the Deputy General Counsel and one Senior Contracts Counsel. We will consider either remote or hybrid working arrangements, given the candidate's preference.

What you will do

Work collaboratively in the MTLR group to resolve legal and practical issues arising in MTA negotiation and processing.
Perform MTO Review: review and edit MTOs and advise assigned institutions as needed on questions relating to MTOs, such as MTO terms acceptable to HHMI.
Perform IIA and License Review: provide timely comments to assigned research institutions on IIAs, options, and licenses, consistent with HHMI policies.
Consult and coordinate with others in OGC and at HHMI, including Senior Director‑Scientific Officers and Senior Director‑Scientific Program Officers, as appropriate, on MTA, MTO, and license issues.
Update and maintain electronic databases associated with MTAs, MTOs, and licenses in a timely manner.
Assist the MTLR group and other OGC staff in suggesting, evaluating, documenting, and implementing improvements to HHMI procedures and practices for handling MTAs, MTOs, and licenses.
Maintain a current knowledge of legal issues and current practices in the scientific community relevant to MTAs, MTOs, and licenses, including through participation in continuing legal education and membership in appropriate bar and professional associations. As opportunities arise, support efforts of HHMI laboratories and the broader scientific community to promote the availability of reagents and other research materials.
What you bring
Juris Doctor (J.D.) degree.
Active membership in good standing with an established bar required.

The Role
We are looking for a passionate, aggressive, and skilled IP lawyer to serve as Lead Counsel, IP. Reporting to our CFO, this is a highly critical role and will own IP efforts on a global scale across Eight Sleep's suite of hardware, software, and other products. You will partner closely with the CEO, CFO, and heads of R&D and Operations to develop a proactive global IP strategy across our product portfolio. What We're Looking For

Qualifications
Master's Degree in Mental Health Counseling, Marriage and Family Therapy, Social Work, or related field (licensure not required)
License eligible (LICSW/LMHC/LMFT)
Experience working with youth and families
Valid driver's license and daily access to a registered and insured vehicle
