Key Responsibilities - Draft, review, and edit routine commercial agreements, including NDAs, service agreements, consulting agreements, supply/vendor contracts, master service agreements, material transfer agreements, and clinical trial agreements. - Manage the full contract lifecycle, including intake, tracking, execution, archiving, and document organization within the contract management system. - Support counsel and internal business stakeholders with redlines, revisions, and communications with counterparties. - Monitor contract compliance, key obligations, expirations, renewals, and amendments. - Assist with the development, maintenance, and rollout of contract templates and standard form agreements. - Maintain corporate records, including minutes, resolutions, bylaws, organizational documents, and subsidiary records. - Coordinate annual filings, business licenses, regulatory submissions, and other entity-related requirements. - Prepare and organize board and committee materials and maintain governance calendars. - Support regulatory and compliance documentation and maintain organized, audit-ready files. - Assist with due diligence, audits, internal reviews, and responses to internal or external inquiries. - Coordinate signatures, approvals, and document processing through DocuSign and similar platforms. - Manage the Legal Department's internal intranet page and employee-accessible SharePoint files. - Partner with Legal, Finance, HR, and cross-functional teams to support ongoing legal and corporate operations. - Support ad hoc legal projects within a fast-paced biotech environment. Requirements Qualifications - 3-5+ years of corporate paralegal experience (in-house or law firm), with required experience in biotech or pharmaceutical industries. - Strong background in corporate governance, entity management, commercial contracts, and compliance documentation. - Experience supporting contract lifecycle processes and working within a contract management system. - Familiarity with biotech or clinical research regulatory environments strongly preferred. - Proficiency with document management tools and electronic signature platforms (e.g., DocuSign). - Excellent organizational skills with the ability to manage multiple deadlines and priorities independently. - Strong communication skills and attention to detail. - Ability to work onsite in South San Francisco two-three days per week.
